Summary
RingCentral started fiscal 2024 with $584 million in first quarter revenue, up 9% from the prior year quarter. Subscriptions revenue rose 10% and accounted for 95% of the total. Annualized exit monthly recurring subscriptions reached $2.37 billion, up 10%. Mid-market and enterprise ARR increased 11% to $1.48 billion, while enterprise ARR climbed 13% to $1.02 billion. Net monthly subscription dollar retention held above 99%. The enterprise end of the customer base is where the growth story now sits.
Gross profit rose to $413.7 million from $373.0 million a year earlier, and gross margin moved up to 70.8% from 69.9%. The GAAP operating loss narrowed to $10.9 million from $54.5 million, and operating margin was -1.9% versus -10.2%. Net loss shrank to $28.5 million from $54.4 million, and diluted net loss per share narrowed to $0.31 from $0.57. Non-GAAP results were cleaner still. Non-GAAP operating margin was 20.7%, up 350 basis points year over year, and adjusted EBITDA was $143 million, or 24.4% of revenue, against $112 million and 21.0%. Non-GAAP diluted EPS was $0.87 versus $0.76.
Cash generation slipped. Net cash provided by operating activities was $96.1 million, down 11.5% from $108.5 million in the prior year quarter. Free cash flow, a non-GAAP measure the company now reports and guides to, was $77 million compared with $87 million a year ago. Capital expenditures were $6.1 million, down from $8.7 million. Management pointed to working capital timing and interest payments on debt. The company also repurchased $80 million of stock during the quarter, and in May the board added $250 million to the authorization, leaving about $375 million available.
The full year 2024 outlook moved higher. Total revenue is now guided to $2.379 to $2.399 billion, or 8% to 9% growth, with subscriptions revenue of $2.267 to $2.287 billion. Non-GAAP operating margin stays at 21.0%, while GAAP operating margin is guided to negative 1.6% to negative 0.9%. Non-GAAP EPS guidance rose to $3.59 to $3.67 on 97.0 to 96.0 million fully diluted shares. Full year free cash flow is expected at $385 to $390 million, up from $324 million in 2023; excluding interest, restructuring and partner payments, it would be $440 to $445 million, above the prior outlook of $415 to $420 million. For the second quarter, total revenue is guided to $584.5 to $587.5 million, 8% to 9% growth, with non-GAAP EPS of $0.87 to $0.88 and GAAP operating margin of negative 2.7% to negative 1.9%.
Two operational wins stand out. RingCentral signed a 40,000 seat deal with a Fortune 500 retailer, its largest UCaaS win to date, and added Optus as a global service provider partner. RingSense AI won Best Overall at Enterprise Connect in March. Backlog offers some support, with remaining performance obligations up 13.6% to $2.50 billion and current deferred revenue up 12.2% to $246.69 million. Management cautions that neither metric is a reliable indicator of future revenue. The risks are tangible. Interest expense climbed sharply on the credit agreement and the 2030 senior notes. Persistent inflation, higher interest rates and softer upsell of RingEX services as customers trim headcount all weigh on the outlook. Debt maturing in 2025 and 2026 keeps refinancing decisions in focus.

Risks
MD&A states RingCentral is seeing less upsell of additional RingEX services within its existing base as customers slowed hiring and rationalized employee counts. Persistent inflation, higher interest rates, supply chain disruptions, and geopolitical conflict can further affect buying behavior from larger customers.
The company faces intense competition from Microsoft, Cisco, Zoom, and others, and peers and competitors are investing more significantly in AI. RingSense and other AI features may not enhance the business or profitability and may add legal, business, and cybersecurity risks.
Future results rely on strategic partners and global service providers including Avaya, Amazon, Atos, ALE, Mitel, Charter Communications, Vodafone, DT, Optus, and Brightspeed. Partners may fail minimum seat or revenue commitments, move customers to competing solutions, or require renegotiated terms, and the company previously recorded Avaya-related write-down charges.
Significant software development, quality assurance, operations, and customer support are outsourced to third parties in Georgia and the Philippines, and engineering operations are in Ukraine and Israel. Armed conflicts have required personnel relocations, increased costs, and the discontinued Ukraine partner operations disrupted development and release of new features.
Interest expense increased by $14.0 million for the three months ended March 31, 2024 versus the prior-year period due to the Credit Agreement and 2030 Senior Notes. The company has $161.3 million of 2025 Convertible Notes maturing on March 1, 2025, and debt covenants restrict liens, guarantees, mergers, and asset sales.
Cyberattacks, information security breaches, or denial-of-service events could interrupt service, subject the company to liability, and harm its reputation. Risk is heightened by the Russia-Ukraine and Israel-Hamas conflicts, and AI features may create additional cybersecurity risks.
Targeting medium-sized and larger businesses requires more technical approvals, customization, complex contract negotiations, and highly skilled support, which can lengthen sales cycles and delay revenue recognition. MD&A notes that macro conditions may affect buying behavior from larger customers.
A substantial portion of revenues comes from channel partners, agents, brokers, resellers, and global service providers. The transformation to a resale and wholesale go-to-market model requires significant system and process changes that could delay implementation and impact revenue.
Increased customer turnover or costs to retain and upsell customers could materially harm financial performance. Month-to-month customers may terminate without penalty, and renewing customers may choose fewer users, shorter contract lengths, or less expensive subscription plans.
A significant portion of revenues comes from small and medium-sized businesses with fewer financial resources than larger enterprises. An economic downturn could decrease technology spending, increase churn or down-sell, and increase rejected credit and debit card payments.
The company depends on senior management and key employees, including co-founder, Chairman and CEO Vladimir Shmunis. No executive officer is bound by a written employment agreement, and the loss of key personnel could delay business, financial, developmental, and strategic objectives.
Changes in U.S. and foreign tax laws, including OECD Pillar Two global minimum tax rules and digital services taxes, and the U.S. 1% excise tax on stock buybacks, could increase tax obligations or the cost of share repurchases. The company also faces evolving ESG disclosure expectations and cybersecurity disclosure rules.
