Summary
RingCentral closed fiscal 2023 with fourth quarter revenue of $571.27 million, up 8.9% from $524.75 million in the prior-year quarter. Subscriptions revenue of $547 million rose 9% and accounted for 96% of the total. Gross margin was 70.2%, up 0.8 percentage points from 69.4%. Annualized exit monthly recurring subscriptions reached $2.329 billion, up 11% year over year. Enterprise ARR rose 13% to $1.005 billion, and mid-market and enterprise ARR rose 12% to $1.458 billion. Monthly recurring subscriptions were $194.1 million at December 31, 2023, and the net monthly subscription dollar retention rate stayed above 99%.
Profitability improved sharply. The quarter's GAAP operating loss was $45.04 million, narrowing from a loss of $255.61 million a year earlier, and the GAAP operating margin moved from (48.7)% to (7.9)%. Gross profit for the quarter was $401.05 million, up 10.1%. Non-GAAP operating income was $117 million, or 20.5% of revenue, up 650 basis points from 14.0% in the prior-year quarter. Adjusted EBITDA was $138 million, or 24.2% of revenue, against $93 million and 17.7%. The GAAP net loss was $47.24 million for the quarter, narrower than the $284.06 million loss reported a year earlier. For the full year, the GAAP net loss was $165.24 million versus $879.17 million in 2022, and the diluted loss per share was $1.74 against $9.23. Non-GAAP diluted earnings per share was $0.86 for the quarter and $3.23 for the year.
Cash generation set records. Net cash provided by operating activities was $113.84 million in the quarter, up 189.1% from $39.37 million, and $399.66 million for the year, up 108.9%. Adjusted, unlevered free cash flow, a non-GAAP measure, was $97 million in the quarter, or 17.0% of revenue, against $0.4 million and 0.1% a year earlier; the full year figure was $325 million, or 14.8% of revenue. Capital expenditures were $6.00 million in the quarter, down 32.5%, and $23.51 million for the year, down 28.1%. Cash and cash equivalents ended 2023 at $222 million, down from $432 million at the end of the third quarter of 2023, after roughly $240 million went to repurchase a portion of the 2025 convertible notes and more than $60 million went to share repurchases. Deferred revenue rose 11.4% to $233.62 million, and remaining performance obligations rose 14.3% to $2.40 billion.
Guidance for the first quarter of 2024 points to total revenue growth of 8% to 9% year over year, a non-GAAP operating margin of 19.5%, and non-GAAP earnings per share of $0.79 to $0.80. For the full fiscal year 2024, the company guides annual revenue growth of 8% to 9%, a non-GAAP operating margin of 21.0%, non-GAAP earnings per share of $3.50 to $3.58, and an adjusted, unlevered free cash flow margin of 17.5%, an implied $415 to $420 million. Share-based compensation is forecast at $380 to $390 million for the year and $98 to $100 million in the first quarter, with restructuring costs of $5 to $7 million in each period. The company expects no material cash taxes given its net operating loss carryforwards.
Risks sit on both the demand and balance sheet sides. Management said larger customers are buying more cautiously, showing smaller initial deployments and longer sales cycles, while upsell of additional MVP services has slowed as customers hold down hiring. RingCentral cut headcount again in the fourth quarter, part of a cost program that lifts margins but leaves the growth burden on newer products such as RingCX, RingCentral Events, and the healthcare offering. About $161.3 million of the 2025 convertible notes remained outstanding ahead of a March 2025 maturity, and $85.0 million was left under share repurchase authorizations at December 31, 2023 before the board added $150 million in February 2024.

Risks
MD&A reports more cautious buying behavior from larger customers, smaller initial deployments, elevated sales cycle times for up-market customers, and less upsell of additional MVP services as customers slowed hiring and rationalized employee counts. It anticipates this behavior may persist until the macroeconomic environment becomes less uncertain.
A substantial portion of revenues depends on strategic partners and global service providers including Avaya, Amazon, Atos, ALE, Mitel (Unify), Charter Communications, Vodafone, DT, and Optus. Risk factors note partner failures to meet minimum commitments, past Avaya-related write-down charges, and recoverability assessment for prepaid sales commission balances with Avaya.
A portion of software development, quality assurance, and network operations workforce is in Ukraine and Israel, where there are armed conflicts, and operations are outsourced to third parties in Georgia and the Philippines. The company discontinued partner operations in Ukraine, disrupting development and release of new features, and has incurred relocation costs.
Future performance depends on senior management, particularly co-founder Vladimir Shmunis, who stepped down as Chairman and CEO in Q3 2023 and returned in Q4 2023. No executive officer is bound by a written employment agreement, and competition for highly skilled personnel is intense.
The Credit Agreement and 2030 Senior Notes impose operating and financial restrictions, and servicing debt may require significant cash. MD&A states the remaining $161.3 million of 2025 Convertible Notes mature in March 2025 and interest expense increased during fiscal 2023 compared with fiscal 2022.
The cloud communications market is intensely competitive, with competitors including Microsoft, Cisco, Zoom, 8x8, and others, and some strategic partners and global service providers also sell competing solutions. Competitors may adopt aggressive pricing or freemium models and bundled offerings, which could decrease prices, slow growth, increase customer turnover, or reduce market share.
Increased customer turnover or costs to retain and upsell customers could materially and adversely affect financial performance. Month-to-month customers may terminate without penalty, and macroeconomic conditions could cause customers to seek fewer users, shorter contract lengths, or less expensive subscription plans.
Security incidents could delay or interrupt service, harm reputation, and subject the company to liability. Risk factors state that AI-powered features incorporated into solutions may create additional cybersecurity risks and that cyber-attack activity increased in connection with the war between Russia and Ukraine.
U.S. mobile carriers require businesses using SMS on over-the-top providers, including UCaaS providers such as RingCentral, to register with The Campaign Registry. Registration and vetting can be cumbersome and costly, may cause customer churn especially for SMB customers, and unregistered customers may not be able to send or receive SMS.
The dual-class structure gives pre-IPO holders, including founders and certain executive officers, approximately 54% of voting power as of December 31, 2023, limiting other stockholders' influence. The Series A Convertible Preferred Stock has preferential dividend and liquidation rights, and upon certain change of control events is redeemable at $1,000 per share, which could affect liquidity.
Share repurchase programs may not be fully implemented or enhance long-term stockholder value, and could increase stock price volatility and diminish cash reserves. As of December 31, 2023, the company had repurchased approximately $315.0 million under the programs and approximately $85.0 million remained authorized, with an incremental $150 million authorized in February 2024.
