Summary

DocuSign closed fiscal 2022 with revenue of $580.8 million in the fourth quarter, up 34.8% from the prior-year quarter, and $2.11 billion for the full year, up 45.0%. Gross margin was 77.4% for the quarter, up 0.9 percentage points from 76.4%, and 77.9% for the fiscal year, up 2.9 percentage points. Profitability remains the weak spot. The GAAP operating loss was $25.2 million, a touch wider than the $24.9 million loss a year earlier. The quarterly operating margin came in at negative 4.3%, improved from negative 5.8%. Net loss narrowed to $30.4 million from $72.4 million in the prior-year quarter. For the full year, net loss was $70.0 million and diluted loss per share was $0.36, against a net loss of $243.3 million and a diluted loss per share of $1.31 in fiscal 2021.

Cash generation was the brighter part of the story. Operating cash flow was $87.8 million in the quarter, up 41.1% from $62.2 million a year earlier, and $506.5 million for the fiscal year, up 70.6%. Free cash flow, a non-GAAP measure the company defines as operating cash flow less purchases of property and equipment, was $70.3 million for the quarter and $445.1 million for the year. Capital expenditures were $17.5 million in the quarter, down 4.3%, and $61.4 million for the year, down 25.5%. Billings, another non-GAAP metric, were $670.1 million, up 25% year-over-year, and $2.4 billion for fiscal 2022, up 37%. Remaining performance obligations were $1.60 billion, up 45.5%, and current deferred revenue was $1.03 billion, up 32.1%. Cash, cash equivalents, restricted cash and investments totaled $898.4 million at January 31, 2022.

Customer counts kept climbing. Management said the company added 280,000 new customers during the year and passed 1.17 million customers overall. The 10-K puts the base at more than 1.1 million customers at January 31, 2022, including over 170,000 enterprise and commercial customers, against more than 890,000 total customers and more than 120,000 enterprise and commercial customers a year earlier. Customers with more than $300,000 in annual contract value rose from 599 to 852. International revenue was 23% of total revenue in fiscal 2022, up from 20% in fiscal 2021. The board authorized repurchases of up to $200 million of common stock, with no minimum purchase commitment and no set end date. In February 2022 DocuSign and Zoom announced a partnership that lets signers review and complete agreements inside Zoom.

Guidance points to a slower trajectory. For the quarter ending April 30, 2022, DocuSign guided to total revenue, billings, non-GAAP gross margin, non-GAAP operating margin and non-GAAP diluted weighted-average shares outstanding. For the full fiscal year ending January 31, 2023, the company guided to total revenue, subscription revenue, billings, non-GAAP gross margin, non-GAAP operating margin, a provision for income taxes and non-GAAP diluted weighted-average shares outstanding. DocuSign did not reconcile its non-GAAP guidance to the corresponding GAAP measures, saying stock-based compensation expense cannot be reasonably calculated or predicted at that time. Management framed the outlook against a year that unfolded differently than expected even as the business scaled past the multi-billion dollar mark.

Risks cluster around demand and cost. The 10-K warns that as the pandemic abates, customer demand could slow or the sales environment could get harder, and that these shifts can happen faster than the company anticipates. Because subscription revenue is recognized ratably, the impact may not appear until future periods. Management also flags competition, data breaches and cyberattacks, hiring and retention, and the evolving nature of the market for its products. DocuSign carried an accumulated deficit of $1.4 billion at January 31, 2022 and expects to keep posting operating losses for the foreseeable future. It keeps a valuation allowance against its U.S. and certain foreign deferred tax assets.

Risks

HIGHMacroeconomic

The COVID-19 pandemic has materially affected and may continue to impact how DocuSign and its customers operate. After periods of exceptionally high revenue growth during the pandemic, the urgency of customer demand slowed, and the subscription-based model may delay the full effects on future results. MD&A highlights variable regional impacts and the risk of decreased demand or a more challenging sales environment.

HIGHConcentration Risk

DocuSign derives a majority of revenue from its DocuSign eSignature product, and subscription revenue was 97% of total revenue in FY2022. Slower or declining adoption of eSignature without a corresponding increase in other products and solutions could cause operating results to suffer.

HIGHGrowth Rate

Recent rapid growth may not be indicative of future growth. Revenue grew from $1.5 billion in FY2021 to $2.1 billion in FY2022, and DocuSign expects its revenue growth rate to decline as scale increases. Future growth rates may fail to meet expectations, particularly against pandemic-accelerated periods.

HIGHCompetition

The market is highly competitive, with Adobe Sign as the primary global e-signature competitor. Competitors may offer lower pricing or bundle competing products, which may negatively affect DocuSign's ability to add new customers, retain existing customers, and grow its business.

HIGHCustomer Retention

DocuSign's ability to increase revenue depends on expanding sales to and renewing subscriptions with existing customers. A majority of subscription contracts are for one year, customers have no obligation to renew, and renewal and expansion rates may decline due to spending levels, dissatisfaction, pricing, competition, or economic conditions.

HIGHCybersecurity Incident

DocuSign has faced security incidents in the past and may face future breaches. Remote and hybrid work arrangements may rely on less secure systems and increase cybersecurity risk. A breach could result in loss of customers, regulatory fines, litigation, and reputational harm.

MEDIUMSales Cycle

The sales cycle with enterprise and commercial customers can be long and unpredictable, generally three to nine months, and longer for DocuSign CLM and other advanced offerings. This makes the timing of revenue recognition difficult to predict and requires significant upfront sales and marketing expense.

MEDIUMRegulatory

DocuSign is subject to laws and regulations related to e-signature, marketing, advertising, privacy, data protection, and information security. Actual or perceived failure to comply could harm its business, and compliance, particularly with privacy and data protection laws, could result in additional costs or inhibit sales.

MEDIUMGovernment Sales

Sales to U.S. federal, state, local, and foreign government agencies and highly regulated organizations are subject to longer sales cycles, certification requirements, public sector budgetary cycles, and contract termination rights. Funding reductions or delays may adversely affect public sector demand.

MEDIUMPricing Pressure

DocuSign may need to reduce or change its pricing model to remain competitive. Mid- to large-size enterprises may demand substantial price discounts, and competitors may introduce lower-cost or differentiated products, which could adversely affect operating results.

MEDIUMDebt

As of January 31, 2022, DocuSign had $37.1 million principal of 2023 Notes, $690.0 million principal of 2024 Notes, and $500.0 million available under its credit facility. This indebtedness may limit business flexibility, require substantial cash for debt service, and the credit facility restricts cash payments on conversions or repurchases of the Notes.

MEDIUMRevenue Recognition

DocuSign recognizes subscription revenue over the contract term, typically one year but up to three years or longer. Downturns or upturns in sales contracts are not immediately reflected in full in operating results, making it difficult to rapidly increase revenue through additional sales contracts in any period.

MEDIUMMarket Adoption

The market for DocuSign's products and solutions is relatively new and evolving. If the market does not develop further, develops more slowly, or in unexpected ways, DocuSign's business will be adversely affected. International markets may have less familiarity with and acceptance of e-signature products.

MEDIUMInflation

Rising inflation and DocuSign's ability to control costs, including operating expenses, may affect operating results. MD&A notes that future capital requirements depend on factors including inflation.
