Summary

DocuSign posted revenue of $588.7 million in the first quarter of fiscal 2023, up 25% from $469.1 million in the same quarter a year earlier. The quarter ended April 30, 2022. Subscription fees supplied 97% of total revenue, up from 96% a year ago, so the business still rests on the core e-signature platform. Customer counts kept climbing: management said the period added nearly 67,000 new customers, lifting the global base to 1.24 million. Bigger accounts moved faster. The number of customers spending more than $300,000 in annual contract value grew from 673 to 886, and international revenue reached 25% of the total, up from 21%.

Gross profit rose 25.4% to $456.3 million, and gross margin came in at 77.5%, essentially flat against 77.6% a year earlier. The operating line is where the strain shows. The operating loss widened to $19.2 million from $10.7 million, and operating margin slipped to -3.3% from -2.3%. The net loss widened to $27.4 million from $8.4 million, and diluted loss per share widened to $0.14 from $0.04. Set aside stock-based compensation and related items, and the non-GAAP picture stays profitable. Non-GAAP operating margin was 17%, compared with 20% a year earlier, and non-GAAP net income per diluted share was $0.38 against $0.44.

Cash generation was the strongest part of the release. Net cash provided by operating activities was $196.3 million, up 44.8% from $135.6 million. Free cash flow, which the company defines as operating cash flow less purchases of property and equipment, was $174.6 million, compared with $123.0 million a year earlier. Capital expenditures were $21.7 million, up 72.3% from $12.6 million, funding data center build outs and capitalized software development.

Billings, a non-GAAP measure, rose 16% to $613.6 million. That trails the 25% revenue growth, which suggests invoiced bookings are cooling even as reported revenue catches up on contracts signed earlier. Contracted backlog tells a better story. Deferred revenue, the current portion, rose 26.5% to $1.05 billion, and remaining performance obligations climbed 33.3% to $1.60 billion.

Guidance for the quarter ending July 31, 2022 puts billings at $599 million to $609 million. For the full fiscal year ending January 31, 2023, management expects billings of $2.521 billion to $2.541 billion. The outlook also covers subscription revenue and non-GAAP margins, but the company has not reconciled those non-GAAP targets to the corresponding GAAP measures because stock-based compensation cannot be reasonably calculated or predicted.

Two risks stand out. The 10-Q notes that the urgency of customer demand slowed after the pandemic surge, and it warns that inflation, rising interest rates and market volatility could shift customer priorities and budgets. DocuSign also expects to keep incurring operating losses for the foreseeable future and says it may need additional capital to fund growth initiatives. On the operational side, the company announced five executive appointments across sales, legal, people and product, and on June 7, 2022 it expanded its partnership with Microsoft, which will adopt DocuSign eSignature and CLM internally. Cash, cash equivalents, restricted cash and investments were $1.1 billion as of April 30, 2022.

Risks

HIGHCOVID-19

The filing states the COVID-19 pandemic initially produced exceptionally high revenue growth but the urgency of customer demand later slowed, and MD&A says these shifts may occur more quickly than anticipated. Because revenue is recognized over subscription terms, the full effects may not be reflected until future periods.

HIGHProduct Concentration

The company derives a majority of revenue from DocuSign eSignature, and slower or declining adoption without a corresponding increase in other products could cause operating results to suffer.

HIGHProfitability

The company has a history of operating losses and expects to continue incurring operating losses; net loss widened to -$27.37 million in FY2023 Q1 from -$8.35 million in FY2022 Q1.

HIGHCustomer Retention

A majority of subscription contracts are one year, customers have no obligation to renew, and renewal and expansion rates may decline due to spending levels, customer dissatisfaction, pricing, competition or economic conditions.

HIGHCybersecurity

The company states its systems and security measures have been compromised in the past and may be again; remote or hybrid work may increase risk, and a breach could cause liability, regulatory action and loss of customer confidence.

HIGHLitigation

A putative securities class action and three derivative cases allege false and misleading statements about the business and prospects during the COVID-19 pandemic for the period June 4, 2020 to December 2, 2021; defense may be costly and divert management.

MEDIUMGrowth Management

The filing warns recent rapid growth may not be indicative of future growth and that revenue growth rate will decline as scale increases; current quarter revenue was up 25.5% versus the prior-year quarter.

MEDIUMCompetition

The market is highly competitive; Adobe Sign is named as the primary global e-signature competitor, and competitors may offer lower pricing or bundle competing products, which may impair customer acquisition and retention.

MEDIUMSales Cycle

Enterprise and commercial sales cycles generally run three to nine months and can be longer for DocuSign CLM and advanced offerings, making timing of revenue difficult to predict.

MEDIUMDebt

As of April 30, 2022, the company had $37.1 million principal under the 2023 Notes, $690.0 million under the 2024 Notes, and $500.0 million available under its credit facility; servicing or refinancing this debt may constrain flexibility.

MEDIUMRegulatory

The company is subject to e-signature, privacy and data protection laws; it cites EU data transfer mechanisms and the need to migrate existing standard contractual clauses to revised clauses by December 27, 2022, with potential compliance costs and liability.

MEDIUMMacroeconomic

Unfavorable global economic conditions, inflation, rising interest rates, regional and global conflicts, including the conflict in Ukraine, could reduce information technology spending and harm results.

MEDIUMPlatform Reliability

The company depends on co-located data centers, third-party cloud providers and its own technical operations infrastructure; interruptions or delays could cause customer dissatisfaction, loss of customers and reduced revenue.
