Summary
Tyler Technologies reported first quarter fiscal 2025 revenue of $565.2 million, up 10.3% from the prior-year quarter. Gross profit rose to $267.1 million, up 19.4%, and gross margin expanded to 47.3%, up 3.6 percentage points. Operating income was $89.2 million, up 33.1%, with operating margin at 15.8%, up 2.7 percentage points. Net income reached $81.1 million, up 49.6%, and diluted EPS was $1.84, up 46.0%. Those GAAP results benefited from a richer mix of subscription and transaction revenue, lower software license and maintenance revenue, and cost leverage.
Non-GAAP and operational metrics pointed in the same direction. Recurring revenues were $487.8 million, up 13.3%, and made up 86.3% of total revenues, up from 84.0%. Subscription revenue grew 19.7%. Within subscriptions, SaaS revenue grew 21.0%, and transaction-based revenue rose 18.5%. Annualized recurring revenue was $1.95 billion, up 13.3%. Non-GAAP operating income was $151.4 million, up 24.4%. Non-GAAP net income was $122.1 million, or $2.78 per diluted share, up 28.9%. Adjusted EBITDA was $162.3 million, up 21.5%.
Cash flow was the weaker spot. Operating cash flow was $56.2 million, down 21.8% from the prior-year quarter. Capital expenditures were $2.34 million, down 67.9%. Free cash flow was $48.3 million, down 15.6%, and free cash flow margin was 8.5% compared with 11.2% in the prior-year quarter. Deferred revenue was $664.8 million, up 16.2%. The operating cash flow decline reflected changes in working capital, including lower deferred revenue balances, timing of prepaid renewals, bonus payments, and payroll-related tax payments.
Operationally, Tyler said SaaS arrangements made up about 96% of total new software contract value, up from about 93%. It added 672 new SaaS clients and converted 431 existing on-premises clients to SaaS since March 31, 2024. Employee count was 7,462 as of March 31, 2025, up from 7,305 a year earlier. The company closed the acquisition of MyGov, LLC on January 31, 2025 for about $18.2 million. Management's full-year 2025 guidance calls for non-GAAP diluted EPS of $11.05 to $11.35 and free cash flow margin of 24% to 26%.
Risks remain. Tyler's clients are mainly local and state governments, so changes in their budgets or regulatory environments could reduce IT spending. The company also flagged cyber-attacks, security vulnerabilities, and the need to protect client information and keep data centers running. Integration of acquired businesses could bring unanticipated costs or disruptions. Other named risks include project delays, fewer transactions, reliance on internet infrastructure, general economic and political conditions, continued inflation and rising interest rates, competition, and the ability to attract and retain qualified personnel. Tyler faces compliance costs tied to government and stock exchange regulations. The first quarter cash flow decline also shows how working capital and renewal timing can swing results.
Tyler started fiscal 2025 with double-digit revenue growth and margin expansion. The profit and margin gains were broad, though operating cash flow and free cash flow fell. Management's updated full-year outlook signals confidence in SaaS and transaction revenue trends. Investors will watch whether the company can sustain SaaS growth of 20% or more and convert that growth into cash as the year progresses.
