Operationally, Docusign launched its AI-powered Intelligent Agreement Management platform globally in December 2024, excluding Japan. Navigator became available in every country where Docusign products are sold and was localized in all 14 supported languages. The company introduced Docusign for Developers in November 2024 and added several IAM features across create, commit, and manage workflows. Customer count stood at nearly 1.7 million as of January 31, 2025. Customers with more than $300,000 in annualized contract value totaled 1,131, up from 1,060 a year earlier. International revenue represented 28% of total revenue for the year.
Guidance for the quarter ending April 30, 2025 calls for non-GAAP gross margin between 80.5% and 81.5%, and non-GAAP operating margin between 27.0% and 28.0%. For the full fiscal year ending January 31, 2026, the company guided non-GAAP gross margin at 80.5% to 81.5% and non-GAAP operating margin at 27.8% to 28.8%. Excluding foreign currency effects, revenue guidance would be about 0.7 percentage point higher, and billings guidance about 1.0 percentage point higher.
Risks remain material. The company cites global macroeconomic conditions, including inflation, volatile interest rates, and foreign exchange rate swings. Competition is intense, and the market for agreement management is evolving quickly. Docusign faces execution risk around its IAM platform, including the ability to develop, launch, and sell IAM solutions and to incorporate generative AI into existing products. Scaling the platform, retaining customers, and expanding internationally all require continued investment. The company also notes risks from data breaches, cyberattacks, and interruptions to its technical infrastructure. On the cost side, stock-based compensation and employer payroll taxes on employee stock transactions can vary with the stock price and hiring needs. Litigation and loss contingencies could lead to material charges. Docusign repurchased $161.7 million of common stock during the quarter.

Risks
Docusign derives a majority of revenue from eSignature, and the 10-K says slower or declining adoption or sales of eSignature without corresponding increases in other IAM platform solutions could cause operating results to suffer. It also notes eSignature accounts for substantially all subscription revenue and professional services revenue.
Docusign says subscription revenue was 97% of total revenue in FY2025 and a majority of subscription contracts are for one year. Customers have no obligation to renew, and renewal or expansion declines could reduce revenue.
Docusign launched its IAM platform in April 2024 and began offering it on a user-based subscription with transaction-based add-ons in Q2 fiscal 2025. If the platform or its new pricing model fails to achieve market acceptance, financial results and competitive position could suffer.
Docusign is making significant investments in AI-powered features and says competitors may incorporate AI into products more quickly or successfully, which could impair its ability to compete. The filing also cites EU AI Act requirements and prior FTC AI-related inquiries sent to Docusign.
Docusign says it is a frequent target of cyberattacks and has faced security incidents in the past that were not material. The 10-K also notes remote or hybrid work and reliance on third-party cloud providers may increase cybersecurity risk.
The 10-K says enterprise and commercial sales cycles are generally three to nine months and can be longer for CLM and other advanced offerings, with IAM solutions potentially adding complexity. This timing risk makes revenue recognition difficult to predict.
The filing discloses significant senior leadership changes in the last 12 months, including Steve Shute's August 2024 departure and Paula Hansen's appointment as President, Chief Revenue Officer. It also says competition for AI talent is intense and may increase compensation expenses.
The filing highlights evolving privacy, data protection, AI, export, and e-signature regulations, including GDPR, FTC and OCR oversight, the EU AI Act, and eIDAS or FedRAMP reliance. Noncompliance could lead to fines, investigations, or loss of customer trust.
The 10-K says unfavorable global economic conditions, reductions in IT spending, inflation, interest rates, tariffs, and geopolitical conflict could cause customers to slow spending on Docusign products. It notes these factors can make forecasting difficult.
Docusign acquired Lexion in May 2024 and continues to evaluate acquisitions. The filing cites risks of integration difficulties, diverting management attention, unforeseen expenditures, impairment charges, and dilution from equity financing.
Total revenue from customers outside the U.S. was 28% in FY2025 compared with 26% in FY2024 and 25% in FY2023. International expansion brings risks from localization, privacy rules, labor regulations, currency, sanctions, and regional conflicts.
