Summary
DocuSign reported total revenue of $645.5 million for FY2023 Q3, ended October 31, 2022, up 18.3% from the prior-year quarter. Gross profit reached $515.9 million, up 20.1%, and gross margin improved to 79.9%, up 1.2 percentage points. The top line and gross profit grew, but GAAP profitability moved in the opposite direction. Operating loss was $27.4 million, and net loss was $29.9 million. Diluted EPS was negative $0.15. Operating margin fell to negative 4.2%, down 3.6 percentage points from the prior-year quarter. The quarter shows a business still expanding at a solid clip while absorbing heavier operating costs.
Cash generation slowed. Operating cash flow was $52.5 million, down 50.2% from the prior-year quarter. Capital expenditures were $16.5 million, up 7.0%. Free cash flow, a non-GAAP measure, was $36.1 million compared with $90.0 million. Deferred revenue, current portion, was $1.09 billion, up 15.8% from the prior-year quarter. Remaining performance obligations were $1.70 billion, up 13.3%. Billings, another non-GAAP metric, were $659.4 million, up 17% year-over-year. Non-GAAP gross margin was 83%, and non-GAAP operating margin was 23%.
Customer metrics continue to expand. DocuSign served over 1.3 million customers, including approximately 202,000 enterprise and commercial customers, compared with over 1.1 million total customers and over 159,000 enterprise and commercial customers a year earlier. Customers with greater than $300,000 in annualized contract value rose to 1,052 from 785. Product news included a third consecutive year as a Leader in the 2022 Gartner Magic Quadrant for CLM, with the highest placement among 18 vendors on the ability to execute axis. DocuSign also introduced Elastic Signing, enhanced eSignature for Microsoft Teams, added CLM Essentials improvements, and rolled out digital certificates for DocuSign Notary.
The restructuring plan announced in the third quarter is a key swing factor. Management expects the majority of restructuring and other related charges to be incurred in the third and fourth quarters of fiscal 2023. The charges are tied to a plan to improve operating margin and support growth, scale and profitability objectives. Macro risks remain prominent. The 10-Q cites global macro-economic conditions, inflation, rising and fluctuating interest rates, market volatility, COVID-19 demand shifts, and increased competition. Foreign exchange also weighed on results due to the weakening euro and British pound.
For the quarter ending January 31, 2023, DocuSign guides billings to $705 million to $715 million, non-GAAP gross margin to 82% to 83%, non-GAAP operating margin to 20% to 22%, and non-GAAP diluted weighted-average shares to 205 million to 210 million. For the fiscal year ending January 31, 2023, the company guides billings to $2,626 million to $2,636 million, non-GAAP gross margin to 81% to 82%, non-GAAP operating margin to 18% to 20%, and non-GAAP diluted weighted-average shares to 205 million to 210 million. DocuSign has not reconciled its non-GAAP guidance to GAAP because stock-based compensation expense cannot be reasonably calculated or predicted at this time.
The quarter delivered double-digit revenue growth and expanding gross margin, but GAAP losses widened and operating cash flow fell sharply. The guidance implies continued non-GAAP profitability, yet execution on restructuring and the macro backdrop remain the main risks.

Risks
Substantially all subscription and professional services revenue depends on DocuSign eSignature, and slower adoption without offsetting growth in other Agreement Cloud products could hurt operating results. This matters because total revenue rose 18.3% in the quarter ended October 31, 2022 while operating loss widened to $27.4 million from $3.4 million in the prior-year quarter.
DocuSign has a history of net losses, with net loss widening to $102.3 million for the nine months ended October 31, 2022 from $39.5 million for the nine months ended October 31, 2021. It may not achieve or sustain profitability in the future.
Significant senior leadership changes in the last 12 months include the resignations of the President and CEO and COO in June 2022 and the interim CEO's resignation in October 2022 upon appointment of a new President and CEO. Several other senior leadership transitions could disrupt execution.
Operating cash flow decreased 50.2% in the quarter ended October 31, 2022 to $52.5 million from $105.4 million in the prior-year quarter, and decreased 11.7% for the nine months ended October 31, 2022. MD&A attributes part of the year-over-year operating cash decline to lower contract liability growth.
DocuSign has substantial indebtedness outstanding under its 2023 Notes and 2024 Notes and available borrowing capacity under a credit facility. Debt service and potential cash settlement of conversions could reduce business flexibility and liquidity.
DocuSign has faced security incidents in the past, and its systems and third-party cloud providers may be compromised by credential stuffing, ransomware, phishing or other attacks. Remote and hybrid work arrangements may rely on less secure systems and increase incident risk.
In September 2022 DocuSign authorized a Restructuring Plan reducing the current workforce by approximately 9%, with execution expected to be substantially complete by the end of fiscal 2023. Failure to realize expected cost savings or unanticipated charges could harm results.
Enterprise and commercial sales cycles are long and unpredictable, generally three to nine months and longer for DocuSign CLM, and depend on customer budgets and procurement. MD&A notes longer sales cycles for these customer types, which can delay revenue recognition.
The market is highly competitive, with Adobe Sign as the primary global eSignature competitor and other vendors in contract lifecycle management and analytics. Competitors may offer lower pricing or bundle competing products, pressuring DocuSign's ability to add and retain customers.
Inflation, rising interest rates, regional conflicts and global economic uncertainty could cause customers to slow information technology spending or delay purchases. MD&A cites changing customer priorities, resources and economic outlook as factors affecting demand.
MD&A reports an increased net foreign currency exchange loss for the nine months ended October 31, 2022 due to weakening of the euro and British pound versus the U.S. dollar. International revenue was 24% of total revenue in the quarter ended October 31, 2022, exposing results to currency moves.
DocuSign recently launched a new ERP system, which is complex and requires significant capital and human resources while business processes are reengineered. If it does not operate as intended, operations, financial reporting and internal control over financial reporting could be adversely affected.
DocuSign is subject to e-signature, privacy, data protection, marketing and information security laws, and compliance costs or actual or perceived failures could inhibit sales and lead to liabilities. This is emphasized in the risk factor summary and detailed regulatory risk factor.
