Summary
Docusign's fiscal 2025 second quarter, ended July 31, 2024, produced total revenue of $736.0 million, up 7% from $687.7 million in the same quarter a year earlier. Subscription revenue rose 7% and made up 97% of the total. For the six months ended July 31, 2024, revenue reached $1.45 billion, up 7.2% from $1.35 billion. GAAP gross margin was 78.9%, flat against 78.8% in the prior-year quarter.
The profit picture moved sharply, mostly for accounting reasons. GAAP net income was $888.2 million, up from $7.4 million a year earlier, and diluted EPS was $4.26 against $0.04. Most of that swing came from a discrete tax item, a release of $837.7 million of valuation allowance against U.S. deferred tax assets. Operating income, which sits above the tax line, was $57.8 million versus $6.6 million, lifting GAAP operating margin to 7.9% from 1.0%. Non-GAAP operating margin was 32.2% versus 24.7%, and non-GAAP net income per diluted share was $0.97 versus $0.72.
Cash generation held steady. Operating cash flow was $220.2 million versus $211.0 million, and free cash flow, which subtracts purchases of property and equipment, came in at $197.9 million versus $183.6 million. Capital expenditures fell 18.6%, to $22.3 million from $27.4 million. Current deferred revenue rose 8.2% to $1.31 billion, and remaining performance obligations rose 15.8% to $2.20 billion. Billings of $724.5 million grew 2%, trailing revenue growth and reflecting the timing of renewals. Docusign repurchased $200.1 million of stock during the quarter, against $30.0 million a year earlier.
The quarter's main operating event was the general availability of the Intelligent Agreement Management platform. IAM Core, IAM for Sales and IAM for CX shipped in the U.S., with IAM for CX live for small and medium-sized commercial customers in North America and Australia. Management plans to continue the rollout to enterprise and self-service customers across additional geographies through the fiscal year. Docusign also named Paula Hansen as President and Chief Revenue Officer and Sagnik Nandy as Chief Technology Officer. Customer counts reached roughly 1.6 million, including about 253,000 enterprise and commercial customers, compared with over 1.4 million and about 226,000 a year ago. Customers with more than $300,000 in annualized contract value numbered 1,066, up from 1,047. International revenue was 28% of the total, up from 26%.
Guidance for the next quarter, which ends October 31, 2024, and for the full fiscal year ending January 31, 2025, keeps the focus on margins. The company guided to a non-GAAP gross margin of 81.0% to 82.0% and a non-GAAP operating margin of 28.5% to 29.5% for the quarter. For the full year, non-GAAP gross margin is guided to 81.0% to 82.0% and non-GAAP operating margin to 29.0% to 29.5%. The company also guided to non-GAAP diluted weighted-average shares outstanding of 206 million to 211 million for both periods.
Two risks stand out. The net income figure is not repeatable, since the valuation allowance release is a one-time benefit and a valuation allowance remains against certain federal deferred tax assets subject to limitation on use and against California deferred tax assets. Restructuring is still a drag, with $29.7 million of restructuring and other related charges in the first half tied to the 2025 Restructuring Plan, which followed a similar plan a year earlier. Execution on the IAM rollout, competition in the agreement software market, and general macro conditions are the other swing factors the filings flag.

Risks
Docusign derives a majority of revenue from eSignature, and the filing says eSignature is expected to represent the majority of revenue for the foreseeable future. Slower or declining eSignature adoption without a corresponding increase in other products could cause operating results to suffer.
The filing states that disruptive technologies such as generative AI may fundamentally alter the market for Docusign's services in unpredictable ways and reduce customer demand. Docusign is also investing in AI-powered products such as the Lexion acquisition.
Docusign launched its IAM platform in April 2024 and began offering it on a user-based subscription with transaction-based add-ons gradually in Q2 FY2025. If the IAM platform or other new offerings do not achieve market acceptance, financial results could be harmed.
Docusign has had significant senior leadership changes in the last 12 months, including Steve Shute's August 2024 departure and Paula Hansen's appointment as President, Chief Revenue Officer. Competition for AI expertise is intense, and restructuring plans reducing the workforce by approximately 10% and 6% could hurt retention.
Sales cycles for enterprise and commercial customers are generally three to nine months but vary substantially. The filing says CLM and other advanced offerings involve longer evaluation and qualification processes, and IAM solutions may also lengthen sales cycles.
The filing says Docusign has faced past security incidents that were not material and notes the July 2024 CrowdStrike software update caused widespread Windows system crashes, including systems potentially used by third-party service providers, vendors and customers. Future third-party software-induced interruptions could disrupt operations.
Docusign stores and processes large amounts of sensitive customer data, including health information and personal financial information, and is subject to GDPR, FTC, OCR, California and other regulations. Actual or perceived improper use, disclosure or access could harm reputation and business.
International revenue represented 28% of total revenue in each of the three and six months ended July 31, 2024 compared to 26% in the prior-year periods. Further geographic expansion carries operational, regulatory, currency and compliance challenges.
Docusign acquired Lexion in May 2024, an AI-powered contract management platform, and the filing notes integration and benefit-realization risks. Failure to integrate operations, personnel or technology could harm financial results.
Net income was $888.21 million in FY2025 Q2, up from $7.40 million in FY2024 Q2, and MD&A attributes the change primarily to a release of a U.S. deferred tax asset valuation allowance. Future tax law changes, global minimum tax rules and NOL limitations could increase volatility.
Risk factors cite potential costs and distraction from securities litigation and litigation and claims involving Docusign's former CEO. Such matters could result in substantial costs and divert management attention.
Docusign depends on co-located data centers and third-party cloud providers and is transitioning to public cloud infrastructure. Interruptions or delays from these providers could cause customer dissatisfaction, loss of customers and reduced revenue.
The filing says incorporating AI-powered features may subject Docusign to new and evolving regulatory scrutiny, litigation, social or ethical concerns. Inaccurate, deficient, offensive or biased AI outputs could harm reputation and create liability.
