Risks
MD&A states ongoing macroeconomic conditions, such as increases in interest rates, inflation and changes in foreign currency exchange rates, could have material negative effects on the business that are uncertain and outside its control. Net interest expense for Q3 2023 was $120.6 million compared to $86.0 million in the prior-year quarter due to a higher average interest rate.
SS&C carries substantial senior secured credit facilities and senior notes, and its amended credit facility requires compliance with a minimum consolidated net secured leverage ratio. As of September 30, 2023, the actual consolidated net secured leverage ratio was 2.21x against a maximum covenant requirement of 6.25x, and a breach could result in acceleration of debt and a material adverse effect on results, financial position and cash flows.
The effective tax rate for the nine months ended September 30, 2023 was 28.8% compared to 26.9% in the prior-year period, primarily due to an increase in uncertain tax positions. Future changes in the composition of income before income taxes from foreign and domestic jurisdictions could impact the periodic effective tax rate.
