Summary
RingCentral closed fiscal 2021 with $448.5 million of fourth-quarter revenue, up 34.1% year over year. Full-year revenue was $1.59 billion, up 34.7%. The company's annualized exit monthly recurring subscriptions reached $1.8 billion, up 39%. RingCentral Office ARR was $1.7 billion, up 41%, and mid-market and enterprise ARR surpassed $1 billion, up 52%. Management pointed to upmarket momentum and partner contributions, including the new Mitel partnership, where RingCentral became Mitel's exclusive UCaaS partner for a customer base of over 35 million users. The quarter also included the launch of Vodafone Business UC with RingCentral in several countries and an expanded Deutsche Telekom partnership.
GAAP profitability showed the cost of that growth. Fourth-quarter gross profit rose 28.4% to $312.5 million, but gross margin fell to 69.7%, down 3.1 percentage points. The quarter's operating loss widened to $103.3 million. Operating margin was negative 23.0%, down 14.4 percentage points. Net loss widened to $118.4 million. For the full year, the operating loss widened to $301.8 million, net loss widened to $376.3 million, and diluted EPS was negative $4.10, with the loss widening. The company attributed the GAAP losses to higher share-based compensation, amortization of acquisition intangibles, acquisition-related and other matters, and lower mark-to-market gains. On a non-GAAP basis, fourth-quarter operating income was $47 million, and non-GAAP net income per diluted share was $0.39. Full-year non-GAAP operating income was $162 million, and non-GAAP net income per diluted share was $1.34.
Cash generation improved. Fourth-quarter operating cash flow was $47.7 million, up year over year. Full-year operating cash flow was $152.2 million, up. Capital expenditures were $7.2 million in the quarter, down 25.5%, and $29.0 million for the full year, down 33.6%. Deferred revenue, current portion, was $176.5 million, up 24.1%. Remaining performance obligations were $1.80 billion, up 38.5%. The board authorized a share repurchase program of up to $100 million, with no shares repurchased as of December 31, 2021. Cash and cash equivalents were $267 million at year end, down from $345 million at the end of the third quarter of 2021, reflecting a net cash outflow tied to the Mitel partnership.
Guidance frames a slower growth year. For the first quarter of 2022, RingCentral guided to annual total revenue growth of 29% to 30%, subscription revenue growth of 31% to 32%, a non-GAAP operating margin of 9.2%, and non-GAAP EPS of $0.34. For full-year 2022, the company guided to annual total revenue growth of 25% to 26%, subscription revenue growth of 26% to 28%, a non-GAAP operating margin of 10.6%, and non-GAAP EPS of $1.69 to $1.72. Management assumed a 22.5% non-GAAP tax rate for both periods and expected no material cash taxes because of net operating loss carryforwards. The outlook also assumes share-based compensation of $107 million to $112 million in the first quarter and $450 million to $470 million for the full year.
Risks include the ongoing COVID-19 pandemic and its effect on demand, contract duration, churn, payment terms, and phone sales. The 10-K also lists the ability to realize benefits from strategic relationships, integration of acquisitions, the ability to add and retain larger enterprise customers, competition, product release and customer acceptance, partner and carrier relationships, and expense management. Legal proceedings and contingencies could affect results. The loss of scale economics shows in the numbers: gross margin dropped even as revenue grew 34.1%, and the operating loss widened sharply on higher share-based compensation and intangible amortization.

Risks
Operating loss widened to $301.8 million for FY2021 from $113.2 million for FY2020, and net loss widened to $376.3 million from $83.0 million, as MD&A cites higher share-based compensation, acquisition-related costs and interest expense. The company expects to continue incurring losses for at least the foreseeable future.
The company outsources software development, quality assurance and operations to contractors in St. Petersburg, Russia and Odessa, Ukraine, and the invasion of Ukraine and related sanctions could disrupt development, increase costs and delay planned product work. It is refining a business continuity plan but cannot ensure all disruptions are mitigated.
Future results rely on executing partnerships with Avaya, Atos/Unify, ALE, Mitel, Vodafone, DT and Verizon, including co-branded ACO, UO and Rainbow Office; failure to market or sell these could reduce anticipated benefits. The Avaya prepayment of $345 million in Class A stock increases exposure to Avaya partnership success.
Intense competition from Microsoft, Cisco, Zoom, Amazon, Twilio, Vonage and others with greater resources; competitors may use aggressive pricing, freemium or bundled offerings. This could decrease prices, slow growth, increase turnover or reduce market share.
As sales efforts target medium-sized and larger businesses, the company expects higher costs and longer sales cycles, with more technical and management approvals and potential delays in revenue recognition until implementation requirements are met. MD&A states growth was driven by mid-market and enterprise customers as it moves up market.
Performance depends on senior management including CEO Vladimir Shmunis, and no executive officer is bound by a written employment agreement; replacement could involve significant time and costs. Intense competition for technical personnel and immigration or travel restrictions could impair hiring and retention.
Many customers can terminate subscriptions without penalty and may renew for fewer users or cheaper plans; a significant portion of revenues comes from small and medium-sized businesses with fewer financial resources. Economic downturn or COVID-19 impacts could increase turnover and credit card declines.
Series A Convertible Preferred Stock has preferential dividend and liquidation rights, including redemption at $1,000 per share or 1.5x if a change of control occurs before the second anniversary of November 9, 2021, which could affect liquidity. Convertible notes may require cash settlement or repurchase, and capped call counterparties carry default risk.
The company has been subject to communications fraud and cyber-attacks, and remote work, larger data volumes and movement up market may heighten targeting; a breach could cause liability, remediation costs and reputational harm. Insurance may be insufficient.
COVID-19 continues to disrupt customer demand, contract duration, churn, payment terms and credit card declines; prolonged shutdowns or variants could decrease technology spending and hurt demand. MD&A says the pandemic's effect may not be fully reflected until future periods.
