Summary
JFrog closed fiscal 2021 with strong top-line momentum but much deeper losses. Fourth-quarter revenue rose 38.8% to $59.24 million, and full-year revenue rose 37.0% to $206.68 million. Cloud revenue was $14.8 million in the fourth quarter, up 52%, and represented 25% of total revenue, up from 23% a year earlier. The customer mix kept moving upmarket. Customers with ARR of $100,000 or more reached 537, up 53%, and customers with ARR of $1 million or more reached 15, up 50%. Paying customers totaled about 6,650, up 10%. Net dollar retention for the trailing four quarters was 130%, though MD&A notes it was 133% at the end of 2020.
Profitability deteriorated sharply. Fourth-quarter gross profit was $46.37 million, up 34.1%, but gross margin fell 2.7 percentage points to 78.3%. Full-year gross profit was $164.86 million, up 34.7%, with gross margin at 79.8%, down 1.4 percentage points. Fourth-quarter operating loss widened to $22.61 million, and operating margin fell 19.4 percentage points to -38.2%. Full-year operating loss widened to $68.37 million, with operating margin at -33.1%, down 23.7 percentage points. Fourth-quarter net loss widened to $22.70 million. Full-year net loss widened to $64.20 million, and full-year diluted EPS was -$0.68. The loss expansion reflects higher share-based compensation, acquisition-related costs, amortization, and a legal settlement charge. Non-GAAP results were much better: fourth-quarter non-GAAP operating income was $49,000, and full-year non-GAAP operating income was $4.2 million.
Cash generation was mixed. Fourth-quarter operating cash flow rose 37.8% to $17.66 million, and fourth-quarter free cash flow was $16.6 million. For the full year, operating cash flow fell 5.3% to $27.90 million, while free cash flow was $23.674 million. Capital expenditures were $1.04 million in the fourth quarter, up 13.9%, and $4.23 million for the full year, up 20.0%. Deferred revenue ended the year at $147.10 million, up 43.1%, and RPO was $161.60 million, up 49.8%.
Guidance for the first quarter and full year of 2022 sets revenue and non-GAAP profitability targets. For the first quarter of 2022, JFrog expects revenue of $60.8 million to $61.8 million, non-GAAP operating income of negative $0.5 million to positive $0.5 million, and non-GAAP net income per share of negative $0.01 to positive $0.01. For full-year 2022, the company guides revenue to $273.0 million to $275.0 million, non-GAAP operating income of negative $1.0 million to positive $1.0 million, and non-GAAP net income per share of negative $0.01 to positive $0.01. The full-year 2022 revenue outlook compares with $206.68 million for fiscal 2021. Management also flagged risks around rapid growth, history of losses, customer retention and acquisition, sales and marketing expansion, acquisition integration, security breaches, platform interruptions, competition, and COVID-19.
Operationally, JFrog pushed deeper into security and connected devices. It announced a Slack integration for Artifactory and Xray, provided remediation tools for the Log4j vulnerability, and made JFrog Connect available to bridge DevOps with IoT. The company completed the Vdoo and Upswift acquisitions in 2021, which added security and device management capabilities but also raised integration and cost risks. Enterprise+ subscriptions represented 35% of fourth-quarter revenue, up from 26%, and multi-product subscriptions were 92% of full-year revenue, up from 87%. International revenue was 37% of full-year revenue. The main tension is clear: demand and large-customer expansion remain healthy, but GAAP losses are widening.

Risks
JFrog has incurred losses in all years since incorporation, and net loss widened to $64.2 million for FY2021 from $9.4 million for FY2020. It had an accumulated deficit of $139.0 million as of December 31, 2021 and expects operating expenses to increase substantially.
The length and variability of sales cycles, especially for large enterprise customers, can cause large deals to slip or not occur; MD&A states COVID-19 has already increased average sales cycle length and delayed new projects.
Competition for DevOps engineers is intense, particularly in Israel and the San Francisco Bay Area, and headcount grew from approximately 700 at December 31, 2020 to approximately 1,000 at December 31, 2021, increasing wage and retention pressure.
JFrog completed the Vdoo and Upswift acquisitions in 2021, with Vdoo its most significant acquisition to date; integration may divert management attention, fail to meet expectations, or dilute shareholders.
The market is nascent and fragmented, and competitors include AWS, Microsoft/GitHub, Google, GitLab, VMware, and others with greater resources that may bundle competing offerings or provide them for free.
JFrog Artifactory is at the core of the business and all subscriptions; any decline in demand due to malfunction, inferior performance, or increased competition would reduce demand for other products.
Customers have no contractual obligation to renew, and net dollar retention rate declined to 130% as of December 31, 2021 from 133% as of December 31, 2020; renewals may occur on shorter or less economically favorable terms.
A shift in subscription mix from self-managed to SaaS offerings, which have lower gross margin, could harm gross margin; gross margin decreased to 79.8% year to date FY2021 from 81.1% year to date FY2020.
COVID-19 has slowed growth and may continue to cause fewer orders from existing customers, longer sales cycles, and delayed projects; some travel and office restrictions were reinstated due to Delta and Omicron variants.
Rapid growth increased customers to approximately 6,650 and headcount to approximately 1,000 as of December 31, 2021, straining management, operational, financial, and internal controls and making accurate forecasting difficult.
A limited-functionality version of JFrog Artifactory is licensed under AGPL, allowing free internal use and potential competitors to offer it for free, which could reduce demand and put pricing pressure on subscriptions.
Stringent and changing privacy, data protection, and data security laws and contractual obligations create compliance risk, and actual or perceived failures could harm the business.
Many employees and management are located in Israel, exposing operations to armed conflicts, political instability, boycotts, and military reserve call-ups that could disrupt the business.
