Summary

Salesforce closed fiscal 2026 with a fourth quarter that showed steady top-line growth but mixed margin performance. Fourth quarter revenue was $11.20 billion, up 12.1% from the prior-year quarter. For the full fiscal year, revenue was $41.52 billion, up 9.6%. Gross profit in the fourth quarter was $8.69 billion, up 11.8%, while gross margin was 77.6%, down 0.2 percentage points from the prior-year quarter. Full-year gross profit was $32.26 billion, up 10.3%, and full-year gross margin was 77.7%, up 0.5 percentage points.

Operating profitability showed a sharper split. Fourth quarter operating income was $1.87 billion, up 2.7%, and operating margin was 16.7%, down 1.5 percentage points from the prior-year quarter. For fiscal 2026, operating income was $8.33 billion, up 15.6%, and operating margin was 20.1%, up 1.0 percentage point. Net income was $1.94 billion in the fourth quarter, up 13.8%, and $7.46 billion for the full year, up 20.3%. Full-year diluted EPS was $7.80, up $1.44 or 22.6%. The gap between GAAP and non-GAAP profitability remained wide, with fourth quarter non-GAAP operating margin at 34.2% and full-year non-GAAP operating margin at 34.1%.

Cash generation remained a strength. Fourth quarter operating cash flow was $5.46 billion, up 37.6% from the prior-year quarter, and full-year operating cash flow was $15.00 billion, up 14.5%. Capital expenditures were $141 million in the fourth quarter, down 8.4%, and $594 million for the full year, down 9.7%. Full-year free cash flow, which is operating cash flow less capital expenditures, was $14.4 billion, up 16%. Deferred revenue was $24.32 billion, up 17.2% from the prior-year quarter. Remaining performance obligation was $72.40 billion, up 14.2%. Salesforce returned $14.3 billion to shareholders during the fiscal year, including $12.7 billion in share repurchases and $1.6 billion in dividends. The company also announced a $50 billion share repurchase authorization that replaces all previously unused authorizations and raised its quarterly dividend to $0.44 per share, up 5.8% year over year.

Operational metrics focused on the agentic AI push. Agentforce annual recurring revenue reached $800 million, up 169% year over year. Agentforce and Data 360 annual recurring revenue exceeded $2.9 billion, up over 200% year over year, including $1.1 billion of Informatica Cloud annual recurring revenue. Salesforce said it had closed over 29,000 Agentforce deals since launch, up 50% quarter over quarter. It delivered 2.4 billion agentic work units to date across Agentforce and Slack, growing 57% quarter over quarter, and processed more than 19 trillion tokens to date, up 5x year over year. Data 360 ingested 112 trillion records in fiscal 2026, up 114%, including 53 trillion through Zero Copy, up 310%, and processed 18 terabytes of unstructured data. More than 60% of Agentforce and Data 360 fourth quarter bookings came from existing customer expansion, and Agentforce accounts in production increased nearly 50% quarter over quarter. The industry businesses ended the year at $6.6 billion in annual recurring revenue, up nearly 20% year over year.

Guidance points to continued growth but with moving parts. For full-year FY27, management initiated revenue guidance of $45.8 billion to $46.2 billion, up 10% to 11% year over year and in constant currency, including approximately 3 points from Informatica. Salesforce expects organic revenue re-acceleration in the second half of FY27. It guided full-year FY27 non-GAAP operating margin to 34.3%, non-GAAP diluted EPS to $13.11 to $13.19, operating cash flow growth to approximately 9% to 10%, free cash flow growth to approximately 9% to 10%, and capital expenditures to approximately 1.5% of revenue. For the next quarter, Q1 FY27, revenue guidance is $11.03 billion to $11.08 billion, with growth of 12% to 13% and 10% to 11% in constant currency, including slightly above 4 points from Informatica. Non-GAAP diluted EPS guidance for Q1 FY27 is $3.11 to $3.13. The company also raised its FY30 revenue target to $63 billion including Informatica. Risks include integration of Informatica, uncertainty around AI technologies and their adoption, security and service performance issues, reliance on third-party infrastructure, evolving data privacy and regulatory rules, litigation, foreign currency and macroeconomic volatility, and the seasonal nature of the business. Management also noted an attrition rate of approximately eight percent, excluding Slack self-service and current year acquisitions. Restructuring and acquisition-related costs remain a factor, and the strategic investment portfolio can create swings in GAAP results.

Risks

HIGHAI Competition

The filing expands competition risk to include AI-native companies and emerging startups that use generative AI and large language models as core architecture, and notes competitors may incorporate AI more efficiently than Salesforce. It also says markets and monetization strategies for Agentforce and Data 360 remain relatively new and uncertain, with consumption-based pricing risk.

HIGHAcquisition Integration

Salesforce completed the Informatica acquisition for approximately $9.6 billion in November 2025, which contributed approximately $0.4 billion of revenue in fiscal 2026, and also acquired Regrello in October 2025. The filing lists integration, customer retention, security vulnerabilities, and failure to realize expected benefits as risks.

HIGHDebt Service

In November 2025 Salesforce borrowed the full $6.0 billion available under the Informatica Credit Agreements, and principal due on outstanding debt obligations was $14.5 billion as of January 31, 2026 versus $8.5 billion as of January 31, 2025. MD&A states interest expense may increase due to the outstanding Informatica Credit Agreements balance.

HIGHCybersecurity Incident

The filing says threat actors are using AI technologies to accelerate, scale, and personalize cyberattacks, and that adopting AI introduces novel security, data governance, and operational risks. A material incident could cause reputational harm, regulatory scrutiny, customer loss, and liability.

HIGHRegulatory

Salesforce cites the EU AI Act, EU Digital Services Act, EU Data Act, and emerging US state AI laws such as the Utah and Colorado acts as increasing compliance costs, restricting features or data flows, delaying launches, and exposing it to penalties.

MEDIUMSales Cycle

Sales to larger enterprise and government customers may involve more time-consuming and expensive sales cycles, pricing pressure, implementation and configuration challenges, and delayed revenue recognition. The filing says these transactions can divert resources to a smaller number of larger deals.

MEDIUMCustomer Attrition

Attrition was approximately eight percent as of January 31, 2026, and customers may renew for fewer subscriptions, shorter contract lengths, or lower cost offerings. If usage of consumption-based offerings such as Agentforce and Data 360 is below expected levels, revenue could decline.

MEDIUMTalent Retention

The filing highlights substantial competition for engineers with AI experience and says Salesforce has experienced challenges recruiting and retaining such talent. Restructuring actions, including workforce and office space reductions, may negatively affect its ability to attract, integrate, retain, and motivate key employees.

MEDIUMThird-Party Dependency

Salesforce may rely on third-party models, datasets, cloud infrastructure, and other technologies for AI applications. Changes, suspensions, or terminations by providers, or performance failures, could impair its ability to offer, scale, or support AI applications and increase costs.

MEDIUMInfrastructure Capacity

AI deployment and data growth may increase network, computing, and energy requirements, and increased energy consumption, energy market volatility, and power grid disruptions may raise data center operating costs. Insufficient capacity could cause performance degradation or outages.

MEDIUMERP Implementation

Salesforce implemented a new enterprise resource planning system in the second quarter of fiscal 2026. The filing says the ERP is essential to financial planning, reporting, and compliance, and unforeseen problems could harm its ability to manage the business.

MEDIUMStrategic Investments

Fiscal 2026 included a $1.017 billion net gain on strategic investments, driven by $1.5 billion of unrealized gains on privately held equity investments and $496 million of impairments, including $1.2 billion of gains from one privately held equity investment. The portfolio remains subject to partial or total loss and fair value volatility.

MEDIUMTax

The effective tax rate increased to 22 percent in fiscal 2026 from 17 percent in fiscal 2025. The filing cites the One Big Beautiful Bill Act, potential Corporate Alternative Minimum Tax, and global tax developments such as Pillar Two as risks to its tax provision and cash taxes.

MEDIUMMacroeconomic

Volatile or weakened global economic conditions, tariffs or other trade restrictions, and geopolitical conflicts could delay customer purchasing decisions and reduce the value or duration of subscription contracts. MD&A notes professional services and other revenues decreased 4 percent in fiscal 2026 due to less demand for larger, multi-year transformation engagements.

MEDIUMGovernment Contracts

Contracting with federal, state, local, and foreign governments subjects Salesforce to procurement regulations, audits, and potential termination for convenience. Budget uncertainty and changes in fiscal policies could adversely affect purchases.

MEDIUMPrivacy

GDPR, CCPA, India's Digital Personal Data Protection Act 2023, and cross-border transfer uncertainty increase compliance burdens and potential liability. A Dutch Privacy Collective proceeding remains pending before the Dutch Supreme Court after an appellate reversal.

LOWForeign Currency

MD&A states total revenues in fiscal 2026 were positively impacted by approximately one percent from foreign currency fluctuations, and current remaining performance obligation growth as of January 31, 2026 was positively impacted by three percent compared to constant currency rates. Fluctuations can also decrease revenue and expenses.

LOWRestructuring

Salesforce incurred approximately $586 million of restructuring costs in fiscal 2026, primarily for employee transitions, severance, and select data center exits. The filing says these actions, or similar future actions, could negatively impact its ability to attract, integrate, retain, and motivate key employees.

LOWDividend

The filing says there can be no assurance Salesforce will continue to declare cash dividends in any particular amounts or at all. A discontinuation or reduction in dividend payments could have a negative effect on its stock price.
