Summary
Salesforce closed fiscal 2022 with record top-line growth but a GAAP loss in the fourth quarter. Revenue for the quarter ended January 31, 2022 was $7.33 billion, up 25.9% from the prior-year quarter. Full-year revenue was $26.49 billion, up 24.7%. Gross profit rose to $5.31 billion in the quarter, up 22.5%, and to $19.47 billion for the full year, up 23.1%. The income statement told a different story. The quarter produced an operating loss of $176 million, down from operating income a year earlier, and a net loss of $28 million. For the full year, operating income was $548 million, up 20.4%, but net income fell 64.5% to $1.44 billion. Diluted earnings per share for the full year was $1.48, down 66.2%.
Margins reflected the pressure. Fourth-quarter gross margin was 72.5%, down 2.1 percentage points. Full-year gross margin was 73.5%, down 0.9 percentage points. The fourth-quarter operating margin was negative 2.4%, down 5.7 percentage points. For the full year, operating margin was 2.1%, flat compared with the prior year. Cash generation was mixed. Fourth-quarter operating cash flow was $1.98 billion, down 8.8%. Full-year operating cash flow was $6.00 billion, up 25.0%. Capital expenditures were $167 million in the quarter, up 12.1%, and $717 million for the full year, up 1.0%. Free cash flow, a non-GAAP measure, was $5.28 billion for fiscal 2022.
The backlog and billing metrics remained strong. Deferred revenue, current portion only, was $15.63 billion, up 24.0% year-over-year. Total remaining performance obligation was $43.70 billion, up 21.1%. Non-GAAP results showed a more profitable picture. Fourth-quarter non-GAAP operating margin was 15.0%, and full-year non-GAAP operating margin was 18.7%. Fourth-quarter non-GAAP diluted earnings per share was $0.84, and full-year non-GAAP diluted earnings per share was $4.78.
Management used the release to raise top-line guidance. For the first quarter of fiscal 2023, revenue guidance is $7.37 billion to $7.38 billion, up approximately 24% year-over-year. For the full fiscal year 2023, revenue guidance is $32.0 billion to $32.1 billion, up 21% year-over-year. The full-year outlook includes approximately $1.5 billion from Slack and $75 million from Traction on Demand, net of purchase accounting. The company reiterated non-GAAP operating margin guidance of about 20% for full-year fiscal 2023 and set operating cash flow growth guidance of 21% to 22%. First-quarter current remaining performance obligation growth guidance is 21% year-over-year.
Operationally, Salesforce leaned on its Customer 360 platform and the integration of Slack. Full-time equivalent headcount reached 73,541 at January 31, 2022, including 2,814 from Slack. Attrition, excluding MuleSoft, Salesforce.org, Tableau and Slack, was between 7.0% and 7.5%. The company continues to face a long list of risks. COVID-19 remains a factor, and foreign currency fluctuations benefited fiscal 2022 revenue by approximately 1% but negatively impacted remaining performance obligation by approximately 2% as of January 31, 2022. Inflation, Russia's invasion of Ukraine, longer and less predictable sales cycles, acquisition integration, attrition, regulatory developments and tax changes all pose threats. Sales and marketing expenses are expected to increase as a percentage of revenue as Salesforce hires more sales personnel. The GAAP loss in the fourth quarter shows how stock-based compensation and amortization of purchased intangibles can weigh on reported profitability even as non-GAAP results and cash flow remain positive. The fiscal 2023 guidance assumes no change in the value of the strategic investment portfolio, so future mark-to-market gains or losses could swing GAAP results.

Risks
Volatile and significantly weakened global economic conditions, inflation, and Russia's invasion of Ukraine are cited as increasing unpredictability, potentially affecting IT spending, customer purchasing decisions, contract value and duration, and attrition. MD&A says foreign currency fluctuations benefited fiscal 2022 revenue by about 1 percent but negatively impacted remaining performance obligation by about 2 percent as of January 31, 2022 using constant currency rates.
The company completed the acquisition of Slack, its largest to date, in July 2021 and may fail to realize all anticipated benefits; integration is complex and could disrupt operations, dilute EPS, and delay any accretive effect. Slack contributed approximately $584 million to fiscal 2022 subscription and support revenue and approximately $1.2 billion of remaining performance obligation as of January 31, 2022.
A breach or compromise of Salesforce or third-party infrastructure could cause unauthorized access, reputational harm, legal exposure, and financial liability. The filing cites retaliatory cyber attacks stemming from Russia's invasion of Ukraine and the December 2021 Apache Log4j vulnerability, which the company remediated but says future incidents could materially adversely affect it.
Periodic changes to the sales organization can reduce productivity and negatively impact revenue growth. MD&A states recent changes to the MuleSoft sales organization created greater short-term disruption than anticipated and impacted Data revenues during fiscal 2022 due to timing of revenue recognition for MuleSoft term and perpetual software licenses.
Fair value adjustments on publicly traded and privately held strategic investments flow through the consolidated statements of operations, creating earnings volatility and potential loss of invested capital. Gains on strategic investments, net decreased to $1.211 billion in fiscal 2022 from $2.170 billion in fiscal 2021, and a 10 percent decrease in the largest privately held equity securities, representing 41 percent of total strategic investments as of January 31, 2022, could reduce portfolio value by approximately $165 million.
Global tax developments and the Tax Cuts and Jobs Act of 2017 provision requiring capitalization and amortization of research and development costs, effective starting fiscal 2023, are expected to materially increase future cash taxes if not deferred, modified, or repealed. Fiscal 2021 included a $2.0 billion one-time discrete tax benefit, making fiscal 2022 net income and diluted EPS comparisons difficult; fiscal 2022 effective tax rate was 6 percent.
As Salesforce targets larger enterprise and governmental customers, sales cycles may become more time-consuming and expensive, with pricing pressure, implementation challenges, and delayed revenue recognition for complex transactions. MD&A notes more variation from forecasted new business due to longer and less predictable sales cycles, which could negatively affect future revenues and remaining performance obligation.
The company faces substantial competition for engineers, sales executives, data scientists, and operations personnel and expects continued difficulty hiring, developing, integrating, and retaining highly skilled employees. MD&A shows headcount increases since fiscal 2021 of 43 percent in cost of revenues, 28 percent in research and development, 26 percent in marketing and sales, and 27 percent in general and administrative, increasing execution and integration demands.
Salesforce had a substantial level of outstanding debt, with principal due on outstanding debt obligations of $10.686 billion as of January 31, 2022, up from $2.690 billion as of January 31, 2021. Interest expense increased to $220 million in fiscal 2022 from $126 million in fiscal 2021, primarily due to the July 2021 issuance of $8.0 billion of Senior Notes, and debt covenants may restrict operations or require refinancing.
Evolving data privacy laws, including GDPR, CCPA, CPRA, Virginia Consumer Data Protection Act, and Colorado Privacy Act, plus cross-border transfer restrictions after the EU-US Privacy Shield invalidation, may increase compliance costs and reduce demand. Salesforce announced a Hyperforce EU Operating Zone in September 2021 to store and process customer data solely within the EU, which may increase cost and complexity of supporting those customers.
Salesforce is increasingly building AI into many offerings, and social or ethical issues around AI and the Customer 360 platform could cause brand or reputational harm, competitive harm, or legal liability. The filing notes emerging ethical issues and potential controversy over perceived or actual impacts on human rights, privacy, and employment.
Customers have no obligation to renew subscriptions after the typical 12 to 36 month term, and some have elected not to renew or may renew for fewer subscriptions, shorter contract lengths, or lower cost offerings. As of January 31, 2022, attrition excluding MuleSoft, Salesforce.org, Tableau, and Slack was between 7.0 and 7.5 percent, and the company has less experience forecasting renewal rates for term software license sales from MuleSoft and Tableau.
COVID-19 and related public health measures have materially affected how Salesforce and its customers operate, and the duration and future impact remain uncertain. The company's Success from Anywhere initiative and Flex Team Agreements may require additional investments and could include position eliminations, incremental work-from-home costs, and impairments to real estate leases in select locations it decides to exit.
