Risks

MEDIUMMacroeconomic

New risk factor states changes to U.S. trade policy, tariff and import/export regulations may adversely affect operating results through inflation, third-party service provider and cloud infrastructure cost structures, or customer demand, although to date these developments have not had a material impact on operations or financial performance.

MEDIUMRegulatory

MD&A highlights the GENIUS Act signed into law on July 18, 2025, and recent regulatory changes may create uncertainty or additional cost for financial services providers and could encourage adoption of cryptocurrencies or stablecoin from non-depository institutions that compete with traditional financial services.

MEDIUMGeopolitical

MD&A notes continued heightened geopolitical instability, including acts of war or military conflict, increases risks of cybersecurity threats, supply chain disruptions, payment delays, and failures to settle financial transactions, though the company has no significant operations in directly affected areas.

MEDIUMSales Cycle

MD&A states variability in customer demand for discretionary elements including professional services, and an overall trending decline, influenced by customer spending patterns and budget cycles, and expects this trend to continue until the broader economic outlook improves.
