Summary
Q2 Holdings reported second quarter revenue of $195.1 million, up 12.9 percent from the prior-year quarter. Gross profit of $104.6 million rose 20.4 percent, and GAAP gross margin reached 53.6 percent, up 3.4 percentage points. Year to date, revenue of $384.9 million rose 13.7 percent and gross profit of $205.6 million rose 21.6 percent. Management said elevated interest rates keep the pressure on financial institutions to attract and retain depository relationships, which supports demand for digital banking solutions. Subscription revenue should keep growing as a share of total revenue.
The profit swing is the main story. GAAP operating income was $9.8 million, and operating margin was 5.0 percent, up 13.0 percentage points, after an operating loss in the prior-year quarter. GAAP net income reached $11.8 million, or $0.18 per diluted share, and both figures swung to a profit from losses a year earlier. Gross profit grew much faster than revenue, helped by the absence of amortization of acquired intangibles, which fell to zero because those assets are fully amortized. On a non-GAAP basis, gross margin was 57.5 percent, up from 55.7 percent. Adjusted EBITDA was $45.8 million, up from $29.9 million, and represented 23.5 percent of revenue.
Cash generation was the strongest part of the release. Operating cash flow was $48.6 million for the quarter, up 35.0 percent, and $92.2 million for the first six months, up 86.3 percent. Capital expenditures were $1.3 million in the quarter, down 9.7 percent, and $2.1 million year to date, down 26.6 percent. Free cash flow, a non-GAAP measure that deducts property purchases and capitalized software costs, was $79.5 million for the six months. Deferred revenue, current portion, ended the quarter at $179.4 million, up 33.5 percent year over year. The cash build came despite seasonal outflows tied to annual billings and commission payments.
Backlog and demand metrics point the same way. Remaining performance obligations, or backlog, were $2.36 billion, up 20.4 percent from a year earlier. Subscription annualized recurring revenue was $716.0 million, up 13 percent. Registered users were 26.2 million at June 30, 2025, against 23.6 million a year before. The company signed six Tier 1 contracts in the quarter, including two expansion agreements with Top 100 U.S. banks and two new Tier 1 relationships. More than 85 percent of digital banking customers now use the Q2 Innovation Studio ecosystem.
Guidance for the third quarter of 2025 calls for revenue growth of 12 to 14 percent year over year and adjusted EBITDA of $44.0 million to $47.0 million, or 22 to 24 percent of revenue. For the full fiscal year 2025, management guided to revenue growth of 12 to 13 percent and adjusted EBITDA of $177.0 million to $181.0 million, about 23 percent of revenue. The CFO said the company is raising full-year guidance across revenue, adjusted EBITDA and free cash flow conversion.
Risks are the familiar ones for a vendor selling into regulated financial institutions. Tariffs and any retaliation could feed inflation or lift the cost structures of cloud and third-party providers, though the filing says these factors have not had a material impact so far. Bank mergers shrink the installed customer base over time. The company also flags competition, softer demand for discretionary professional services, the timing of implementations and sales, and cybersecurity and fraud exposure. Liquidity rests on cash on hand, a revolving credit agreement, and the ability to repay the convertible notes due in 2025 and 2026 at maturity.

Risks
New U.S. tariffs and possible retaliatory tariffs could contribute to inflationary pressures or raise the cost structures of third-party service providers, cloud infrastructure partners or customers, potentially affecting demand for Q2's solutions or increasing cost of service delivery. Management states these developments have not had a material impact to date but continues to monitor them.
Recent changes in financial services regulation, including the GENIUS Act signed into law on July 18, 2025, may create uncertainty or additional compliance cost for Q2's prospects and customers. Such changes may also encourage adoption of new non-depository products such as cryptocurrencies or stablecoins, which could compete with more traditional financial services.
Continued heightened geopolitical instability, including acts of war or military conflict, has created additional marketplace uncertainty and increases risks related to cybersecurity threats, supply chain disruptions, payment delays and failures to settle financial transactions. Q2 states it has no significant operations in directly affected areas but cannot predict the impact on the global economy or its financial condition.
MD&A highlights a continued reduction in customer demand for certain discretionary aspects of Q2's solutions, namely professional services, which it attributes to customer spending patterns and budget cycles and expects may continue until the general economic outlook improves. The six months ended June 30, 2025 included a $1.0 million decrease in services and other revenue from professional and discretionary services and Helix related pass-through revenue.
