Summary
Paylocity posted total revenue of $326.4 million for the second quarter of fiscal 2024, up 19.5% from the prior-year quarter. Revenue for the first six months was $643.9 million, up 22.4%. Gross profit was $219.0 million, up 19.7%, and gross margin held at 67.1%, flat against the prior-year quarter. Operating income climbed 173.0% to $49.7 million, which pushed operating margin to 15.2%, up 8.6 percentage points. Net income was $38.1 million, up 144.3%, and diluted EPS came in at $0.67.
Cash generation stayed strong. Operating cash flow was $75.1 million in the quarter, up 20.4%, and $137.2 million for the first six months, up 74.2%. Capital expenditures were $2.7 million in the quarter, down 16.4%. Deferred revenue finished the quarter at $26.2 million, up 33.0%, and remaining performance obligations were $71.0 million, up 31.6%. Those forward-looking balances point to a healthy bookings backdrop even as the company laps tougher comparisons. Revenue also got a lift from higher interest income on funds held for clients, which management tied to rising rates and higher average daily balances. On the cost side, general and administrative expense fell year over year, helped by a lease exit gain, and the filing said that spending stayed relatively flat once the gain is excluded. Paylocity carried no long-term debt and had not drawn on its credit facility as of December 31, 2023.
The quarter's operating leverage stands out. The 15.2% quarterly operating margin sits above the 14.1% recorded for the first six months of fiscal 2024, and management has said it expects gross and operating margins to improve over the long term as the business scales and economies of scale kick in.
On a non-GAAP basis, operating income was $92.8 million and Adjusted EBITDA was $112.6 million. Non-GAAP net income was $84.5 million. Management guided the third quarter of fiscal 2024 to roughly 17% growth, with Adjusted EBITDA of $153.5 million to $156.5 million. For the full fiscal year 2024, the outlook calls for about 18% growth, with Adjusted EBITDA of $474.0 million to $478.0 million. Paylocity does not reconcile forward-looking Adjusted EBITDA to its comparable GAAP measure because the needed information is unavailable without unreasonable effort. The third-quarter guide leans on the usual seasonal lift from W-2 preparation and higher client fund balances, the 10-Q notes.
Product momentum continued. Paylocity launched AI-driven personalized learning plans, optimized workforce schedules, and embedded generative AI inside Rewards Recognition and Performance Management. Newer products such as Advanced Scheduling, Learning Management, Rewards Recognition, and Employee Voice drew positive client feedback. The company won a Bronze Brandon Hall Group Excellence in Technology Award and was named an overall leader in 10 HCM product categories in G2's Winter 2023 Grid Reports, the 21st consecutive quarter with that leader ranking. That recognition matters because Paylocity competes in a crowded HCM market and needs a differentiated suite to keep adding clients and selling more modules to existing ones.
Risks are still visible. The 10-Q points to uncertainty around market and economic conditions, including swings in client employee counts, elongated sales cycles, client losses, and a changing interest rate environment. The safe harbor language also flags cybersecurity threats, regulatory and judicial uncertainty, competition, reliance on third-party payroll partners in foreign jurisdictions, and the challenge of applying AI and machine learning within evolving laws and ethical constraints. Guidance depends on sales execution and stable client retention. The filing also warns that historical results should not be treated as a reliable indicator of future results given quarterly fluctuations and seasonality.

Risks
MD&A states uncertainties around market and economic conditions may impact revenue growth, which Paylocity has recently experienced and may continue to experience, through fluctuations in client employee counts, elongated sales cycles, client losses, and a changing interest rate environment. The quarter's revenue growth was partly driven by interest income on funds held for clients, which increased 69% to $27.9 million for the three months ended December 31, 2023.
