Summary
Guidewire's fiscal 2026 third quarter showed strong top-line momentum. Revenue rose 26.9% to $372.5 million. Gross profit increased 29.5% to $236.6 million. Operating income climbed 585.7% to $30.6 million. Gross margin expanded to 63.5% from 62.2%, up 1.3 percentage points. Operating margin reached 8.2%, up 6.7 percentage points. Remaining performance obligations, or RPO, jumped 44.0% to $3.60 billion. Deferred revenue rose 15.4% to $304.36 million. Annual recurring revenue, or ARR, was $1,147 million as of April 30, 2026, compared with $1,041 million as of July 31, 2025. The company said ARR grew 19% in the quarter. These metrics point to insurers moving core systems to the cloud and adopting AI across applications.
Profitability presented a split picture. GAAP net income fell 64.2% to $16.5 million. GAAP diluted earnings per share dropped 64.8% to $0.19. The decline came from foreign currency movements, which swung from a gain in the prior-year quarter to a loss in the current quarter. Operating results were much stronger. Non-GAAP income from operations was $77.8 million, compared with $46.1 million in the prior-year quarter. Non-GAAP net income was $69.6 million, compared with $47.4 million. Non-GAAP diluted earnings per share was $0.82, compared with $0.55. Operating cash flow rose 89.1% to $61.18 million. Capital expenditures increased 152.1% to $1.77 million. Free cash flow, a non-GAAP measure, was $53.7 million.
The year-to-date picture reinforces the same trends. Revenue for the nine months ended April 30, 2026 rose 25.8% to $1.06 billion. Gross profit increased 30.3% to $677.69 million. Operating income climbed 663.3% to $87.56 million. Net income rose 504.3% to $107.89 million. Diluted earnings per share rose 500.0% to $1.26. Operating cash flow increased 88.9% to $105.83 million. Capital expenditures rose 325.3% to $9.93 million. Gross margin expanded to 63.7% from 61.5%, up 2.2 percentage points. Operating margin reached 8.2%, up 6.9 percentage points. The company keeps investing in cloud operations, product development, and AI features while subscription revenue grows.
Guidance points to a record fourth quarter. For the fourth quarter of fiscal 2026, Guidewire guided non-GAAP operating income to $86 million to $96 million and ending ARR to $1,229 million to $1,237 million. For the full fiscal year 2026, the company raised its outlook and now expects non-GAAP operating income of $314 million to $324 million and ending ARR of $1,229 million to $1,237 million. Management said the raise reflects third-quarter results and greater pipeline visibility. The chief executive said the results set the company up well for what should be a record fourth quarter.
Risks remain. The filing cites reliance on a relatively small number of large customers and their substantial negotiating leverage, lengthy and complex sales and implementation cycles, competition, and issues in the development and use of AI and machine learning technologies amid an evolving regulatory environment. Other risks include long-term pricing commitments based on cost estimates that may change, global events such as conflicts, inflation, high interest rates, tariffs, and supply chain issues, data security breaches, and stock price volatility. Seasonality also matters. The fourth fiscal quarter is historically the largest for new orders, and subscription revenue is recognized ratably, so new orders do not fully appear in revenue until later periods. The company repurchased 1,696,180 shares at an average price of $147.07 during the quarter, leaving $240.5 million available under its new $500 million share repurchase program.

Risks
Revenue and ARR depend on a relatively small number of P&C insurance customers; the ten largest customers accounted for 20% of revenue in fiscal 2025 and 20% of total ARR at July 31, 2025. These large insurers have substantial negotiating leverage, and Guidewire has been required to reduce average selling price and ARR and agree to ramps that delay reaching fully ramped ARR, with P&C insurer consolidation potentially heightening pricing and margin pressure.
Guidewire faces competition from new entrants and cloud vendors using machine learning and AI technologies, and as AI evolves its existing and potential customers may develop their own solutions that reduce or eliminate the need for its products. Capital invested in insurtech and potential new AI-based market entrants has increased and may continue to increase, and competitors may achieve a technology breakthrough that disrupts the market.
Sales cycles are lengthy and unpredictable, and implementation and testing typically lasts six to 24 months or longer. Failure to meet committed timeframes or requirements can result in penalties, monetary credits for current or future service engagements, reduced fees, potential reversals of previously recognized revenue, and customer refusal to pay contractually obligated fees.
Other income (expense), net was expense of $18.9 million in the quarter ended April 30, 2026, compared to income of $34.1 million in the prior-year quarter, driven by a foreign currency loss of $20.1 million versus a gain of $34.2 million a year ago. This swing contributed to net income declining 64.2% in the quarter versus the prior-year quarter.
Subscription and support revenue was 66% of total revenue in the quarter ended April 30, 2026 versus 62% a year ago, and this mix shift pressures margins because subscription and support gross margin was 68% in fiscal 2025 versus 99% for license revenue. Services revenue produces significantly lower gross margin and has at times been negative, and services margin may erode from fixed fee arrangements, underutilization, or migration investments.
As of April 30, 2026, $690.0 million aggregate principal of the 2029 Convertible Senior Notes was outstanding, and upon conversion Guidewire is obligated to make cash payments. If the conditional conversion feature is triggered, holders may convert, potentially requiring reclassification of the notes as a current liability and a material reduction of net working capital, and the company is also subject to counterparty risk on the capped call transactions.
Competition for qualified personnel is particularly intense in the San Francisco Bay Area where Guidewire is headquartered, and the company has a limited number of sales people such that the loss of several within a short period could negatively impact sales efforts. Headcount grew across research and development (1,369 versus 1,204), sales and marketing (554 versus 497), and general and administrative (491 versus 468) at April 30, 2026 versus a year earlier, increasing cost pressure.
Guidewire generally sees significantly increased new orders in its fourth fiscal quarter ending July 31 due to sales team annual incentives, concentrating a higher percentage of annual license revenue and cash receipts in that quarter. Because subscription revenue is recognized ratably, the impact of new fourth-quarter subscription orders is not fully reflected in revenue until the following fiscal year, and cash flow expectations remain concentrated in the fourth fiscal quarter.
Future growth depends on expanding adoption of cloud-based subscription offerings and migrating existing term license customers, and subscription revenue is recognized ratably, which lowers revenue in the initial period of an agreement and causes reported revenue growth to lag subscription order growth. Support revenue decreased $2.8 million in the quarter and $6.6 million year to date versus the prior-year periods as customers migrated from on-premise term licenses to subscription services.
