Summary
Guidewire reported FY2024 Q3 revenue of $240.7 million, up 16% from $207.5 million in FY2023 Q3. The quarter featured eight cloud deals, and management said InsuranceSuite cloud wins rose 33% year to date, with migration activity accelerating, particularly in Asia Pacific. Annual recurring revenue reached $828 million as of April 30, 2024, up from $763 million as of July 31, 2023. For a company shifting to subscriptions, ARR is the cleaner read on momentum, since cloud contracts are booked and recognized over time.
Profitability improved on both ends of the income statement. GAAP gross profit was $142.2 million for the quarter, up 43.8% from $98.9 million a year earlier, and gross margin climbed to 59.1% from 47.7%. The GAAP operating loss narrowed to $16.7 million from $57.8 million, lifting operating margin to -6.9% from -27.9%. The GAAP net loss narrowed to $5.5 million, or $0.07 per diluted share, from $45.6 million, or $0.56 per diluted share. Non-GAAP numbers turned positive: income from operations of $20.8 million against a loss of $12.2 million a year ago, and non-GAAP net income of $21.7 million, or $0.26 per diluted share, versus a non-GAAP net loss of $6.4 million, or $0.08 per diluted share.
The nine-month view tracks the same path. Revenue was $689.0 million, up 8.4% from $635.4 million. Gross profit reached $396.9 million, up 34.8% from $294.5 million, at a 57.6% margin, up from 46.4%. The GAAP operating loss narrowed to $62.9 million from $155.6 million, and the GAAP net loss narrowed to $22.9 million, or $0.28 per diluted share, from $124.1 million, or $1.51 per diluted share.
Cash generation turned positive. Operating cash flow was $4.8 million for the quarter, up from negative $48.6 million in FY2023 Q3. For the nine months, operating cash flow was $2.0 million versus negative $134.8 million. Free cash flow, a separate non-GAAP measure that also subtracts property purchases and capitalized software, was negative $12.1 million for the nine months. Cash, cash equivalents, and investments were $934.2 million at April 30, 2024, compared with $927.5 million at July 31, 2023. Working capital fell to $376.7 million from $726.3 million as the convertible senior notes became current; those notes are due in March 2025.
Forward-looking indicators stayed strong. Deferred revenue rose 24.2% to $184.9 million versus the prior-year quarter, and remaining performance obligations rose 33.3% to $1.60 billion. Capital expenditures were flat at $0.68 million for the quarter and up 78.6% year to date at $4.67 million.
For the fourth quarter of fiscal year 2024, Guidewire guided to ARR of $856 million to $864 million and non-GAAP operating income of $43 million to $51 million. For the full fiscal year 2024, the outlook calls for ARR of $856 million to $864 million and non-GAAP operating income of $94 million to $102 million. Management notes that the fourth fiscal quarter is seasonally its largest for new orders, so much of that bookings activity will not flow into reported revenue until the following fiscal year.
The risks are the usual ones for this business. Guidewire depends on a relatively small number of large customers for a substantial share of revenue and ARR, and sales cycles are long. The cloud transition spreads revenue over multi-year terms, which keeps reported growth below order growth. Services revenue carries lower gross margins than subscription and license, and management said services revenue could be flat or decline in the near term as system integrators lead more implementations. Management also points to macroeconomic and geopolitical uncertainty, inflation, currency moves, data security, and evolving AI regulation. The convertible notes due in March 2025 are worth watching, even with $934.2 million in cash and investments on hand.

Risks
The filing expands AI risk, noting use of machine learning and generative AI in products and services, potential regulatory scrutiny, IP and copyright claims, and risk of factually incorrect AI-generated content leading to reputational harm or liability.
Migration of term license customers to cloud subscription offerings shifts revenue to ratable recognition, lowers initial revenue, increases costs for cloud operations, and introduces service-level penalty clauses, which could pressure gross and operating margins.
Revenue and ARR depend on a relatively small number of P&C insurance customers; the ten largest customers were 23% of revenue in fiscal 2022 and fiscal 2023 and 24% of total ARR at July 31, 2023, and these customers have substantial negotiating leverage.
The company had $400.0 million principal of 1.25% Convertible Senior Notes due 2025, working capital decreased to $376.7 million as of April 30, 2024 from $726.3 million as of July 31, 2023 primarily because the notes became current, and conversion or repurchase could require cash.
Global conflicts, inflation, bank failures, and market volatility have disrupted customers and SI partners, can delay technology spending and sales cycles, and may lead to customer requests for amended payment terms or accounts receivable allowances.
Services revenue produces lower gross margin than license or subscription revenue, and services gross margin was negative in fiscal 2023 and fiscal 2022; services revenue decreased by $28.0 million for the nine months ended April 30, 2024, but mix shifts or fixed-fee arrangements could further pressure margins.
Sales and implementation cycles are lengthy, variable, and often last six to 24 months or longer, with customers exercising significant negotiating power, making revenue and ARR timing difficult to forecast.
A significantly higher percentage of annual license revenue and cash receipts has historically been recognized in the fourth fiscal quarter, and subscription ratable recognition plus ASC 606 upfront term license recognition may heighten quarterly revenue, ARR, and cash flow fluctuations.
The company does business in Argentina, which is experiencing extremely high inflation and currency fluctuations, and Argentine government restrictions on sending U.S. dollars outside the country have impacted customer payment timeliness and could affect collectability of accounts receivable.
Competition for qualified personnel is intense, especially in the San Francisco Bay Area, and the hybrid work environment may adversely affect recruitment, retention, collaboration, productivity, and corporate culture.
Cloud services involve storage and transmission of customer and personal data, and data security breaches, unauthorized access, or evolving local privacy laws could lead to litigation, breach of contract claims, reputational harm, and other liabilities.
The company relies on SI partners for deployment, migration, and ongoing services, but may not control the quality or timeliness of partner implementations, which could damage customer relationships and cloud transitions.
The P&C software market is intensely competitive, with insurtech and larger competitors potentially using AI or cloud-native architectures, and competitors may cause pricing pressure and increased research and development spending.
