Summary
Guidewire opened fiscal year 2025 with total revenue of $262.9 million in the first quarter, up 26.8% from $207.4 million a year earlier. The company swung to a GAAP profit, posting net income of $9.1 million against a net loss of $27.1 million in the prior-year quarter. Diluted EPS was $0.11 versus a loss of $0.33. The operating loss narrowed to $4.7 million from $33.8 million, and gross profit rose 41.1% to $158.4 million. Gross margin climbed to 60.2% from 54.1%, and operating margin improved to negative 1.8% from negative 16.3%. The improvement came from higher subscription and support gross profit, better services utilization, and disciplined spending.
The revenue mix keeps tilting toward recurring business. Subscription and support revenue was $169.7 million, up 33%, license revenue was $37.4 million, up 10%, and services revenue was $55.8 million, up 22%. ARR reached $874.0 million as of October 31, 2024, compared with $864.0 million as of July 31, 2024. Management highlighted nine cloud deals in the quarter, five of them with Tier-1 insurers. Deferred revenue of $227.4 million rose 29.9% year over year, and remaining performance obligations of $2.00 billion rose 33.3%. Both point to backlog building behind the ratable subscription model. The company said subscription arrangements now make up the significant majority of new sales. Support revenue fell 6% to $16.9 million as customers migrated from on-premise term licenses to subscription services.
Cash generation stays seasonal. Operating cash flow was negative $62.3 million for the quarter, an improvement from negative $72.1 million a year earlier. Free cash flow, which the company reports as a separate measure, was negative $67.4 million versus negative $76.8 million. Capital expenditures were $0.8 million, down from $1.0 million. The first fiscal quarter usually consumes cash because of annual bonus payments and higher sales commissions. Cash, cash equivalents, and investments totaled $1,480.4 million at October 31, 2024, up from $1,129.5 million at July 31, 2024, helped by $413.6 million of net proceeds from a convertible note issuance. Guidewire retired $120.9 million of principal on its 2025 notes and issued $690.0 million of 2029 notes. On December 2, 2024, it entered a $300.0 million revolving line of credit with nothing drawn as of December 5, 2024.
Guidance points to continued growth. For the second quarter of fiscal year 2025, Guidewire expects ending ARR of $909 million to $914 million and non-GAAP operating income of $39 million to $45 million. For the full fiscal year 2025, the outlook calls for ending ARR of $995 million to $1,005 million and non-GAAP operating income of $164 million to $176 million. Management said the strong start to the year positions the company well for its full-year targets.
The risks are the familiar ones for a company mid-migration. Sales cycles run long, and a small number of large customers drives a substantial share of revenue and ARR. Guidewire makes long-term pricing commitments based on estimates of future cloud costs that can move. Services revenue carries lower gross margin than license and subscription, and the shift of customers from term licenses to subscriptions keeps pressure on reported growth because subscription revenue is recognized ratably. Seasonality cuts both ways, with the fourth fiscal quarter carrying the largest order volume and the second quarter holding fewer billable days. Management also flags global conflicts, inflation, high interest rates, cybersecurity and AI risk, and foreign exchange exposure. Operating income is still slightly negative, so the bottom line depends on non-operating items.

Risks
Guidewire depends on a small number of P&C insurance customers for a substantial portion of revenue and ARR; the ten largest customers accounted for 22% of revenue in fiscal 2024 and 22% of total ARR at July 31, 2024. These customers have substantial negotiating leverage and can delay payments, seek lower pricing, or fail to renew.
The sales cycle is lengthy and unpredictable, and implementation and testing typically lasts six to 24 months or longer. Delays can lead to monetary credits, reduced fees, renegotiated contracts, or customer refusals to pay, while increasing services costs.
The shift from term licenses to cloud subscriptions is central to strategy, but subscription revenue is recognized ratably, so initial-year revenue is lower and deferred revenue is higher than under term licenses. Deferred revenue was $227.4 million at Oct 31, 2024, up 29.9% from the prior-year quarter, and total reported revenue growth may be adversely affected near term.
Guidewire is incorporating machine learning and generative AI into products and workforce tasks, but faces rapid evolution, regulatory uncertainty, IP ownership questions, and risk of factually inaccurate outputs. Competitors may use evolving AI technologies more effectively, and AI-related incidents could harm reputation or create liability.
As of October 31, 2024, Guidewire had $969.1 million aggregate principal amount of Convertible Senior Notes outstanding, including $279.1 million due March 2025 and $690.0 million due November 2029. Conversion or repurchase obligations may require significant cash, and capped call counterparties present credit risk.
Services revenue produces lower gross margin than license or subscription revenue, and its gross margin was negative in both fiscal 2024 and fiscal 2023. Services revenue was 18% and 23% of total revenue in fiscal 2024 and fiscal 2023, respectively; fixed-fee or capped arrangements and subcontractor reliance could erode margins further.
Global events including inflation, high interest rates, bank failures, supply chain issues, and ongoing conflicts such as the wars between Israel and Hamas and between Russia and Ukraine have created economic uncertainty. Customers may defer purchases, lengthen sales cycles, or request amended payment terms, which can pressure revenue and ARR.
Guidewire sees significantly increased orders in its fourth fiscal quarter ending July 31, and a significantly higher percentage of annual license revenue and cash receipts has historically been recognized in that quarter. This seasonality, combined with ratable subscription recognition, can cause quarterly fluctuations and make forecasting difficult.
The company must attract, train, integrate, and retain skilled personnel, especially in cloud operations, professional services, sales, and engineering. Research and development headcount was 1,167 at Oct 31, 2024 versus 1,069 at Oct 31, 2023, and competition for qualified personnel is particularly intense in the San Francisco Bay Area.
Guidewire's customers are P&C insurers that have experienced losses from catastrophes, and climate change is contributing to more erratic weather patterns and intensified events. Such losses may cause customers to postpone purchases and professional service engagements or discontinue existing projects.
Guidewire continues to expand internationally; revenue from customers outside the United States was $347.9 million in fiscal 2024. International operations carry currency, tax, regulatory, data privacy, AI law, and geopolitical risks, including the need to localize products and comply with GDPR.
