Summary
Dropbox closed fiscal 2024 with fourth-quarter revenue of $643.6 million, up 1.4% from the prior-year quarter. On a constant currency basis, revenue growth was 1.1%. Full-year revenue reached $2.548 billion, up 1.9%, or 1.7% on a constant currency basis. Total ARR was $2.574 billion, up 2.0% year over year, or 1.3% on a constant currency basis. ARR decreased $4.8 million from the third quarter. Paying users totaled 18.22 million, compared with 18.12 million a year earlier, and the count fell by 15,000 from the prior quarter.
Profitability was the main point of divergence. GAAP gross margin was 81.2%, up from 80.8% in the prior-year quarter. Non-GAAP gross margin was 83.1%, up from 82.3%. GAAP operating margin fell to 13.7% from 42.1%. Non-GAAP operating margin rose to 36.9% from 32.2%. GAAP operating income was $87.9 million, down 67.1%. GAAP net income was $102.8 million, down 54.8% from $227.3 million. The decline reflected expenses related to the company's reduction in workforce in the fourth quarter of 2024, as well as a net gain on real estate assets recorded in the fourth quarter of 2023. For the full year, GAAP gross margin was 82.5%, up from 80.9%. GAAP operating margin was 19.1%, down from 21.5%. GAAP operating income was $486.2 million, down 9.7%. GAAP net income was $452.3 million, roughly flat versus $453.6 million. GAAP diluted EPS was $1.40, up from $1.31. Non-GAAP net income was $222.6 million in the quarter, up from $170.8 million, and $803.8 million for the full year, up from $685.0 million.
Cash generation improved. Fourth-quarter operating cash flow was $213.8 million, up 6.7% from $200.3 million. Free cash flow was $210.5 million, compared with $190.3 million. Full-year operating cash flow was $894.1 million, up 14.1%. Free cash flow was $871.6 million, compared with $759.4 million. Capital expenditures were $3.3 million in the quarter, down 67.0% from $10.0 million, and $22.5 million for the full year, down 7.4% from $24.3 million. Deferred revenue was $727.7 million, essentially flat with a 0.4% increase from $725.0 million. Dropbox entered a $2.0 billion private credit and guaranty agreement, split between $1.0 billion in initial term loans maturing in 2029 and $1.0 billion in delayed draw term loan commitments available through 2026. Net proceeds from the term loan facility were $949.9 million. Dropbox repurchased about 12.5 million shares for $350.4 million in the quarter. For the full year, it repurchased about 49.5 million shares for $1.2 billion. In December 2024, the board authorized an additional $1.2 billion share repurchase program.
Operational momentum centered on Dash for Business and the integration of Dash and FSS. Management said the company continued to scale Dash, simplify the core business and improve efficiency. The MD&A offered a more cautious view. Growth in Individual plans was offset by ongoing pressure in Teams plans. DocSend delivered better-than-anticipated results, while FormSwift faced continued pressure in the second half of 2024. Dropbox expects ARR to decline slightly in the near term because of reduced FormSwift investments at the beginning of 2025, decreased resourcing from the workforce reduction, and a challenging operating environment, especially in Teams. The company also expects a slight decrease in net new paying users in the near term. On cash flow, management expects free cash flow to generally increase in the near term. Gross margin is expected to decrease slightly in the near term as the company laps the useful-life benefit and then remain relatively constant in the long term. Cost of revenue is expected to decrease slightly in the near term and increase in the long term. Research and development and sales and marketing are expected to decrease in absolute dollars and as a percentage of revenue in both the near and long term. General and administrative expenses are expected to fluctuate in absolute dollars and remain relatively constant as a percentage of revenue. Dropbox said it would provide forward-looking guidance on its conference call and investor relations website.
Risks are concentrated in user retention and execution. The company cited ongoing pressure in Teams plans, upsell weakness, churn, and a declining paying user growth rate. Macroeconomic conditions, foreign exchange rate fluctuations, and competition remain external risks. The Dropbox Sign unauthorized access incident in April 2024 continues to carry ongoing litigation and regulatory scrutiny, though management said no facts indicate a likely material impact on financial condition or results. The October 2024 workforce reduction of approximately 20% is intended to align costs with long-term growth and profitability, but it carries execution risk. The term loan facility includes covenants, and Dropbox reported compliance as of December 31, 2024. Capital allocation remains active through the $1.2 billion repurchase authorization, which could affect share count and cash flexibility. The quarter showed a company with solid cash flow and stable gross margin, but with flat to modest revenue growth and a clear need to stabilize Teams and convert Dash interest into durable revenue.

Risks
MD&A states ARR decreased in Q4 2024 compared to Q3 2024 due to increased churn in Teams plans, offset by growth in Individual plans, and paying users decreased slightly in Q4 2024 compared to Q3 2024. It expects a slight decline in ARR growth and slight decrease in net new paying users in the near term due to Teams headwinds, reduced FormSwift investment at the beginning of 2025, and decreased resourcing from the workforce reduction.
Risk Factors state the rate of business and revenue growth has declined and Dropbox expects negative growth in the near term. New product initiatives, including AI-based initiatives, require a period of investment and may not succeed on expected timelines or at all.
Dropbox faces intense competition in content collaboration and AI from Microsoft, Google, Adobe, Atlassian, Slack, and Box, many with greater resources, larger user bases, or bundling advantages. Risk Factors note significant AI investments may not compete effectively or realize a return, and AI use may create reputational, operational, and legal risks.
The April 2024 unauthorized access to the Dropbox Sign production environment continues to pose reputation, customer relationship, litigation, and regulatory scrutiny risks, including a consolidated class action in the Northern District of California. MD&A states it has not had a material impact on Dropbox's overall financial condition or results of operations as of the filing date.
The October 2024 reduction of approximately 20% of the global workforce, with $47.2 million of related severance and benefits expenses in FY2024, may increase attrition, reduce employee morale, and negatively impact recruiting and retention. Risk Factors also note loss of expertise and institutional knowledge from the reduction may impair internal controls and operations.
Risk Factors cite uncertainty in the AI regulatory landscape, including the EU Artificial Intelligence Act enacted in March 2024 and proposed or enacted U.S. state legislation, which could impose additional requirements or scrutiny on Dropbox's AI products.
The extended decline in demand for commercial real estate in San Francisco has impacted Dropbox's subleasing strategy and resulted in additional impairment charges beyond original expectations. As of December 31, 2024, future operating lease payments were $578.8 million while subtenant rent payments were $59.9 million, and the company may incur additional impairment charges if unable to sublease on favorable terms.
As of December 31, 2024, Dropbox served over 700 million registered users but only 18.22 million paying users, and a majority of registered users may never convert to paid subscriptions. Failure to convert users or offset slower paying user growth with higher ARPU would adversely affect revenue.
Risk Factors state that expanding sales to large organizations could lengthen sales cycles and create deployment challenges, while Dropbox lacks a significant outbound sales force and generates more than 90% of revenue from self-serve channels. This may impede growth into larger organizations and increase unpredictability.
