Summary

Dropbox finished fiscal 2021 with a fourth quarter that showed steady top-line growth and a sharp swing to GAAP profitability. Revenue was $565.5 million, up 12.2% from the prior-year quarter. Full-year revenue reached $2.158 billion, up 12.7%. GAAP gross profit was $449.7 million in the quarter, up 12.9%, and $1.71 billion for the year, up 14.3%. GAAP gross margin was 79.5% in the quarter. GAAP operating income was $70.2 million in the quarter and $274.4 million for the full year, both swings to profit from losses in the comparable periods. GAAP net income was $124.6 million in the quarter and $335.8 million for the year. Full-year diluted EPS was $0.85, up from a loss in the prior year.

Non-GAAP results showed the same direction. Non-GAAP operating income was $168.0 million, up 31.7% from the prior-year quarter, and non-GAAP operating margin was 29.7%, compared with 25.3% a year earlier. Non-GAAP gross margin was 80.9%, compared with 80.1%. Non-GAAP net income was $159.9 million, compared with $117.9 million. Total ARR ended at $2.261 billion, an increase of $43.1 million quarter-over-quarter and 11.8% year-over-year. On a constant currency basis, ARR growth was 10.2%. Paying users ended at 16.79 million, up from 15.48 million.

Operating cash flow was $162.7 million in the quarter, down 4.7% from the prior-year quarter, and $729.8 million for the full year, up 27.9%. Free cash flow, a non-GAAP measure, was $161.4 million in the quarter, compared with $158.4 million, and $707.7 million for the year, compared with $490.7 million. Capital expenditures were $1.3 million in the quarter, down 89.4%, and $22.1 million for the year, down 72.4%. Deferred revenue was $671.5 million at year-end, up 10.0% from a year earlier. The company also said its board authorized an additional $1.2 billion for share repurchases in February 2022.

Dropbox made product moves in 2021. It acquired DocSend in the first quarter and continued to sell HelloSign as its e-signature solution. More than 90% of revenue came from self-serve channels, and no customer represented more than 1% of revenue. The company cut its global workforce by approximately 11% in January 2021 to streamline the team structure. Total ARR and paying user growth came from more paying users across the product portfolio and a richer mix of higher-priced subscription plans. The company also repurchased 41.1 million shares of Class A common stock for $1,058.6 million during 2021.

Management pointed to the earnings call and investor relations website for forward-looking guidance. In the 10-K, Dropbox said it expects free cash flow to generally increase in future periods as subscription sales rise and capital expenditures fall under Virtual First. It also expects cost of revenue to increase in absolute dollars, research and development costs to increase in absolute dollars, sales and marketing expenses to generally increase in absolute dollars, and general and administrative expenses to fluctuate and generally decrease as a percentage of revenue. Gross margin is expected to remain relatively constant in the near and long term. Dropbox also operated under its Virtual First model and recorded real estate impairment charges tied to that shift. The CEO said 2021 was a strong year and highlighted progress on core offerings and product portfolio expansion.

The main risks remain familiar. Dropbox must retain and upgrade paying users, attract new users, and convert registered users to paid plans. Competition is intense, and the company faces rapid technological change and interoperability challenges across devices and third-party applications. Data security breaches or service disruptions could damage trust. The Virtual First shift carries execution risk, and the company may incur additional real estate charges depending on the recovery of the global real estate market. Foreign exchange and interest rates can affect results. The company also has convertible notes, a revolving credit facility with covenants, and a history of net losses, though it achieved full-year GAAP profitability in 2021. COVID-19 remains a risk to operations, customers, vendors, and employee productivity.

Risks

HIGHVirtual First

The shift to a Virtual First workforce has limited operating history, uncertain long-term benefits, and may harm company culture, increase employee attrition, and disrupt product development. Dropbox recorded $31.3 million of real estate impairment charges in the year ended December 31, 2021 and $398.2 million in the year ended December 31, 2020, and may incur additional charges if it cannot sublease unused office space on favorable terms.

HIGHCompetition

The content collaboration and cloud storage markets are highly competitive, with competitors including Microsoft, Google, Apple, Amazon, Adobe, Box, Atlassian, and Slack, some of which offer lower-priced, free, or bundled products that could pressure Dropbox's pricing and user acquisition.

HIGHCybersecurity Incident

The filing describes evolving threats such as the SolarWinds attack and the December 2021 Log4j vulnerability, and references a prior credential release involving approximately 68 million accounts. A significant breach or incident could reduce revenue, increase costs, and damage user trust.

MEDIUMMacroeconomic

Inflation, geopolitical issues, the ongoing COVID-19 pandemic, or a broad economic slowdown could cause current and prospective paying users to delay, decrease, or cancel purchases or default on payment obligations, and management states the full extent of COVID-19 impacts remains uncertain.

MEDIUMSales Cycle

Efforts to sell to large organizations may lengthen sales cycles, require more deployment resources, and are impeded by the reduced outbound sales force following the January 2021 workforce reduction, while more than 90% of revenue still comes from self-serve channels.

MEDIUMTalent Retention

Competition for highly qualified personnel has intensified, and the Virtual First model, January 2021 workforce reduction, and higher employee turnover could harm culture and make it harder to hire, integrate, and retain key personnel.

MEDIUMDebt

The February 2021 issuance of approximately $1.4 billion in convertible senior notes and the revolving credit facility impose restrictive covenants and could limit operating flexibility, require cash for debt service, or dilute stockholders if notes convert to equity.
