Summary

C3.ai's fiscal first quarter 2027 showed a narrower loss on a much smaller revenue base. Revenue was $52.4 million, down 25.5% from the prior-year quarter. GAAP gross profit was $16.7 million, down 37.0%, and gross margin was 31.8%, down 5.8 percentage points. The operating loss was $98.3 million, an improvement of 21.3% from the prior-year quarter. Net loss was $92.8 million, improved 20.5%. Diluted EPS was a loss of $0.60, improved 30.2%. Operating margin was -187.6%, down 10.0 percentage points. Revenue fell faster than most costs did, so the GAAP margin picture worsened even as the absolute loss shrank.

Cash and bookings moved the other way. Operating cash flow was $2.1 million, an improvement over the prior-year quarter. Free cash flow was $2.1 million. Non-GAAP operating loss was $36.2 million, a 33% improvement quarter over quarter. Bookings increased 73% quarter over quarter. Deferred revenue was $53.7 million, up 79.6% from the prior-year quarter. RPO was $200.0 million, down 10.4% from the prior-year quarter. Subscription revenue was 94% of total revenue. Non-GAAP gross profit was $26.1 million, a 50% non-GAAP gross margin, and non-GAAP net loss per share was $(0.20). Management said the company closed 22 agreements, including with Heidelberg Materials, Ford Motor Company, Johnson & Johnson, Holcim, Seaspan, the U.S. Department of Agriculture, the Defense Logistics Agency, the U.S. Department of War and the U.S. Marine Corps. Forrester Research named C3 AI a leader in Enterprise AI.

Guidance covers the second quarter of fiscal 2027 and full fiscal 2027. For the second quarter of fiscal 2027, the company guided to a revenue range and a non-GAAP loss from operations of $34.5 million to $42.5 million. For full fiscal 2027, it guided to a revenue range and a non-GAAP loss from operations of $123.0 million to $155.0 million. A reconciliation of the non-GAAP guidance measures to corresponding GAAP measures is not available on a forward-looking basis without unreasonable effort, the company said, because stock-based compensation charges depend on the timing of employee stock transactions, the future fair market value of the common stock, and future hiring and retention needs.

The quarter rested on a restructuring plan the board approved in February 2026. Management described the plan as the foundation of five initiatives: operational right-sizing, organizational flattening, product prioritization, transformation-led sales, and engineering velocity. The company said it expects to substantially complete implementation by the second quarter of fiscal 2027. It recognized $0.7 million of restructuring charges in the quarter, mostly vendor consolidation costs. It also discontinued reporting Initial Production Deployments as a key business metric, saying the measure no longer helps investors understand the business.

Risks remain substantial. C3.ai still carries a history of losses and accumulated deficit of $1.9 billion as of July 31, 2026, and it expects to keep incurring operating losses and negative cash flows from operations in the next few quarters. It depends on a limited number of existing customers that account for a substantial portion of revenue. The restructured sales and services organization has to reach desired productivity in a reasonable period, and the company must retain key senior management after Tom Siebel returned as chief executive. Long and unpredictable sales cycles, market acceptance of enterprise AI, delays in federal budget approvals, U.S. federal government shutdowns, and tariffs or global trade tensions all sit on the risk list. RPO fell 10.4% year over year, which tempers the deferred revenue gain.

Risks

HIGHSales Execution

Revenue declined 25.5% to $52.4 million in FY2027 Q1 from $70.3 million in FY2026 Q1, with subscription revenue down 18% and professional services revenue down 68%. The filing attributes a prior fiscal 2026 revenue decline and operating loss increase in part to disruption from the comprehensive restructuring of global sales and services organizations, the CEO's unanticipated health limitations, and unsatisfactory sales execution.

HIGHConcentration Risk

A limited number of customers historically account for a substantial portion of revenue, and RPO decreased 10.4% to $200.0 million versus the prior-year quarter and from $203.1 million at April 30, 2026. Average total subscription contract value is decreasing and expected to continue decreasing as the customer base shifts to smaller customers.

HIGHRestructuring

The February 24, 2026 restructuring plan restructured sales, realigned personnel under the CEO, and reengineered product design and delivery. The company expects to substantially complete implementation by Q2 FY2027, but may not achieve expected benefits and could face greater costs, personnel attrition beyond planned reductions, and lower employee morale.

HIGHTalent Retention

Founder and CEO Thomas M. Siebel is critical to management, sales strategy, culture, and engineering, and the filing notes possible health setbacks. The risk factor also states sales operations have been and may be negatively impacted by the CEO's inability to actively participate in the sales process, and the company has no key person life insurance.

HIGHAI Competition

The market is intensely competitive, with public cloud providers, point solution vendors, open-source providers, and companies building their own AI features. Larger competitors may bundle products, sell at zero or negative margins, or leverage broader customer relationships, which could reduce demand, revenue, and gross margins.

HIGHSales Cycle

Sales cycles for large subscriptions can be long and unpredictable, and individual sales may represent a large proportion of overall sales in a period. Deals have occurred in later quarters or not at all, making quarterly results and cash flow difficult to forecast while expenses are relatively fixed.

HIGHMargin Compression

Gross margin declined to 31.8% in FY2027 Q1 from 37.6% in FY2026 Q1, with subscription margin down to 29% from 31% and professional services margin down to 69% from 77%. The filing notes future partner compensation or reimbursement requirements could lower profit margins further.

MEDIUMPricing Model

The shift toward consumption-based pricing and monthly vCPU/vGPU usage fees reduces visibility into timing of revenue recognition because customers control consumption timing. RPO excludes monthly usage-based runtime and hosting charges, and slower-than-expected consumption could cause actual results to differ from forecasts.

MEDIUMContractual Commitments

Multi-year, non-cancellable agreements with cloud service providers and strategic integration partners require minimum spend thresholds. If demand or adoption falls short, the company may have to pay shortfall amounts without corresponding revenue, increasing cash outflows and concentrating financial exposure with a limited number of third-party providers.

MEDIUMRegulatory

The EU AI Act became fully applicable on August 2, 2026, with potential fines up to 35 million Euros or 7% of worldwide annual turnover. If the company or its customers are classified as using high-risk AI systems, compliance costs could rise and deployment of new products could be delayed; agentic AI also raises data privacy and access risks.

MEDIUMMacroeconomic

Sales to government entities are subject to public sector budget cycles, funding reductions or delays, and extended federal government shutdowns, which could adversely affect demand and payment timing. Government entities often require shorter-term subscriptions and longer implementation cycles.

MEDIUMLitigation

In March 2022 and August 2025, the company and certain current and former officers and directors were sued in putative class actions alleging violations of federal securities laws. Additional volatility-related litigation could result in substantial costs and divert management attention.
