Summary
Autodesk closed fiscal 2022 with fourth-quarter revenue of $1.21 billion, up 16.6% from the prior-year quarter. Gross profit was $1.10 billion, up 15.8%, and GAAP gross margin was 90.7%, down 0.6 percentage points. GAAP operating income fell 22.8% to $142.4 million, and GAAP operating margin was 11.8%, down 6.0 percentage points. The press release said the operating margin decline included lease-related charges. GAAP net income dropped 90.2% to $89.1 million, largely because the prior-year quarter included a deferred tax asset valuation allowance release. Cash flow from operating activities was $722.8 million, up 9.9%, while capital expenditures were $6.5 million, down 72.3%. Current deferred revenue was $2.86 billion, up 14.5%, and remaining performance obligations were $4.74 billion, up 11.8%.
Operational metrics were strong. Total billings rose 13% to $1.66 billion. Recurring revenue represented 94% of total revenue. Net revenue retention rate stayed within the 100% to 110% range. Non-GAAP operating margin was 35%, up 5 percentage points. Non-GAAP diluted EPS was $1.50, compared with $1.18 in the prior-year quarter. Free cash flow reached $716 million, up $82 million. For the full year, billings increased 16% to $4.82 billion. Full-year revenue rose 15.7% to $4.39 billion, and full-year cash flow from operating activities was $1.53 billion, up 6.5%. Total subscriptions increased approximately 767 thousand from fiscal 2021 to 6.04 million at the end of fiscal 2022, or approximately 595 thousand adjusted for the multi-user trade-in. Subscription plan subscriptions increased 871 thousand to 6.02 million at the end of fiscal 2022. The company said robust renewal rates, strong growth in subscriptions, and rapidly expanding digital sales drove record fourth-quarter and full-year revenue, non-GAAP operating margins, and free cash flow.
Management's first-quarter fiscal 2023 outlook, for the quarter ending April 30, 2022, calls for non-GAAP EPS of $1.30 to $1.36. For the full fiscal year 2023, ending January 31, 2023, the company guides to billings of $5,875 million to $6,025 million, up 22% to 25%. It also targets a non-GAAP operating margin of approximately 37%, non-GAAP EPS of $6.46 to $6.83, and free cash flow of $2,130 million to $2,210 million. The billings outlook excludes the approximately $85 million impact of foreign currency exchange rates and hedge gains or losses, and the revenue outlook excludes the approximately $50 million impact. The first-quarter and full-year outlook takes into consideration the current economic environment and foreign exchange currency rate environment. The company assumes a projected annual effective tax rate of 12% for GAAP and 16% for non-GAAP results.
The company continues to manage COVID-19 disruptions, supply chain issues, inflationary pressures, and a global labor shortage. It relies on major distributors, with Tech Data accounting for 36% of total net revenue in fiscal 2022 and Ingram Micro 9%. International revenue remains a majority of net revenue, exposing results to currency swings and geopolitical risks, including the military action against Ukraine. Autodesk also faces acquisition integration risk and expects additional lease-related impairments over the next several quarters that could range up to approximately $25.0 million. The MD&A notes that approximately 66% of total cash, cash equivalents, and marketable securities are held outside the United States, which can limit flexibility because of foreign exchange restrictions, foreign regulatory restrictions, or adverse tax costs. The company repurchased 4.0 million shares for $1.09 billion in fiscal 2022 and had 8.1 million shares remaining available for repurchase at January 31, 2022. The safe harbor statement also cites risks such as limited customer acceptance of new products, product defects, competition, rapid technological change, security incidents, privacy regulation, export controls, and debt service obligations.

Risks
Autodesk suspended all new business in Russia effective early March 2022 in response to the Russian invasion of Ukraine, and fiscal 2022 revenue generated in Russia was less than 2% of total revenue. Broad-based sanctions against Russia and related political or economic responses could materially adversely affect operations and business outlook.
Supply chain disruption and resulting inflationary pressures, a global labor shortage, and the ebb and flow of COVID-19 are impacting the pace of recovery and outlook, while customers in certain countries including China have delayed or reduced technology purchases. International net revenue represented 67% of net revenue for fiscal 2022, increasing exposure to global economic and political trends.
Tech Data accounted for 36% of total net revenue in fiscal 2022 and Ingram Micro accounted for 9%, and indirect channel sales were approximately 65% of revenue in fiscal 2022. If a major distributor experiences significant business disruption or the relationship deteriorates, Autodesk's ability to sell to end users could be temporarily negatively impacted and financial results could suffer.
Customers are not obligated to renew their subscriptions, and Autodesk cannot assure renewal rates or subscription mix. NR3 was within the range of 100% and 110% as of January 31, 2022 and 2021, so declines in renewal rates due to pricing, competitive offerings, customer satisfaction, or reduced spending could cause revenues to decline.
Autodesk completed several fiscal 2022 acquisitions including Innovyze and Upchain, and the strategy depends on integrating solutions, operations, and personnel while realizing expected revenue and cost synergies. MD&A notes acquisitions may negatively impact operating margins, and amortization of developed technologies increased 71% in fiscal 2022.
Combined revenue from the AutoCAD and AutoCAD LT family products represented 29% of total net revenue during both fiscal 2022 and 2021. Any adverse factor affecting sales of these subscriptions, including market acceptance, competition, or pricing, would likely harm financial results.
As of January 31, 2022, Autodesk had $2.65 billion aggregate principal amount of notes outstanding with maturities from December 2022 to December 2031 and a $1.5 billion revolving credit facility. Debt service obligations and covenant compliance could dedicate substantial cash flow to repayments and limit flexibility in planning for or reacting to business changes.
Autodesk incurred impairment and accelerated depreciation charges of $103.7 million for operating lease real estate assets during fiscal 2022 as it reduced its facilities portfolio for a hybrid workforce. It expects additional impairments over the next several quarters currently estimated up to approximately $25.0 million.
Autodesk is increasingly building artificial intelligence into many offerings, and social and ethical issues related to AI may result in reputational harm, competitive harm, legal liability, and additional research and development costs. Potential government regulation of AI ethics could increase the burden and cost of R&D in this area.
Operating margin was 14.1% for FY2022 year to date, down 2.5 pp from 16.6% for FY2021 year to date, while total operating expenses increased 19% in fiscal 2022. Failure to manage spending and investment, including higher headcount and stock-based compensation, could have a material adverse effect on cash balances, business, and results.
