Risks include the length and variability of the sales cycle, competition, and AI as a disruptive set of technologies. Government agencies represented 21.3% of total revenue in 2023, and customers outside the United States generated 35.8% of total revenue. No single end-customer accounted for more than 10% of total revenue in 2023. Appian had 2,257 employees at December 31, 2023, down from 2,307 a year earlier. Risks
The filing emphasizes AI as a disruptive technology and states Appian must compete in an AI-accelerated environment. Competitors may incorporate AI into products more quickly or successfully, and AI code-generation could reduce demand for Appian's process automation platform.
The sales cycle is long and unpredictable, particularly with large customers, and the company usually enters a significant portion of agreements in the last month or two weeks of a quarter. Fourth-quarter seasonality and large transactions create quarterly revenue fluctuation and forecast risk.
U.S. federal government agencies represented 21.3% of total revenue in 2023, and the top three U.S. federal government customers generated 4.2% of total revenue. Nearly 12% of subscription customers spent more than $1 million on Appian software in 2023, so loss of a significant customer could significantly reduce revenue.
The $2.036 billion judgment against Pegasystems for trade secret misappropriation is on appeal, and Pegasystems may lack cash to satisfy the full amount. Appian paid $57.3 million for judgment preservation insurance up to $500 million, but collection and insurer risks remain and could negatively affect the stock price.
Appian uses AI, including machine learning and generative AI, throughout its business. Evolving laws such as the EU Artificial Intelligence Act could impose significant fines, compliance costs, and restrictions on AI systems, increasing operating expenses and legal exposure.
A significant portion of revenue comes from governmental and highly regulated customers subject to public sector budget cycles, federal appropriations lapses, complex compliance requirements, and FCPA and similar anti-corruption laws. Funding reductions or delays could adversely affect demand.
Appian depends on senior management and key personnel, especially founder and CEO Matt Calkins, and does not maintain key person insurance. Return-to-office policies may hinder hiring and retention as competitors offer remote work; total headcount decreased from 2,307 to 2,257 employees at December 31, 2023.
The Senior Secured Credit Facilities Credit Agreement limits additional indebtedness and contains covenants, with obligations secured by substantially all assets. Interest expense increased $16.2 million in 2023 due to the new term loan, and a February 2024 amendment increased the term loan facility by $50.0 million.
Unfavorable global economic conditions, including the Russia-Ukraine war, Middle East unrest, inflation, and higher interest rates, could cause customers to reduce or delay software spending. MD&A notes economic conditions and customer budget changes affect demand.
Class B stockholders held approximately 88% of voting power and founder and CEO Matt Calkins with affiliates held approximately 81% as of December 31, 2023. This concentrated control limits other stockholders' ability to influence corporate matters and may discourage investors.
