Summary
Zoom closed fiscal year 2023 with a fourth quarter that showed how far its business mix has shifted. Total revenue for the quarter ended January 31, 2023 was $1,117.8 million, up 4% from the prior-year quarter, and revenue in constant currency rose 6%. Enterprise revenue grew 18% while Online revenue fell 10%, a tilt toward larger accounts that has been building for several quarters. For the full fiscal year, revenue was $4,393.0 million, up 7%, or 9% in constant currency.
Profitability told a harder story. GAAP loss from operations was $129.9 million for the quarter, compared with income from operations of $251.8 million in the fourth quarter of fiscal year 2022. GAAP operating margin was -11.6%, down from 23.5%. Management tied the quarterly loss to additional stock-based compensation expense related to a change in its supplemental equity grant program. GAAP net loss was $104.1 million. Gross margin was 73.7%, down from 76.0%. Non-GAAP income from operations was $404.8 million, down from $420.3 million. Across the full year, GAAP income from operations was $245.4 million and GAAP net income was $103.7 million, with diluted EPS of $0.34, down from $4.50.
Cash generation held up better than earnings. Operating cash flow was $211.6 million for the quarter, up from $209.4 million a year earlier, and $1,290.3 million for the full year, down from $1,605.3 million. Free cash flow, which the company defines as operating cash flow less purchases of property and equipment, was $183.3 million in the quarter and $1,186.4 million for the year. Capital expenditures were $28.3 million in the quarter, up 36%, and $103.8 million for the year, down 21.7%. Deferred revenue, current portion, was $1,266.5 million, up 11%, and remaining performance obligations reached $3.43 billion, up 29.7%.
Customer metrics point in the same direction as the segment mix. Zoom ended the year with approximately 213,000 Enterprise customers, up 12%, and 3,471 customers contributing more than $100,000 in trailing 12-month revenue, up roughly 27%. The trailing 12-month net dollar expansion rate for Enterprise customers was 115%. Online average monthly churn was 3.4% in the fourth quarter, down 40 basis points from the same quarter a year earlier. Zoom Phone surpassed 5.5 million seats and grew more than 100%.
Guidance covers the first quarter of fiscal year 2024 and the full fiscal year 2024. For the first quarter, management expects non-GAAP income from operations of $374.0 million to $379.0 million and non-GAAP diluted EPS of $0.96 to $0.98 on roughly 304 million non-GAAP weighted average shares. For the full fiscal year 2024, the company guided to non-GAAP income from operations of $1.606 billion to $1.626 billion and non-GAAP diluted EPS of $4.11 to $4.18 on roughly 309 million non-GAAP weighted average shares.
Risks are stacked on several fronts. Macroeconomic conditions, including high inflation, and a stronger U.S. dollar weighed on results, with foreign currency reducing full-year revenue by $69.1 million. Management said revenue growth has declined and expects it to generally decline as the COVID-19 pandemic tapers and competition intensifies. Operating expenses climbed quickly during the year: research and development up 113.2%, sales and marketing up 49.4%, and general and administrative up 19.4%. On February 7, 2023, Zoom announced a restructuring plan that reduces its workforce by approximately 15% to cut operating costs. The Russia-Ukraine war remains an uncertainty, although customers in Russia, Belarus and Ukraine represented less than 1% of net assets and total consolidated revenue.

Risks
MD&A cites high inflation, recessionary and uncertain environments, and foreign currency headwinds; for FY2023, the stronger U.S. dollar had a $69.1 million negative impact on revenue. Customers may reduce information technology spending, and the Russia-Ukraine war affected EMEA revenue.
Zoom faces competition from Microsoft Teams, Google Meet, Cisco Webex, GoTo, Avaya, RingCentral, and 8x8, including bundled productivity suites and lower-priced or free offerings. Demand is price sensitive, and competitors may use lower-cost marketing or bundle broader products.
MD&A states revenue growth has declined and is expected to generally decline; FY2023 revenue rose 7.1% year to date, compared with 55% growth in FY2022. The trailing 12-month net dollar expansion rate for Enterprise customers fell to 115% as of January 31, 2023 from 130% a year earlier.
For FY2023 year to date, net income decreased 92.5% to $103.7 million, operating income decreased 76.9% to $245.4 million, and operating margin fell 20.4 percentage points. Q4 operating income swung to a loss of $129.9 million and net income swung to a loss of $104.1 million.
FY2023 total stock-based compensation expense rose to $1.286 billion from $477.3 million in FY2022, driving large increases in R&D, sales and marketing, and G&A expenses. This expense contributed to the year-to-date operating margin decline.
In February 2023 Zoom announced a restructuring plan to reduce its current workforce by approximately 15%, citing the economic environment. Risks include additional severance and stock-based compensation charges, employee attrition beyond the intended reduction, and failure to achieve targeted savings.
The filing highlights intense competition for executives, software developers, and sales personnel, and warns that restructuring actions may worsen attrition and morale. Stock price volatility may make equity awards less attractive to current and potential employees.
The filing says security measures have been compromised in the past and may be again, citing a July 2019 researcher blog on Zoom Meeting vulnerabilities and March 2020 macOS vulnerabilities. Because many companies rely on Zoom, a platform compromise could simultaneously affect a significant number or all customers.
As Zoom increases sales to large organizations, it expects longer sales cycles, greater deployment challenges, and higher upfront sales costs. Large organizations may demand additional features, support, pricing concessions, or security controls without assurance of corresponding sales.
APAC and EMEA revenue was 30% of total revenue in FY2023, down from 33% in FY2022, and the Chinese government has at times turned off Zoom service in China without warning and requested data localization. The Russia-Ukraine war also impacted EMEA revenue.
Zoom depends on co-located data centers and public cloud providers including AWS and Oracle Cloud; past partial outages have occurred. Capacity constraints, server shortages, or reliance on public cloud could raise variable costs and cause delays or interruptions.
FY2023 losses on strategic investments, net were $37.6 million, primarily from $36.8 million of unrealized losses on publicly traded equity securities. Fair value changes flow through the statement of operations and could add volatility.
Zoom's dual-class structure gives Class B holders 65.4% of voting power as of January 31, 2023, with founder Eric Yuan controlling about 31.6%. Dual-class companies are excluded from major indices, which may depress valuation or trading volume.
