Summary

Veeva Systems closed fiscal 2024 with fourth-quarter revenue of $630.6 million, up 12% year over year. Fiscal-year revenue reached $2.36 billion, up 10%. Gross profit for the quarter was $456.7 million, up 14.4% year over year. Gross margin was 72.4%, up 1.6 percentage points year over year. Operating margin was 21.4%, up 2.1 percentage points. That margin expansion helped fourth-quarter operating income reach $135.3 million, up 24% year over year. Net income was $147.4 million, down 22% year over year. The decline in net income contrasts with the operating income gain. A customer contracting change that standardized termination for convenience rights in master subscription agreements went into effect on February 1, 2023, and it reduced revenue, operating income, non-GAAP operating income, net income, and non-GAAP net income in the fourth quarter.

Operating cash flow for the quarter was $57.8 million, down 8.9% year over year. For the full fiscal year, operating cash flow was $911.3 million, up 16.8%. Deferred revenue, current portion, stood at $1.05 billion, up 20.8% year over year. Full-year gross margin was 71.3%, down 0.4 percentage points. Full-year operating margin was 18.2%, down 3.1 percentage points. Fiscal-year operating income was $429.3 million, down 6% year over year. Fiscal-year net income was $525.7 million, up 8% year over year. Diluted EPS for the fiscal year was $3.22, up 7.3%. The full-year figures reflect the TFC change that reduced revenue and profit measures.

Operationally, Veeva ended fiscal 2024 with 1,432 customers, up 44 from the prior year. R&D Solutions had 1,078 customers, and Commercial Solutions had 693. More than 500 customers use at least one Veeva Vault Clinical solution, and more than 85 customers have both a clinical operations and a clinical data management product. In January, Veeva announced availability of the complete Veeva Compass Suite of commercial data products. Veeva Link also gained traction as the ninth top 20 biopharma selected Veeva Link for Key People across all therapeutic areas. CEO Peter Gassner called the quarter a strong finish and pointed to the Compass Suite, the Clinical Platform, and the new Commercial Cloud as long-term growth drivers.

Management provided guidance for the fiscal first quarter ending April 30, 2024. It guided non-GAAP operating income to $245 million to $247 million and non-GAAP fully diluted EPS to $1.42 to $1.43. For the full fiscal year ending January 31, 2025, it guided non-GAAP operating income to about $1,070 million and non-GAAP fully diluted EPS to approximately $6.16. Veeva said it could not provide GAAP targets for operating income or EPS because of difficulty estimating items such as stock-based compensation. The company also noted that the customer contracting change reduced revenue, operating income, non-GAAP operating income, net income, and non-GAAP net income in the fourth quarter and fiscal year. Starting in fiscal 2025, revenue recognized from orders with termination for convenience rights will generally be consistent with the amount invoiced for the relevant term.

The main risks include performance, security, and privacy issues with products; competitive factors; customer decisions and priorities; events that impact the life sciences industry; general macroeconomic and geopolitical events, including inflationary pressures, changes in interest rates, currency exchange fluctuations, changes in laws and regulations, and impacts related to Russia's invasion of Ukraine and the Israel-Hamas conflict; and the ability to hire, retain, and adequately compensate talented employees. The TFC change is a specific revenue-recognition headwind. MD&A expects operating expenses to increase in fiscal 2025 due to employee compensation costs. It also expects cash payments for income taxes under the Tax Cuts and Jobs Act of 2017 to reduce operating cash flow in fiscal 2025. Foreign currency fluctuations remain a risk.

Risks

HIGHCRM Migration

Veeva plans to migrate Veeva CRM customers to Vault CRM built on its own Veeva Vault platform and does not intend to renew its Salesforce agreement when the current term expires on September 1, 2025. The migration is complex, may disrupt customers, may lead some customers to choose competitors, and could materially harm operating results.

HIGHSalesforce Dependency

Veeva currently depends on the Salesforce platform to deliver its multichannel CRM applications, and after September 1, 2025 it may not sell Salesforce-based applications to new customers or exceed 150% of seats for customers existing at that date. Salesforce terminated certain competition restrictions and can now promote third-party CRM products competitive to Veeva CRM.

HIGHAI Competition

The markets are highly competitive, and competition may intensify if competitors make better use of evolving AI technologies. Salesforce has announced a life science industry-specific CRM solution, IQVIA remains a principal competitor, and competitors may offer price concessions or delayed payment terms.

HIGHLitigation

Veeva is in active litigation with IQVIA, which has asserted trade secret misappropriation claims since January 2017. The lawsuits could result in significant damages, injunctions, ongoing royalty payments, or other unfavorable terms, and may divert management attention.

HIGHConcentration Risk

Top 10 customers accounted for 28% of total revenues in FY2024, and loss or non-renewal by key customers could significantly impact revenue growth. Veeva faces increasing purchasing scrutiny at renewal of large customer subscription orders.

HIGHRegulatory

Nearly all revenues come from life sciences customers, exposing Veeva to drug pricing reforms such as the Inflation Reduction Act, industry consolidation, reduced early-stage funding, and reductions in sales representative headcount. These factors could reduce demand for Veeva CRM and other solutions.

HIGHThird-Party Data

IQVIA restrictions on customer uploads of healthcare professional and prescription drug data to Veeva Network, Veeva Nitro, and Veeva OpenData have negatively affected sales and adoption, and IQVIA has stated it will deny use of new data types in Veeva applications. If these third-party data limitations persist, Veeva business may be negatively impacted.

HIGHRevenue Recognition

Since February 1, 2023, master subscription agreements governing multi-year orders generally include a termination for convenience right for customers. In FY2024 this changed the timing of revenue recognition and reduced Veeva revenue and its unbilled revenue balance for the fiscal year.

HIGHRevenue Growth

FY2024 year to date revenue was up 9.7% versus FY2023 year to date, and the filing states historical growth rates should not be viewed as indicative of future performance and may decline. The FY2024 growth rate was negatively impacted by macroeconomic conditions, lower funding levels, the contracting change, and foreign currency fluctuations.

MEDIUMProfitability

FY2024 year to date operating income was down 6.5% and operating margin was down 3.1 percentage points versus FY2023 year to date. The filing states future expenses will increase and Veeva may not sustain the level of profitability achieved in the past.

MEDIUMSales Cycle

Sales cycles for new customers may span 12 months or longer, and Veeva has recently experienced increased scrutiny for certain potential projects, particularly professional services offerings. Lengthening sales cycles or unsuccessful sales pursuits could harm operating results and growth.

MEDIUMData Privacy

Data localization rules have affected Veeva CRM customers in China, where certain customers had CAC data export requests denied and may be required to implement a CRM solution that does not transfer data outside China; China represents approximately 3% of total revenue. The Washington My Health My Data Act may also curtail Crossix use of Washington consumer health data.

MEDIUMMacroeconomic

Unique and uncertain macroeconomic and geopolitical factors, including inflationary pressures, interest rate changes, financial sector volatility, a possible recession, currency fluctuations, the Russian invasion of Ukraine, and the Israel-Hamas conflict, may cause instability and negatively impact the business. Customers outside North America accounted for approximately 41% of total revenues in FY2024.

MEDIUMTalent Retention

Competition for highly skilled employees is intense, and if the perceived value of Veeva equity awards declines, it may adversely affect its ability to recruit and retain employees. The Work Anywhere policy may also make it more difficult or costly to maintain productivity and collaboration.

MEDIUMTax

Changes in tax laws, including the OECD Pillar Two global minimum tax, and the requirement to capitalize and amortize research and development expenditures could adversely affect Veeva cash flows and effective tax rate.
