Summary
Veeva Systems reported a strong fiscal 2025 third quarter. Total revenue was $699.21 million, up 13.4% from the prior-year quarter. Year-to-date revenue was $2.03 billion, up 16.9%. Gross profit was $524.82 million, up 16.9%, and gross margin was 75.1%, up 2.3 percentage points. Operating income was $181.35 million, up 41.1%, and operating margin was 25.9%, up 5.1 percentage points. Net income was $185.81 million, up 37.5%, and diluted EPS was $1.13, up 36.1%. For the nine months, net income was $518.51 million, up 37.1%, and diluted EPS was $3.15, up 35.8%. The results show margin expansion alongside top-line growth.
Subscription services revenues grew 17% in the quarter and 21% year to date, while professional services and other revenues declined 3% and 1%, respectively. Subscription services were 83% of total revenues for the nine months, with professional services and other at 17%. R&D Solutions accounted for 53% of total revenues for the nine months, compared with 47% from Commercial Solutions, and management expects R&D Solutions to increase as a percentage of total revenues. Geographically, subscription services revenue came 59% from North America, 28% from Europe, and 13% from other locations, primarily Asia Pacific. As of January 31, 2024, Veeva served 1,432 customers, including 693 Commercial Solutions customers and 1,078 R&D Solutions customers. The decline in professional services revenue came from lower implementation services, partially offset by an increase in business consulting services. Subscription growth came from expanding use of Veeva Development Cloud and Veeva Commercial Cloud products by existing and new customers, plus higher prices from the annual inflation adjustment.
Costs rose as well. Total cost of revenues increased 4% in the quarter and 3% year to date. Research and development expenses increased 7% in the quarter and 10% year to date. Sales and marketing expenses increased 2% in the quarter and 5% year to date. General and administrative expenses increased 16% in the quarter and 4% year to date. The quarter's G&A increase was primarily due to stock-based compensation related to the equity grant to the CEO in June 2024. Cost of professional services and other decreased as headcount declined and use of third-party services fell. Cost of subscription services rose because of higher computing infrastructure costs. Management expects cost of subscription services and operating expenses to increase in the near term.
Operating cash flow was $164.12 million in the quarter, up 98.7%, and $1.02 billion year to date, up 19.6%. Deferred revenue, current portion, was $739.66 million, up 14.8%. MD&A notes that year-to-date operating cash flow represents a significant portion of expected fiscal year cash flow and expects fourth-quarter operating cash flow to be substantially less. It also expects cash tax payments related to the Tax Cuts and Jobs Act of 2017 to reduce operating cash flow in the fiscal year ending January 31, 2025. Management cautions that quarterly changes in deferred revenue and billings are not accurate indicators of future revenues because of renewal timing and billing frequency changes. The company's subscription orders are generally billed annually or quarterly, which can shift the timing of deferred revenue.
Management did not provide quantitative revenue or earnings guidance for the next quarter or the full fiscal year. It only said it expects cost of subscription services, research and development, sales and marketing, and general and administrative expenses to increase in the near term. Risks include foreign currency fluctuations, potential changes in tax laws, reliance on third-party infrastructure providers such as Salesforce and Amazon Web Services, and the possibility that some R&D customers are earlier-stage companies that may not reach commercialization. The effective tax rate increased primarily due to reduced excess tax benefits related to equity compensation, and the decrease in excess tax benefits year to date was primarily due to stock option exercises by the CEO in the prior year and none in the current year.

Risks
Veeva processes sensitive customer data including patient and clinical trial information for Crossix and Compass. The filing states threat actors are using generative AI to create increasingly automated, targeted, coordinated attacks that are more difficult to defend against.
Competition may intensify if rivals become more technologically capable, including through new or better use of evolving AI technologies. In April 2024 Salesforce and IQVIA announced an expanded CRM partnership under which IQVIA will license its CRM software to Salesforce and both parties will jointly market a life sciences industry-specific CRM solution that competes with Veeva.
Plans to migrate Veeva CRM customers from the Salesforce platform to Vault CRM could cause business disruptions and customer losses. Veeva does not intend to renew its Salesforce agreement after September 1, 2025, and during the wind-down to September 1, 2030 may not sell Salesforce-based applications to new customers and seat expansion for existing customers is capped at 150%.
Veeva CRM currently depends on the Salesforce platform. Salesforce can terminate the agreement early in certain circumstances and since May 2023 is no longer prohibited from promoting competitive products or treating another third party as a preferred CRM vendor in pharma and biotech, which increases competitive exposure.
Top 10 customers accounted for 28%, 29%, and 31% of total revenues in fiscal years ended January 31, 2024, 2023, and 2022, respectively. The loss or non-renewal of key customers, or consolidation among customers, could slow revenue growth or cause revenues to decline.
Nearly all revenues come from life sciences customers. Demand can be hurt by regulatory changes such as drug pricing reforms including the Inflation Reduction Act, life sciences industry consolidation, reduced funding for early-stage companies since 2022, and customer bankruptcies.
Veeva relies on third-party healthcare professional and prescription drug sales data, especially from IQVIA. IQVIA will not consent to customers uploading its data to Veeva Network and has restricted use with Veeva Nitro and other applications, which has negatively affected sales and customer adoption of Veeva Network and Veeva OpenData.
Veeva is in active litigation with IQVIA and has been defending trade secret misappropriation claims since January 2017. For the nine months ended October 31, 2024, non-GAAP results exclude a $5.0 million litigation settlement.
The sales cycle for a new customer may span 12 months or longer. Veeva recently experienced increased scrutiny for certain potential projects, particularly professional services offerings, which may continue and could harm operating results and growth.
Solutions rely on third-party computing infrastructure including Salesforce and Amazon Web Services. Disruptions, capacity constraints, failure to renew agreements on reasonable terms, or provider financial difficulties could cause service interruptions, damage customer data, and subject Veeva to liability.
In 2023 certain Veeva CRM customers in China were required to request Cyberspace Administration of China approval to transfer data outside China and were denied; some customers chose other CRM providers. China is approximately 2% of total revenue. Russia sanctions and the Israel-Hamas conflict can also disrupt operations.
Uncertain macroeconomic and geopolitical factors, including inflation, interest rate changes, currency fluctuations, trade policy shifts, the Russian invasion of Ukraine, the Israel-Hamas conflict, and recession concerns, may cause instability and reduce life sciences customer spending.
Competition for highly skilled employees is intense, and Veeva has experienced difficulty hiring and retaining qualified employees and recruitment of its employees by competitors. Sales professionals may take six to nine months or longer to become fully productive, and the Work Anywhere policy may challenge productivity and collaboration.
The Tax Cuts and Jobs Act eliminated the option to deduct research and development expenditures currently, requiring capitalization and amortization over five or fifteen years. MD&A expects cash payments for income taxes to reduce operating cash flows in fiscal 2025 and expects operating cash flows to be substantially less in the fourth quarter. Pillar Two global minimum tax developments may also affect the effective tax rate.
The majority of subscription orders have one-year terms and customers have no obligation to renew. The annual inflation adjustment raises prices upon renewal by the lower of 4% or CPI, and if this reduces renewal rates or if purchasing scrutiny leads to lower user subscriptions or pricing pressure, business and results could be adversely affected.
