Summary

Shopify started fiscal 2025 with strong top-line and operating profit growth, but the bottom line remained negative because of equity investment losses. Revenue rose 26.8% year over year to $2.36 billion in the first quarter. Gross profit increased 22.2% to $1.169 billion. Operating income climbed 136% to $203 million. Gross margin was 49.5%, down 1.9 percentage points from the prior-year quarter. Operating margin was 8.6%, up 4.0 percentage points. The company reported a net loss of $682 million, or a diluted loss per share of $0.53. That loss widened from the prior-year quarter. The net loss was driven by swings in equity investments, not by the core commerce business, which produced positive operating income. The gross margin decline reflects a larger share of merchant solutions revenue, which carries lower margins than subscription solutions. The company attributed the revenue increase to growth in MRR and Shopify Payments revenue.

Operational metrics kept pace. Gross merchandise volume reached $74.8 billion in the quarter, up 23% year over year. Monthly recurring revenue was $182 million as of March 31, 2025, up 21% from March 31, 2024. The Shopify Payments penetration rate was 64%, with $47.5 billion of GMV facilitated through Shopify Payments. Free cash flow was $363 million, and free cash flow margin was 15%, up from 12%. Shopify has now delivered double-digit free cash flow margins for seven consecutive quarters. Pro forma revenue growth has been 25% or more for eight consecutive quarters, and GMV growth has exceeded 20% for seven consecutive quarters. On a constant currency basis, revenue grew 28% and GMV grew 25%. The company said businesses perform better on Shopify regardless of market conditions. MRR growth was lower than the same period in 2024 mainly because Shopify extended paid trials from 1 month to 3 months.

Guidance for the next quarter points to continued growth but a different mix. Shopify expects revenue to grow at a mid-twenties percentage rate year over year. Gross profit dollars are expected to grow at a high-teens percentage rate. Operating expense as a percentage of revenue is expected to be 39% to 40%. Stock-based compensation is expected to be $120 million. Free cash flow margin is expected to be in the mid-teens, similar to the first quarter of 2025. The outlook suggests that operating leverage may moderate as the company invests to support growth.

Cash flow and balance sheet items showed mixed signals. Operating cash flow was $367 million, up 54.2% year over year. Capital expenditures were $4 million, down 33.3%. Deferred revenue was $430 million, down 10.2% from the prior-year quarter. The company said deferred revenue is not a good indicator of future revenue because subscriptions are recognized over time. Management instead points to MRR as a better measure of long-term merchant value. In April 2025, Shopify invested $67 million in private companies. The company said it has sufficient liquidity to meet current and planned financial obligations over the next 12 months and into the foreseeable future.

Risks remain familiar but material. Shopify cites tariffs and international trade measures, changes in economic conditions, and consumer spending in key markets such as the United States and Europe. It also flags reliance on third-party cloud providers, the possibility of a cyberattack or security breach, and serious errors or defects in software or hardware. Foreign currency fluctuations can affect results, and the revenue mix continues to shift toward lower-margin merchant solutions. That shift may keep gross margin under pressure. Equity investment volatility can also cause large swings in net income, as it did this quarter. Seasonality matters, with merchant solutions revenue typically higher in the fourth quarter. The company also notes that its business may become more seasonal in the future and that historical patterns may not be reliable indicators of future performance. Shopify said it is not aware of any litigation matters or loss contingencies that would be expected to have a material adverse effect on the business. For now, the core business is growing faster than costs, and free cash flow remains a bright spot.

Risks

HIGHRevenue Mix

Continued growth of merchant solutions, which carry lower gross margins than subscription solutions, may cause overall gross margin to decline. Q1 2025 gross margin was 49.5%, down 1.9 pp versus Q1 2024.

HIGHEarnings Volatility

Net loss widened to $682 million in Q1 2025 from $273 million in Q1 2024, driven by net loss on equity and equity method investments. This can cause significant period-to-period earnings volatility.

MEDIUMPaid Trials

MRR growth rate for Q1 2025 was lower than the same period in 2024, driven mainly by extending paid trials from 1 month to 3 months. MRR was $182 million as of March 31, 2025, up 21% versus March 31, 2024.

MEDIUMLending Risk

Transaction and loan losses increased for Q1 2025, primarily due to an increase in losses related to lending services driven by an expansion of offerings and programs, which may continue as Shopify Capital grows.

MEDIUMSeasonality

Merchant solutions revenues are directionally correlated with GMV, which is typically higher in the fourth quarter holiday season. Shopify believes its business may become more seasonal and that historical patterns may not be reliable indicators of future performance.
