Summary

Okta ended fiscal 2022 with rapid top-line expansion and a much larger loss base. Fourth quarter revenue rose 63.2% to $383.02 million, and fiscal year revenue rose 55.6% to $1.30 billion. RPO increased 49.9% to $2.69 billion, while current RPO rose 60% to $1.35 billion. Calculated billings for the quarter were $603 million, up 91%, or $540 million, up 71%, excluding billings process improvements. The customer base with annual contract value above $100,000 reached 3,100, up from 1,950 a year earlier, and dollar-based net retention was 124%. Management said Okta standalone revenue, excluding Auth0, grew 39% in the quarter. Demand for identity and zero trust security remained a central theme.

Profitability moved sharply in the wrong direction. Gross profit rose 51.8% to $263.51 million, but gross margin fell 5.2 percentage points to 68.8%. The quarter's operating loss widened to $214.43 million, and operating margin was negative 56.0%, down 32.7 percentage points. Net loss widened to $241.19 million. For the full fiscal year, operating loss widened to $767.10 million, net loss widened to $848.41 million, and diluted EPS was negative $5.73. Non-GAAP operating loss was $24 million, compared with non-GAAP operating income of $8 million a year earlier. Non-GAAP net loss was $29 million, compared with non-GAAP net income of $8 million. The gap between GAAP and non-GAAP results reflects large stock-based compensation and acquisition-related charges, including costs tied to Auth0.

Cash generation weakened even as revenue scaled. Fourth quarter operating cash flow fell 61.2% to $13.53 million, and fiscal year operating cash flow fell 18.6% to $104.12 million. Free cash flow was $5 million in the quarter and $87 million for the year. Capital expenditures rose 264.5% to $6.51 million in the quarter. Current deferred revenue rose 93.6% to $973.29 million, a sign of advance billing and multi-year subscription contracts. The company also completed the Auth0 acquisition on May 3, 2021, which added significant scale and integration costs. Those items shape the balance sheet and future interest expense.

Guidance points to slower growth and continued losses. For the first quarter of fiscal 2023, Okta expects a non-GAAP operating loss of $51 million to $50 million and a non-GAAP net loss per share of $0.35 to $0.34. For the full fiscal year 2023, the company expects a non-GAAP operating loss of $185 million to $180 million and a non-GAAP net loss per share of $1.27 to $1.24. The full-year fiscal 2023 outlook calls for 37% to 38% revenue growth, a step down from fiscal 2022's 55.6%. Risks include COVID-19 disruptions, longer sales cycles, integration challenges with Auth0, a network or data security incident, service outages, convertible note obligations, and deteriorating global economic conditions. Management also noted that billings process changes flattered fiscal 2022 billings and that billings growth should trend down over time. Gross margin pressure from Auth0's lower-margin revenue and rising operating expenses remain watch items.

Risks

HIGHAuth0 Integration

Ongoing integration of Auth0 may disrupt business relationships, divert management, and fail to realize anticipated benefits. Auth0 contributed approximately $139.7 million in total revenue for the period from the acquisition date, but also brought significant integration costs, amortization, and potential unknown liabilities.

HIGHGross Margin

GAAP gross margin for FY2022 year to date was 69.5%, down 4.4 percentage points from 73.9% in FY2021 year to date, and subscription gross margin decreased to 74% from 79%. The decline was primarily due to Auth0 revenue carrying higher relative cost and lower gross margin plus increased amortization of acquired developed technology.

HIGHOperating Losses

Operating loss for FY2022 year to date widened to $767.1 million from $204.2 million in FY2021 year to date, and net loss widened to $848.4 million from $266.3 million. Operating margin was down 34.6 percentage points to -59.0%, and Okta expects to continue incurring net losses for the foreseeable future.

HIGHSales Cycle

Okta has experienced longer sales cycles, especially for larger enterprise deals, which may delay deal closings and create near-term headwinds for cash flow, RPO and billings growth. The company says sales cycles are lengthening in certain circumstances and becoming less predictable.

HIGHMacroeconomic

Adverse general economic and market conditions, including recession risk and reductions in workforce identity and customer identity spending, may reduce demand. MD&A notes COVID-19 uncertainty and potential longer sales cycles could delay deals and pressure future revenue growth.

HIGHCompetition

Okta faces intense competition, especially from larger, well-established companies such as Microsoft, which may bundle identity functionality or sell at zero or negative margins. Competitive pressure could result in price reductions, fewer orders, reduced revenue and gross margins, and loss of market share.

HIGHConvertible Notes

The conditional conversion feature of the 2023 Notes was triggered as of January 31, 2022, making them convertible at holder option between February 1, 2022 and April 30, 2022, and they were classified as current liabilities. Cash settlement or conversion could adversely affect liquidity and dilute stockholders.

MEDIUMCash Flow

Operating cash flow for FY2022 year to date was down 18.6% to $104.1 million from $128.0 million in FY2021 year to date, and free cash flow margin was 7% versus 13%. Okta expects operating losses and cash flows that may fluctuate between positive and negative amounts.

MEDIUMTalent Retention

Headcount grew from 2,806 employees as of January 31, 2021 to 5,030 as of January 31, 2022, placing demands on management and culture. Competition for engineers and sales personnel is intense, and Okta notes executive management changes including a CFO transition.

MEDIUMStock Compensation

Total stock-based compensation expense increased to $565.5 million in FY2022 year to date from $196.2 million in FY2021 year to date, including amounts related to Auth0 revesting agreements. This expense may continue to pressure GAAP profitability and dilute stockholders.

MEDIUMGoodwill Impairment

Goodwill totaled $5,401.3 million as of January 31, 2022, up from $48.0 million as of January 31, 2021, largely from the Auth0 acquisition. Future impairment of goodwill or acquired intangible assets could harm results.

MEDIUMInternational

International revenue was 20% of total revenue in fiscal 2022, up from 16% in fiscal 2021, exposing Okta to geopolitical instability including Russia's invasion of Ukraine, foreign exchange fluctuations, and varied privacy and regulatory regimes.

MEDIUMCustomer Retention

Okta's Dollar-Based Net Retention Rate was 124% for the trailing 12 months ended January 31, 2022, up from 121% a year earlier, but any material decline would harm future results. Customer growth could fall below expectations as Okta focuses on larger organizations.

MEDIUMBillings Volatility

Calculated billings increased 76% in FY2022, but absent operational changes to bill customers earlier, billings would have grown 60% year over year. Billings and RPO can fluctuate due to seasonality, renewal timing, invoice duration, and foreign currency.
