Guidance points to slower growth and continued non-GAAP losses. For the third quarter of fiscal 2023, Okta expects revenue of $463 million to $465 million, representing growth of 32% to 33% year-over-year. Current RPO is expected to be $1.54 billion to $1.55 billion, representing growth of 30% to 31% year-over-year. Management said it is focused on refining the go-to-market strategy for the combined Auth0 and Okta sales organization, strengthening teams, and making strategic reductions to spend to improve profitability. Risks include longer sales cycles, delays in deals closing, near-term headwinds for cash flow, RPO and billings growth, and potential future impacts on revenue growth and other key metrics on a trailing basis. The company also cited uncertainty from COVID-19, integration of Auth0, worsening global economic conditions, a network or data security incident, a service outage, and the ability to pay off convertible senior notes when due. Separately, J. Frederic Kerrest will begin a sabbatical on November 1, 2022, through October 31, 2023, remaining Executive Vice Chairperson and a board member. He will not receive base salary or benefits other than healthcare during the sabbatical, will not be eligible for an annual bonus during the sabbatical, and will remain eligible for 75% of his fiscal 2023 annual bonus based on service through the quarter ending October 31, 2022, and 25% of his fiscal 2024 annual bonus. His equity vesting will be tolled.

Risks
Adverse general economic, market and industry conditions, including inflation and interest rate pressures, recession risk, and geopolitical issues such as Russia's invasion of Ukraine, may reduce workforce identity and customer identity spending and cause customers to renegotiate, default, or not renew contracts. MD&A also notes longer sales cycles could create near-term headwinds for cash flow, RPO and billings growth.
Okta's sales cycles are lengthening in certain circumstances and becoming less predictable as it focuses on larger organizations, which may delay expected significant transactions and harm financial results. MD&A says these longer sales cycles could delay deals closing and create near-term headwinds for cash flow, RPO and billings growth as well as potential future impacts on revenue growth.
Okta faces intense competition, especially from larger, well-established companies such as Microsoft, which may use broader product lines, bundling, or zero or negative margin pricing to gain business. Continuing merger and acquisition activity in security and identity could increase competition from large technology companies in both workforce identity and customer identity markets.
The ongoing integration of Auth0 may disrupt the business and place a significant burden on management and internal resources. Okta notes its business was impacted by short-term execution challenges related to the integration of the Auth0 and Okta sales organization earlier this year, and it may not achieve expected synergies or growth projections.
Okta has experienced numerous cybersecurity attacks, and the January 2022 compromise of a third-party service provider was widely publicized, focused attention on its security, and became the subject of a lawsuit. As a well-known identity and security provider, Okta remains an attractive target for sophisticated attacks that could lead to liability, reputational harm, and customer loss.
The filing warns that any material decline in Dollar-Based Net Retention Rate would harm future results, and Okta's Dollar-Based Net Retention Rate for the trailing 12 months ended July 31, 2022 was 122%, compared with 124% for the trailing 12 months ended July 31, 2021. Customer growth could also fall below expectations as the customer base grows and Okta increases its focus on the world's largest organizations.
Okta depends on key employees and faces intense competition for personnel, especially engineers and sales professionals. The filing discloses a new Chief Accounting Officer effective August 2022 and that the Executive Vice Chairman, Chief Operating Officer, and co-founder intends to take a sabbatical from November 2022 through October 2023, which could disrupt the business.
Servicing convertible notes may require significant cash, and the conditional conversion feature of the 2023 Notes was triggered as of July 31, 2022, making them convertible at holder option between August 1, 2022 and October 31, 2022. The 2023 Notes were classified as current liabilities on the July 31, 2022 balance sheet, which could reduce net working capital and limit future capital raising.
MD&A states Okta expects to continue to incur operating losses and cash flows from operations that may fluctuate between positive and negative amounts for the foreseeable future. Operating cash flow was negative $0.22 million for the six months ended July 31, 2022, down from positive $53.47 million for the six months ended July 31, 2021.
Actual or perceived failure to comply with privacy or security provisions in Okta's policies, contracts, and legal or regulatory requirements, including GDPR and CCPA, could result in proceedings, actions, or penalties. The filing also cites risks from international data privacy and cybersecurity regimes and cross-border data flow uncertainty.
Okta's international revenue was 16% and 20% of total revenue in fiscal 2021 and fiscal 2022, and expansion exposes it to foreign legal, privacy, tax, currency, and geopolitical risks including Russia's invasion of Ukraine. Operating internationally requires significant management attention and financial resources.
MD&A states Calculated Billings increased 36% for the three months ended July 31, 2022 and 21% for the six months ended July 31, 2022, and Okta expects the Calculated Billings growth rate to trend down over time. RPO fluctuates due to timing, duration, and dollar amount of customer contracts, and changes in RPO may impact implied growth rates.
