Summary

Intuit closed fiscal 2022 with full-year revenue of $12.73 billion, up 32.1 percent from the prior year. The addition of Mailchimp and growth in the Small Business & Self-Employed Online Ecosystem drove the top line. Full-year operating income was $2.57 billion, up 2.8 percent. Net income was $2.07 billion, flat compared with fiscal 2021. Diluted earnings per share were $7.28, down 3.7 percent. Operating cash flow for the full year was $3.89 billion, up 19.7 percent. The full-year results included a one-time charge tied to the company's settlement with the attorneys general of the 50 states and the District of Columbia. That charge reduced GAAP and non-GAAP operating income growth and earnings per share.

The fourth quarter was much weaker on a reported basis. Intuit posted a GAAP operating loss of $75 million, compared with operating income in the prior-year quarter. Net loss was $56 million, compared with net income a year earlier. Operating cash flow in the quarter was $339 million, down 37.5 percent. Deferred revenue was $808 million, up 18.1 percent. The swing to a loss reflected the earlier IRS tax filing deadline in fiscal 2022, which pulled Consumer segment revenue into the third quarter, and the addition of Mailchimp. On a non-GAAP basis, fourth-quarter operating income was $433 million and non-GAAP diluted earnings per share were $1.10.

Segment trends were mixed. Small Business & Self-Employed revenue grew 38 percent for the full year and 41 percent in the fourth quarter. Online Ecosystem revenue grew 61 percent for the year and 66 percent in the quarter. Excluding Mailchimp, Small Business & Self-Employed revenue grew 22 percent for the year and 20 percent in the quarter, while Online Ecosystem revenue grew 34 percent for the year and 32 percent in the quarter. Consumer Group revenue grew 10 percent for the full year, helped by a mix shift to TurboTax Live and Premier. Credit Karma revenue grew 17 percent in the fourth quarter, driven by credit cards and personal loans, partly offset by headwinds in auto insurance and home loans. ProConnect professional tax revenue grew 6 percent for the year. TurboTax Online units grew 1 percent, total U.S. TurboTax units were flat, desktop units fell 1 percent, and Canada units fell 2 percent.

Guidance points to slower growth in fiscal 2023. For the full fiscal year ending July 31, 2023, Intuit expects revenue growth of approximately 14 to 16 percent. The company guided GAAP operating income growth of approximately 9 to 13 percent and a GAAP diluted earnings per share decline of approximately 5 to 1 percent. Non-GAAP operating income is expected to be $5.258 billion to $5.363 billion, growth of approximately 17 to 19 percent, and non-GAAP diluted earnings per share are expected to be $13.59 to $13.89, growth of approximately 15 to 17 percent. For the first quarter of fiscal 2023, Intuit expects revenue growth of approximately 23 to 25 percent, including Mailchimp, a GAAP loss per share for the first quarter, and non-GAAP diluted earnings per share of $1.14 to $1.20. Segment guidance for fiscal 2023 calls for Small Business & Self-Employed growth of 19 to 20 percent, Consumer growth of 9 to 10 percent, ProConnect growth of 3 percent, and Credit Karma growth of 10 to 15 percent.

Risks remain familiar and material. Intuit faces competition, rapid technological change, cybersecurity and privacy threats, fraud, reliance on third-party relationships, and the need to attract and retain talent. The tax business is highly seasonal, and the timing of IRS acceptance and filing deadlines can shift revenue between quarters. Macroeconomic uncertainty, including inflation, the Russia-Ukraine war, and the COVID-19 pandemic, could affect demand. Legal and regulatory exposure is also present, as shown by the settlement. Tax law changes matter. A provision from the 2017 Tax Cuts & Jobs Act requires research and experimental expenditures to be capitalized for tax purposes beginning in fiscal 2023, which is expected to increase cash tax payments significantly compared with fiscal 2022. The Inflation Reduction Act, enacted on August 16, 2022, introduces a corporate alternative minimum tax effective for Intuit beginning in fiscal 2024 and an excise tax on corporate stock repurchases after December 31, 2022. The company is still evaluating the impact.

Risks

HIGHMacroeconomic

Adverse macroeconomic developments including inflation, slowing growth, rising interest rates or recession could reduce consumer and small business spending, lower Credit Karma partner activity, and decrease tax returns filed. MD&A notes the U.S. Federal Reserve began raising rates in March 2022 and signaled additional increases, while fiscal 2022 revenue rose 32.1% and net income was flat.

HIGHAI Competition

MD&A says artificial intelligence is transforming financial technology and disruptive start-ups, emerging ecosystems and mega-platforms are creating a more dynamic and highly competitive environment. Intuit must continue to innovate with AI and blockchain, and evolving AI regulation could impose new constraints.

HIGHPublic Sector Competition

Consumer tax faces potential competition from federal and state taxing authorities developing government tax software, and the IRS Free File Program operates under an agreement scheduled to expire in October 2023. If the program is terminated or the IRS enters return preparation, the government could become a publicly funded direct competitor.

HIGHAcquisition Integration

Acquisitions such as Mailchimp for $12.0 billion and Credit Karma involve significant integration, retention, and synergy risks, and may dilute EPS. MD&A notes Mailchimp contributed $762 million of revenue in fiscal 2022 and the acquisition increased weighted average shares, contributing to diluted EPS down 3.7% for fiscal 2022.

HIGHDebt

Intuit had $6.9 billion of indebtedness outstanding at July 31, 2022, including a $4.7 billion unsecured term loan borrowed to fund Mailchimp. Interest expense rose to $81 million in fiscal 2022 from $29 million in fiscal 2021, and covenants restrict subsidiary indebtedness and require financial ratios.

HIGHCybersecurity Incident

Intuit hosts sensitive customer data and has experienced increasingly frequent cyberattacks, with risks elevated by the hybrid workplace and its single-identity ecosystem across products. Credit Karma is also subject to a 2014 FTC order requiring a comprehensive security program and biannual independent assessments for 20 years.

HIGHFraud

Online tax preparation, payroll, payments, lending and personal financial management face increasing and increasingly sophisticated fraudulent activity, heightened when the workforce works from home. Failure to combat fraud could cause substantial losses, loss of customer or government confidence, or refusal by tax authorities to allow electronic filing.

MEDIUMSales Cycle

The tax business is highly seasonal, with revenue concentrated from November through April, causing significant quarterly fluctuations. In FY2022 Q4, operating income swung to a loss of $75.0 million from $402.0 million in FY2021 Q4, and net income swung to a loss of $56.0 million from $380.0 million.

MEDIUMGoodwill Impairment

At July 31, 2022, Intuit had $13.7 billion of goodwill and $7.1 billion of net acquired intangible assets, and amortization and impairment costs were $556 million in fiscal 2022, up from $196 million in fiscal 2021 and $28 million in fiscal 2020. Future impairment charges could materially decrease net income.

MEDIUMTalent Retention

Competition for skilled employees in software as a service, mobile, data science, AI and data security is intense, especially in California and India. Equity awards may become less effective if Intuit's stock price decreases or increases slower than talent competitors, and additional equity would dilute existing stockholders.

MEDIUMRegulatory

Evolving privacy and data protection laws, including GDPR, CCPA, the California Privacy Rights Act effective January 2023, and the Virginia Consumer Data Protection Act effective January 2023, impose compliance costs and operational changes. The invalidation of the EU-U.S. and Swiss-U.S. Privacy Shield frameworks has created additional data transfer challenges.

MEDIUMTax Law Changes

The Inflation Reduction Act of 2022 imposes a corporate alternative minimum tax effective for Intuit beginning in fiscal 2024 and an excise tax on stock repurchases after December 31, 2022. A provision requiring capitalization of research and experimental expenditures is applicable in fiscal 2023 and is expected to increase cash tax payments significantly compared to fiscal 2022.

MEDIUMLitigation

Intuit incurred a $141 million one-time charge related to its settlement with the 50 state attorneys general and the District of Columbia entered into on May 4, 2022. The company remains subject to various legal proceedings, claims and regulatory inquiries that could result in unfavorable outcomes.

MEDIUMProduct Accuracy

Tax products have rigid development timetables and must incorporate late tax law and form changes, creating risk of errors, launch delays or suspensions. TurboTax Live and QuickBooks Live experts may provide erroneous advice, and emerging AI and blockchain features may not function as designed.

MEDIUMThird-Party Dependence

Intuit relies on third-party partners, financial institutions, cloud providers, and distribution platforms like Apple's App Store and Google's Play Store. Credit Karma's financial institution partners may decrease or suspend activity, and platform owners have wide discretion to change pricing and terms.

LOWInternational

International operations face restrictive privacy and data localization laws, geopolitical events including the Russia-Ukraine war, sanctions and import/export regulations, and foreign currency restrictions. International net revenue was approximately 8% of consolidated total net revenue for the twelve months ended July 31, 2022.

LOWClimate Change

Climate-related events such as drought, water scarcity, heat waves, cold waves, wildfires, air quality impacts and power shutoffs may disrupt primary workplace locations and third-party suppliers. Failure to meet public climate commitments could harm reputation and talent recruitment.

LOWStock Volatility

Intuit's stock price may be volatile due to analyst estimates, credit ratings, macroeconomic conditions including inflation and the Russia-Ukraine war, and share repurchase or dividend changes. A significant drop could expose the company to securities class actions.
