Summary

Dropbox closed fiscal 2025 with fourth-quarter revenue of $636.2 million, down 1.1% from the prior-year quarter. The drop came mostly from FormSwift, which the company significantly reduced investment in at the start of 2025 and plans to wind down by the end of 2026. Excluding FormSwift, revenue rose 0.4%. Total ARR was $2.526 billion, a decrease of 1.9%, and $2.504 billion excluding FormSwift, a decrease of 0.3%. Paying users totaled 18.08 million, compared with 18.22 million. Full-year revenue was $2.521 billion, down 1.1%, or up 0.2% excluding FormSwift. Management pointed to better retention and engagement in Individual plans, while Teams remained pressured by cautious customer spend. DocSend grew strongly, and Sign modestly exceeded expectations.

Margins show the cost of the datacenter refresh and the payoff from prior cost cuts. Fourth-quarter GAAP gross margin was 79.2%, down from 81.2%, largely because of higher depreciation from the datacenter refresh cycle. GAAP operating margin was 25.5%, up from 13.7%. That comparison is flattered by the prior-year quarter, which carried $47.2 million in workforce reduction expenses. Non-GAAP operating margin was 38.2%, compared with 36.9%. GAAP net income was $108.7 million, up from $102.8 million. Non-GAAP net income was $173.9 million, compared with $222.6 million, mainly on a higher tax provision and interest expense tied to the term loan facility entered into in the fourth quarter of 2024. For the full year, GAAP gross margin was 80.1%, down from 82.5%; GAAP operating margin was 27.3%, up from 19.1%; and GAAP net income was $508.4 million, up from $452.3 million. GAAP diluted EPS was $1.86, up from $1.40.

Cash generation improved. Fourth-quarter net cash provided by operating activities was $235.4 million, up from $213.8 million. Unlevered free cash flow was $250.5 million, compared with $210.5 million. Free cash flow, a non-GAAP measure, was $224.9 million, compared with $210.5 million, and free cash flow margin was 35.4%, compared with 32.7%. Full-year net cash provided by operating activities was $951.8 million, up from $894.1 million. Full-year unlevered free cash flow was $1.016 billion, compared with $871.6 million. Capital expenditures were $10.5 million in the quarter, up from $3.3 million, and $21.0 million for the full year, down from $22.5 million. The company repurchased about 14.4 million shares for $414.6 million in the quarter and about 60.4 million shares for $1.7 billion in the full year. Deferred revenue was $729.7 million, flat from $727.7 million.

Dropbox said it will provide forward-looking guidance in connection with the quarterly earnings announcement on its conference call, webcast, and investor relations website. Management continues to push Dash as both a standalone product and embedded across the core Dropbox experience, and said it is strengthening the core FSS foundation. The risks are familiar. Paying user growth has declined, and Dropbox expects paying users to fluctuate and possibly fall in some periods. Revenue per paying user has come under pressure from the FormSwift reduction and a mix shift toward lower-priced plans, and the 10-K warns that revenue and revenue growth may keep decreasing if that trend is not reversed. Gross margin faces pressure from infrastructure costs and the datacenter refresh, the Teams business remains challenged, and FormSwift will be wound down by the end of 2026. The balance sheet carries term loan obligations, so interest expense and the tax provision are now larger items. Macroeconomic uncertainty, foreign exchange moves, competition, security breaches, service disruptions, and the ability to retain and upgrade paying users round out the cited risk set.

The quarter showed that cost discipline and buybacks can support earnings and cash flow even with a slightly smaller revenue base. The growth picture is still soft, though. ARR and paying users both declined, and gross margin fell. Dash adoption and the FormSwift wind down are the swing factors to watch in fiscal 2026.

Risks

HIGHGrowth Decline

Dropbox stated its business and revenue growth rate has declined and it has experienced negative growth. FY2025 revenue decreased 1.1% to $2.52 billion from $2.55 billion, Total ARR decreased to $2,526 million from $2,574 million, paying users fell to 18.08 million from 18.22 million, and ARPU decreased to $138.91 from $140.23, with FormSwift wind-down and Teams pressure contributing.

HIGHAI Competition

Dropbox competes in AI content search with Glean, Guru and Notion and faces larger competitors including Microsoft, Google, Amazon, Apple and Adobe. It has made and will continue making significant AI product investments, but these may not compete effectively, may not be adopted, and may adversely affect gross margins.

HIGHCybersecurity Incident

Dropbox continues to face risks from the April 2024 unauthorized access to the Dropbox Sign production environment, including ongoing consolidated class action litigation and regulatory scrutiny. It also expects AI technologies and accelerated AI product development to create additional or increased cybersecurity and privacy risks.

MEDIUMSales Cycle

More than 90% of revenue comes from self-serve channels and Dropbox lacks a significant outbound sales force, limiting its ability to reach larger organizations. Paying user growth has declined, renewals and upgrades have fluctuated, and Teams plans continue to face cautious customer spend.

MEDIUMTalent Retention

The company depends on key personnel and disclosed that Tim Regan stepped down as CFO in December 2025 with Ross Tennenbaum appointed as successor. The Virtual First work model may make hiring, retention, integration and oversight of a distributed workforce more difficult.

MEDIUMInfrastructure Costs

FY2025 cost of revenue increased 12.5% compared to FY2024, driven by a $53.1 million increase in infrastructure costs including data center refresh and facilities. Gross margin declined 2.4 percentage points YTD, and Dropbox expects cost of revenue to increase in absolute dollars.

MEDIUMMacroeconomic

Uncertain economic conditions, including inflation, fluctuating interest rates, foreign exchange rate moves, tariffs, retaliatory actions and geopolitical issues, may cause customers to delay, decrease or cancel purchases. MD&A states Teams performance continues to be affected by cautious customer spend amid broader macroeconomic uncertainty.

MEDIUMDebt

In Q4 2024 Dropbox entered a secured term loan facility. Interest (expense) income, net changed by $92.5 million for FY2025 versus FY2024, primarily due to increased interest expense, and the 2026 Notes mature on March 1, 2026 with repayment expected from term loan proceeds.

MEDIUMTax Regulatory

The IRS is examining Dropbox's consolidated federal income tax returns for periods ending December 31, 2022 through December 31, 2024. Provision for income taxes increased $51.7 million for FY2025 versus FY2024, partly due to reduced tax credits and increases to unrecognized tax benefits.

MEDIUMGovernance

As of December 31, 2025, directors and executive officers and their affiliates held 81.4% of voting power, with Mr. Houston holding approximately 81.4%. This concentrated control limits other stockholders' ability to influence corporate matters and may depress the trading price of Class A common stock.
