Operationally, Box had over 100,000 paying organizations as of January 31, 2022, and 67% of the Fortune 500 use its platform. The number of paying organizations increased 6% from a year earlier. The company signed wins or expansions with 23andMe, Crispr Therapeutics, Fanatics, Japan Post, Twilio, and UPS. It released new capabilities for Box Sign, monitoring tools for the admin console, and deeper integrations with Microsoft Teams and Slack. Revenue from non-U.S. customers rose to 32% of total revenue, up from 28% a year earlier, helped by significant growth in the Japan market.
Risks include a highly competitive market with pricing pressures, customer churn, delayed sales cycles from the COVID-19 pandemic, foreign currency losses, and potential fallout from the Russian invasion of Ukraine. Research and development expense fell as a percentage of revenue, and sales and marketing expense also declined as a percentage of revenue, while general and administrative expense rose as a percentage of revenue, partly on shareholder activism fees. The company continues to invest in product innovation and customer success. Management's outlook assumes another year of accelerating revenue growth and expanding operating margins. The results are preliminary and could differ from the final 10-K.

Risks
The 10-K adds the Russian invasion of Ukraine and resulting economic impacts as a risk that may adversely affect business, operations and future performance, alongside the continuing COVID-19 pandemic. These conditions could cause customers to delay or reduce IT spending, extend sales cycles and reduce renewal rates.
The cloud content management market is intensely competitive with relatively low barriers to entry. Primary competitors include Microsoft and OpenText (Documentum), and in enterprise file sync and share Microsoft, Google and Dropbox; some competitors offer products at lower prices or for free, placing pricing pressure on Box.
Sales efforts are increasingly focused on cloud content management use cases and targeted at enterprise and highly-regulated customers, which may lead to longer and more expensive sales cycles. The filing cites greater pricing pressure, implementation and customization challenges, and potential delays in revenue recognition for more complicated transactions.
The business depends substantially on customers renewing subscriptions and expanding their use of Box services. The net retention rate was approximately 111% as of January 31, 2022 and 102% as of January 31, 2021, and although it has increased in recent quarters, it may decline or fluctuate.
Privacy and data protection laws may reduce the effectiveness of Box services and harm the business. The filing highlights GDPR penalties of up to the greater of 20 million euros or four percent of global revenue, the CJEU invalidation of the EU-US Privacy Shield, and the CCPA and CPRA in California.
Box was recently engaged in a proxy contest with an activist shareholder that was very costly and diverted significant time from the board and management. Fees related to shareholder activism were $15.6 million in FY2022 compared to $1.4 million in FY2021, and activism may create perceived instability and disrupt operations.
Box issued $345.0 million aggregate principal amount of convertible senior notes and made an irrevocable election to settle the principal in cash upon conversion. The company may not have sufficient cash flow from operations to settle conversions, repay the notes at maturity, or repurchase them upon a fundamental change.
International expansion exposes Box to regulatory, economic and geopolitical risks. In FY2022 significant growth in the Japan market drove revenue from non-U.S. customers to 32% of revenue, compared to 28% in FY2021, while risks include foreign currency fluctuations, Brexit uncertainty and unstable regional conditions such as the Russian invasion of Ukraine.
Box is migrating more storage and processing operations to third-party cloud computing and hosting facilities. Unsuccessful data transfers or data center moves may impair service delivery, result in contractual penalties or damage claims, and may require greater than expected investment and take longer than planned.
KKR led a $500 million investment for 500,000 shares of Series A Convertible Preferred Stock, which carries a 3.0% cumulative dividend and preferential liquidation and redemption rights. These obligations could impact liquidity and reduce cash available for working capital, and conversion would dilute Class A common stockholders.
