Summary
Box opened fiscal 2022 with double-digit growth and much better profitability. Revenue for the quarter ended April 30, 2021 was $202.4 million, up 10.3% from $183.6 million in the prior-year quarter. Remaining performance obligations ended the period at $864.8 million, up 19.7% from $722.7 million, and deferred revenue was $423.2 million, up 14.9% from $368.3 million. Billings, a sales-activity measure rather than a GAAP line, rose 24% to $159.4 million. Management credited expansion inside existing accounts, longer contract durations and the timing of renewals. Revenue from non-U.S. customers climbed to 31% of the total from 27%, helped by strong growth in Japan. Paying organizations increased 6% year over year.
GAAP profitability improved even though margin mix slipped at the gross line. Gross profit rose to $141.5 million from $129.6 million, while gross margin eased to 69.9% from 70.6%. The operating loss narrowed to $10.3 million from $24.2 million, and operating margin improved to negative 5.1% from negative 13.2% as research and development and sales and marketing spending fell. The net loss narrowed to $14.6 million from $25.6 million. GAAP diluted net loss per share was $0.09. On a non-GAAP basis, operating income was $34.4 million, a 17% margin, compared with $17.2 million and 9%. Non-GAAP diluted net income per share was $0.18 versus $0.10. The gap between the two views is still mostly stock-based compensation, plus acquisition and shareholder activism costs.
Cash was the cleanest part of the story. Operating cash flow was $94.8 million, up 53.1% from $61.9 million, and free cash flow, which strips out equipment purchases, finance lease payments and capitalized software, was $75.9 million against $39.9 million a year ago. The quarter included a large sequential drop in accounts receivable as collections ran ahead of invoicing, partly offset by a seasonal decline in deferred revenue that reflects sales concentrated in the back half of the fiscal year.
Guidance moved up. For the fiscal second quarter, Box guides revenue of $211 million to $212 million, a GAAP operating margin of negative 5% to negative 4.5% and a non-GAAP operating margin of 18% to 18.5%. GAAP net loss per share is guided to $0.13 to $0.12 and non-GAAP diluted net income per share to $0.17 to $0.18. For the full fiscal year 2022, revenue guidance was raised to $845 million to $853 million, with a GAAP operating margin of negative 4% and a non-GAAP operating margin of 18% to 18.5%. Full-year GAAP net loss per share is guided to $0.50 to $0.45 and non-GAAP diluted net income per share to $0.71 to $0.76. Management noted that the preferred stock issued in the KKR deal and a temporarily elevated share count will weigh on per-share results in the second quarter and the full year, with no effect on reported net income.
Product and partnership activity was heavy. Box closed the SignRequest acquisition and continued building Box Sign, its native e-signature offering, which is expected to launch in the summer. It expanded its Microsoft 365 work with new security integrations, added integrations with Cisco Webex and Dolby, and rolled out tighter auto-classification and permission management. Wins and expansions included DoorDash, IQVIA, Penguin Random House and Isuzu Motors. KKR led a $500 million investment and took a board seat. Net retention rate, though, slipped to 103% from 107%, a sign that expansion within the base is not what it was a year ago.
Risks are familiar but real. Box says COVID-19 has already driven increased churn and delayed sales cycles and could still pressure customer budgets. The filings also flag pricing pressure and consolidation in a competitive cloud content management market, the possibility that customers do not renew or expand, the difficulty of integrating acquisitions such as SignRequest, and the damage a security breach would cause. Shareholder activism is named as a factor, and the capital structure now includes convertible notes and the pending repurchase tied to the KKR transaction.

Risks
The company states its net retention rate has decreased over time and may continue to decline, with net retention rates of approximately 103% and 107% as of April 30, 2021 and 2020, respectively. MD&A also flags customers partially churning their deployment as a partial offset to revenue growth.
Box received a notice from Starboard Value and Opportunity Master Fund Ltd. of its intention to nominate four director candidates at the 2021 annual meeting, and Starboard has publicly criticized the board, management and strategic partnerships. The proxy contest could require substantial legal, public relations and advisory fees and divert management attention.
As sales efforts increasingly focus on cloud content management use cases targeted at enterprise and highly-regulated customers, the company expects longer and more expensive sales cycles, greater pricing pressure, implementation and customization challenges, and potential delays in revenue recognition.
The cloud content management market remains intensely competitive, with Microsoft and OpenText (Documentum) as primary competitors and Microsoft, Google and Dropbox in enterprise file sync and share. Some competitors offer products at lower prices or for free, placing pricing pressure on Box's business.
Box issued $345.0 million aggregate principal amount of 0.00% convertible senior notes in January 2021 and made an irrevocable election to settle principal in cash. Servicing or repurchasing the Notes may require significant cash, and a default under the indenture could trigger cross-defaults on the senior credit facility.
Data protection and privacy requirements continue to evolve, including the CJEU's invalidation of the EU-US Privacy Shield, the GDPR's penalties of up to the greater of 20 million euros or 4% of global revenue, and California's CCPA and CPRA. Compliance could increase costs and impede sales transactions.
Holders of Series A Convertible Preferred Stock, including KKR, vote on an as-converted basis, hold consent rights over certain actions, and KKR has the right to designate a board member. Dividends accrue at 3.0% per annum and holders have redemption rights, which could pressure liquidity.
Box depends on highly skilled personnel and faces intense competition for talent, particularly in the San Francisco Bay Area. It reduced research and development headcount in the quarter, and the MD&A notes ongoing focus on higher-performing geographies and lower cost regions.
