Summary

Reported figures for the third quarter show revenue of $40.22 million for the three months ended September 30, 2021, and $112.10 million for the nine months. Gross profit was $10.80 million in the quarter and $30.24 million for the year to date, a 26.8% gross margin in the quarter and 27.0% for the nine months. The quarter produced an operating loss of $1.96 million, and the nine-month period an operating loss of $4.10 million. Net loss was $1.92 million for the quarter and $4.28 million year to date, with diluted loss per share of $0.03 and $0.08.

Operating margin was negative 4.9% in the quarter and negative 3.7% year to date. Cash generation is thinner still. Operating cash flow was an outflow of $0.67 million for the quarter and $2.27 million for the nine months. Capital expenditures, reported as purchases of property and equipment, were $0.32 million in the quarter and $0.60 million for the year to date, both cash outflows. The nine-month operating loss of $4.10 million sits next to $2.27 million of cash used in operations; the cash flow statement ties the outflow to the net loss and to swings in prepaid expenses, payables, accrued liabilities and the warrant liability.

The entity filing the report is still a blank check company. The MD&A states that GigCapital4 has neither engaged in operations nor generated any revenues to date, and that its only activities since inception on December 4, 2020 have been organizational work and the search for a target business. That language does not square with a reported revenue line of $40.22 million for the quarter, and the inconsistency is worth flagging. The IPO closed on February 11, 2021, with 35,880,000 public units sold at $10.00 each, including 4,680,000 units from the underwriters' full exercise of their over-allotment option, for gross proceeds of $358,800,000. The founder paid $25,000 for 7,460,000 founder shares, and a 1.2:1 stock split on February 8, 2021 left the founder holding 8,952,000 shares.

Fixed costs are modest but real. The company pays its founder $25,000 a month for office space, administrative services and secretarial support, a fee that began February 9, 2021 and runs until the combination closes or the company liquidates. The chief financial officer receives $10,000 a month, and the amount could rise to $15,000 a month depending on the scope of services. Management puts annual franchise tax obligations at roughly $200,000. The company says the proceeds held outside the trust account should be enough to operate for the next 12 months if no combination closes. The founder, officers or directors may, but are not obligated to, lend up to $1,500,000, convertible at the lender's option into units priced at $10.00 each.

In October 2021 the company signed Forward Share Purchase Agreements with certain stockholders. Those investors may sell up to an aggregate of 10,000,000 shares back to the company at $10.15 per share on the three-month anniversary of the closing, with the company escrowing the lesser of $101,500,000 and $10.15 multiplied by the number of shares held. The investors agreed not to request redemption in connection with the business combination vote. The agreements terminate by mutual consent, automatically if stockholders reject the transaction, or on a material adverse effect. Structural risks get a long airing. Additional equity or preferred stock issued at the combination could dilute holders, and debt could bring covenants, acceleration and foreclosure risk. As of September 30, 2021, the company had no long-term debt, capital lease, operating lease or long-term liabilities other than the founder services agreement.

The quarter's data describes a small operating business with real revenue and a narrow operating loss. The same filing describes a shell with no revenue at all. Reconciling those two stories, and watching how much of the trust gets redeemed when the transaction closes, is the work that matters from here.

Risks

HIGHLiquidity

In October 2021 the Company entered Forward Share Purchase Agreements under which certain stockholders may sell up to 10,000,000 shares back to the Company at $10.15 per share, and at closing the Company will deposit the lesser of $101,500,000 or $10.15 multiplied by the shares held into escrow. This is a significant contingent cash obligation relative to the $982,249 of cash held outside the Trust Account as of September 30, 2021.

MEDIUMWarrant Liability

The filing adds a supplemental risk factor that 366,533 private warrants are accounted for as a warrant liability at fair value because they may be redeemable for $3,665 if held by someone other than the initial purchasers, and changes in fair value are reported in earnings. The MD&A reports other expense from change in fair value of warrant liability of $196,973 for the nine months ended September 30, 2021 and other income of $32,989 for the three months ended September 30, 2021, which may adversely affect the market price of the common stock.
