Summary

Pegasystems closed the second quarter of 2024 with revenue of $351.15 million, up 17.7% from the prior-year quarter. Gross profit rose 25.8% to $254.21 million, and gross margin reached 72.4%, up 4.6 percentage points. The company swung to operating income of $12.97 million from a prior-year loss, and operating margin was 3.7%, up 17.5 percentage points. Net income was $6.61 million, a swing from a prior-year loss. Diluted earnings per share was $0.07, compared with a loss per share a year earlier. On a year-to-date basis, revenue rose 9.2% to $681.30 million. The first-half net loss narrowed to $5.51 million, and diluted loss per share narrowed to $0.07. Operating loss for the first half narrowed to $7.45 million.

Cash generation produced a split result. Operating cash flow in the quarter was $40.10 million, down 12.2% from the prior-year quarter. First-half operating cash flow was $220.24 million, up 93.6%. Capital expenditures were $1.25 million in the quarter, down 48.8%, and $1.86 million in the first half, down 86.7%. Free cash flow, a non-GAAP measure, was $218.386 million in the first half, up 119%. Deferred revenue was $355.06 million, up 13.0% from the prior-year quarter. Remaining performance obligations, or backlog, reached $1.41 billion, up 11.1%. Annual contract value was $1.305 billion, up 12%, and constant currency ACV was $1.310 billion, up 13%.

The quarter's operating narrative centered on Pega GenAI Blueprint. Management said tens of thousands of blueprints had been created in the last few months. CEO Alan Trefler said the offerings have captured the imagination of clients, prospects, and partners. CFO Ken Stillwell pointed to profitability improvement alongside ACV growth. Non-GAAP net income was $45.841 million, and non-GAAP diluted earnings per share was $0.52. The difference from GAAP results reflects adjustments such as stock-based compensation, restructuring, legal fees, litigation settlement, amortization of intangible assets, interest on convertible notes, capped call transactions, foreign currency, and income taxes.

The company said Pega Cloud revenue growth came from existing clients deepening their use of Pega Cloud. Consulting revenue declined because of fewer consultant billable hours. Selling and marketing expenses fell on reduced headcount as the company optimized its go-to-market strategy. Research and development increased in the quarter due to higher incentive-based compensation. General and administrative expenses also rose on higher incentive-based compensation. Interest income increased on higher investment balances and market interest rates. The first half included a litigation settlement, net of recoveries, and restructuring costs. The release did not include formal guidance for the next quarter or the full fiscal year.

Risks remain familiar for Pega. The company faces ongoing litigation with Appian Corp. Its forward-looking disclosures also cite cyber-attacks, security breaches, foreign currency exchange rates, reliance on third-party service providers including hosting providers, client retention, and management of growth. Demand can vary, especially among public sector clients. The convertible senior notes mature on March 1, 2025, and the company has a quarterly dividend of $0.03 per share that the board can modify or terminate. Management said current cash, marketable securities, operating cash flow, borrowing capacity, and capital market access should fund operations, the convertible note settlement, stock repurchases, and quarterly dividends for at least the next 12 months. Cost-efficiency efforts reduced selling and marketing expenses, but litigation and restructuring still weighed on GAAP results.

Risks

HIGHLitigation

The company cites ongoing litigation with Appian Corp. and the MD&A discloses a litigation settlement, net of recoveries, in the six months ended June 30, 2024, which could lead to further legal costs or financial liabilities.

HIGHDebt Obligations

Convertible senior notes mature on March 1, 2025, and the MD&A discusses their settlement as part of liquidity needs, creating refinancing, dilution, or cash deployment risk.

MEDIUMRevenue Mix

Maintenance revenue decreased in the three and six months ended June 30, 2024 due to the shift to Pega Cloud, while consulting revenue decreased in both periods on lower consultant billable hours and consulting gross profit percent decreased on lower utilization.

MEDIUMRestructuring

The company has taken restructuring actions and reduced selling and marketing headcount to optimize its go-to-market strategy, which may disrupt sales execution or strain remaining personnel.

LOWTax

The MD&A notes a not meaningful effective income tax rate for the six months ended June 30, 2024 due to jurisdictional mix, a valuation allowance on U.S. and U.K. deferred tax assets, and monitoring of the OECD Pillar Two global minimum tax that began January 1, 2024.
