Summary
Pegasystems opened fiscal 2024 with revenue of $330.1 million for the quarter ended March 31, 2024, up 1.4 percent from the prior-year quarter. Gross profit was $235.5 million, up 3.5 percent, and gross margin rose to 71.3 percent from 69.9 percent. The operating loss narrowed to $20.4 million from $22.2 million, and operating margin improved to negative 6.2 percent from negative 6.8 percent. Net loss narrowed to $12.1 million from $20.8 million. Diluted loss per share was $0.14, an improvement from a loss of $0.25. The revenue increase was modest, but the mix continues to shift toward cloud and subscription offerings. Pega Cloud revenue grew while subscription license revenue declined because the prior-year quarter included a large multi-year contract. Consulting revenue increased on higher consultant realization rates in the Americas. Maintenance revenue rose on continued demand for subscription license offerings that are generally bundled with maintenance.
On a non-GAAP basis, net income was $42.2 million and non-GAAP diluted earnings per share were $0.48. Annual contract value was $1,273 million, up 9 percent, and constant currency ACV was $1,277 million, also up 9 percent. Remaining performance obligations rose 8.9 percent to $1.42 billion. Deferred revenue was $384.5 million, up 11.2 percent. The company said Pega Cloud gross margin expanded on better cost efficiency in hosting and employee compensation, while consulting gross margin improved on higher realization rates. Selling and marketing expenses fell on lower headcount as the company optimized its go-to-market strategy. Research and development expenses declined, and general and administrative expenses were roughly flat. Restructuring charges were lower than the prior-year quarter.
Cash generation stood out. Operating cash flow was $180.1 million, up 164.5 percent. Capital expenditures were $0.6 million, down 94.7 percent. Free cash flow, a non-GAAP measure, reached $179.5 million. That performance was helped by growth in client collections and cost-efficiency initiatives, and the company said the strong cash generation demonstrates the power of a SaaS business. Management introduced Pega GenAI Blueprint in the quarter, saying hundreds of clients and partners have generated thousands of Blueprints. The company also noted that its cash, marketable securities, and cash provided by operations should fund operations, the convertible senior notes due March 1, 2025, stock repurchases, and quarterly dividends for at least the next 12 months.
The balance sheet still carries convertible senior notes due March 1, 2025. The company holds a revolving credit facility with no cash borrowings. It paid dividends and has repurchase authority. The board extended the share repurchase program to June 30, 2025. Risks flagged in the filing include ongoing litigation with Appian Corp., foreign currency swings, reliance on third-party hosting providers, cyber and security exposure, client retention, demand from public sector clients, and compliance with debt covenants. The quarter included a litigation settlement, net of recoveries, related to proceedings outside the ordinary course of business. Management said the company is in a great position to accelerate profitable growth given its financial strength and differentiated GenAI capabilities. The outlook depends on continuing to convert backlog and on managing costs while investing in GenAI capabilities. The company faces the maturity of its convertible notes and the need to maintain client retention as it pushes deeper into enterprise AI decisioning and workflow automation.

Risks
Ongoing litigation with Appian Corp. is highlighted in forward-looking statements, and the three months ended March 31, 2024 included a $32.4 million litigation settlement, net of recoveries, representing 10% of revenue.
As of March 31, 2024, $502.3 million aggregate principal amount of convertible senior notes remained outstanding and mature on March 1, 2025, requiring repayment or refinancing within the next 12 months; the credit facility was amended to expire February 4, 2025.
Subscription license revenue decreased 25% for the three months ended March 31, 2024, primarily due to a large multi-year contract recognized in the three months ended March 31, 2023, showing revenue variability from large deal timing.
Foreign currency transaction loss increased 22% to $3.3 million for the three months ended March 31, 2024, driven by foreign currency-denominated cash and receivables held by the U.K. subsidiary.
Forward-looking statements specifically flag variation in demand for products and services, including among public sector clients, which may affect future revenue timing and results.
