Summary
Mitek Systems reported record fiscal 2025 second quarter results. Revenue was $51.9 million, up 11% from $47.0 million in the prior-year quarter. GAAP net income was $9.2 million, or $0.20 per diluted share, compared with $0.3 million and $0.01 a year earlier. Operating income reached $11.36 million against $0.70 million, and the operating margin expanded to 21.9% from 1.5%. Management described the quarter as an all-time high for both revenue and profitability.
The revenue mix shifted toward services. Services and other revenue rose 14% year over year, while software and hardware revenue grew 7%. The company attributed the services growth to higher revenue from its MiVIP, Mobile Deposit, and Check Fraud Defender products. Management also highlighted 15% year-over-year growth in SaaS revenue, driven by demand for identity verification and fraud products.
Profitability improved sharply on both a GAAP and non-GAAP basis. Non-GAAP gross margin was 87.7%, up from 87.0%. Adjusted EBITDA was $20.2 million versus $13.3 million, and the adjusted EBITDA margin was 38.8% against 28.2%. Non-GAAP net income was $16.7 million, or $0.36 per diluted share, compared with $11.5 million and $0.24. The company's effective tax rate for the quarter was 9%.
Cash generation was strong. Operating cash flow was $13.7 million for the quarter, up from $7.1 million, and $14.3 million for the six months ended March 31, 2025, up from negative $2.4 million. Capital expenditures fell to $0.23 million from $0.48 million in the quarter. Free cash flow, a non-GAAP measure, was $13.7 million for the six months, compared with negative $3.1 million a year earlier, and $47.1 million for the twelve months ended March 31, 2025. Deferred revenue, current portion, was $29.3 million, up 14% from $25.7 million a year earlier, and remaining performance obligations stood at $80.96 million.
Guidance for the full fiscal year ending September 30, 2025 maintains the full-year range at $170 million to $180 million. The company raised its full-year adjusted EBITDA margin range by 100 basis points to 26% to 29%. Mitek also amended its credit facility with Silicon Valley Bank to add a $75 million term loan and reduce the revolver to $25 million, intending to use up to $75 million plus company cash to retire its convertible notes before their February 1, 2026 maturity. As of March 31, 2025, the company was in compliance with the covenants in the indenture governing the 2026 notes.
Cash and investments were $152.4 million at March 31, 2025, up $10.6 million from $141.8 million at September 30, 2024. Working capital fell to $8.4 million from $142.9 million, mainly because $147.8 million of the 2026 notes moved to current liabilities. Cost discipline helped the quarter. General and administrative expenses fell 32% to $10.1 million, and restructuring costs were $0.8 million for the six months. The company repurchased $3.3 million, or 363,378 shares, during the six months ended March 31, 2025, and the 2026 notes carry a 0.75% coupon.
The company serves more than 7,900 organizations and held 105 issued patents with 20 applications outstanding at March 31, 2025. Its Mobile Check Deposit product facilitates approximately 1.2 billion transactions annually. Risks remain. Mitek cites competition from larger rivals, lengthy sales and implementation cycles that can run six months or longer, and product concentration in a few technology types. Tariffs and trade disputes could pressure pricing or demand, and a small number of channel partners account for a significant share of revenue each year.

Risks
Working capital decreased to $8.4 million at March 31, 2025 from $142.9 million at September 30, 2024, primarily because the 2026 Notes of $147.8 million were reclassified to current liabilities as they mature on February 1, 2026. The company states material cash requirements include repayment of the 2026 Notes.
The 0.75% Convertible Senior Notes due 2026 mature on February 1, 2026, and the company entered an Amended Credit Agreement on May 7, 2025 providing a delayed draw term loan of up to $75.0 million to pay amounts outstanding under the 2026 Notes. This creates refinancing execution risk if the term loan or other liquidity is not available on acceptable terms.
Substantially all revenues are from a few types of technology, and the company states its product concentration may make it especially vulnerable to market demand and competition from other technologies, which could reduce revenues.
The sales cycle for software and services can be lengthy, and implementation cycles by channel partners and customers can be as long as six months and sometimes longer for larger customers. Delays or incomplete implementations may adversely affect business, financial condition, and results of operations.
Sales of licenses to one or more channel partners have comprised a significant portion of revenue each year. If the company were to lose a channel partner relationship, it or another channel partner would need to establish a relationship with end-users, which could take time to develop.
The company has a growing number of competitors in the mobile image capture and identity verification industry, many of which have greater financial, technical, marketing, and other resources.
The convertible feature of the 2026 Notes will be dilutive to earnings per share when the average stock price for the period is greater than the conversion price, and the warrant transactions require incremental dilution to the extent the average share price is over $26.53 for any fiscal quarter.
The company states that factors adversely affecting pricing or demand for its digital solutions include the imposition of tariffs and other trade disputes, which could result in lower revenues or gross margins.
