Summary

Mitek Systems reported fiscal 2025 third quarter revenue of $45.7 million, up 1.7% from the prior-year quarter. SaaS revenue grew 23% year over year, as demand for identity and fraud prevention solutions accelerated. GAAP operating income was $3.8 million, up 418.9%, and GAAP net income was $2.4 million, or $0.05 per diluted share, up from the prior-year quarter. Operating margin expanded to 8.3%, up 6.7 percentage points. On a non-GAAP basis, adjusted EBITDA was $13.1 million and adjusted EBITDA margin was 28.6%. Non-GAAP net income was $10.2 million, or $0.22 per diluted share. Non-GAAP gross profit was $38.9 million and non-GAAP gross margin was 85.0%. For the nine months ended June 30, 2025, revenue was $134.9 million, up 4.7%. GAAP operating income was $12.1 million, up 320.6%, and GAAP net income was $6.9 million, or $0.15 per diluted share, up 231.0%. Year-to-date operating margin was 9.0%, up 13.2 percentage points.

Cash generation was a bright spot. Operating cash flow was $21.6 million in the quarter, up 66.1%, and $35.9 million for the nine months, up 238.9%. Capital expenditures were $0.3 million in the quarter, down 23.7%, and $0.9 million for the nine months, down 22.4%. Free cash flow, a non-GAAP measure, was $35.0 million for the nine months ended June 30, 2025 and $55.8 million for the twelve months ended June 30, 2025. Deferred revenue, current portion, was $25.9 million, up 9.2% from the prior-year quarter. Remaining performance obligations stood at $80.6 million. Mitek also reported no outstanding borrowings under its amended credit agreement and a net leverage ratio of 1.20 to 1.00 as of June 30, 2025. The company faces a February 1, 2026 maturity on its 0.75% convertible senior notes due 2026.

Operational highlights included new patents. Mitek added patents in the quarter, bringing total issued patents to 107 as of June 30, 2025, with 21 patent applications outstanding. The company serves over 7,900 financial services organizations, fintech brands, telecommunications companies, and marketplace brands. Its Mobile Check Deposit product facilitates approximately 1.2 billion transactions annually. Management said SaaS revenue growth accelerated and that Mitek is shifting to SaaS, streamlining operations, and aligning product investments around a unified platform. For full-year fiscal 2025, Mitek tightened revenue guidance to $174 million to $177 million from a prior range of $170 million to $180 million. The company also tightened full-year adjusted EBITDA margin guidance to 28% to 29% from a prior range of 26% to 29%.

Risks remain. Mitek operates in a competitive market for mobile image capture and identity verification, and many competitors have greater financial, technical, and marketing resources. Sales and implementation cycles can be lengthy, often as long as six months and sometimes longer for larger customers. A small number of channel partners have historically generated a significant portion of revenue, and product concentration leaves the company exposed to shifts in demand. Tariffs and trade disputes, negative publicity, and obsolescence of software environments could pressure pricing or demand. The company also cites litigation and investigation risk in its forward-looking statements. On the cost side, Mitek reduced general and administrative and research and development expenses year over year, while selling and marketing expenses rose. Non-GAAP operating expense was $26.3 million, down from $27.1 million a year ago. The company continued to streamline operations.

The quarter showed a mix of modest top-line growth and sharp profitability improvement. Revenue rose 1.7% in the quarter and 4.7% year to date. Operating income and net income swung to profits on a year-to-date basis. Cash flow was strong, with operating cash flow up 66.1% in the quarter and 238.9% year to date. The balance sheet remains leveraged, with the 2026 Notes due in February 2026. Management's tightened full-year guidance points to continued SaaS momentum and margin discipline, but execution risks remain.

Risks

HIGHLiquidity

Working capital decreased to $27.1 million at June 30, 2025 from $142.9 million at September 30, 2024, primarily because the $150.0 million 2026 Notes were reclassified to current liabilities as they mature on February 1, 2026. The company may need to draw on the new $75.0 million delayed draw term loan or otherwise refinance this maturity.

HIGHConcentration Risk

Substantially all revenues come from a few types of technology, and software and hardware revenue decreased 14% to $19.5 million in the three months ended June 30, 2025 while services and other revenue increased 18% to $26.2 million, making results vulnerable to demand shifts and competition in mobile image capture and identity verification.

MEDIUMSales Cycle

The sales cycle for software and services can be lengthy, and implementation cycles by channel partners and customers can be as long as six months or longer for larger customers. Delays or incomplete implementations could adversely affect business, financial condition, and results of operations.

MEDIUMChannel Partner

Sales of licenses to one or more channel partners have comprised a significant portion of revenue in each of the last few years. Losing a channel partner relationship could require establishing direct end-user relationships, which could take time to develop.

MEDIUMAI Competition

The company faces a growing number of competitors in mobile image capture and identity verification, many with greater financial, technical, and marketing resources. Remaining competitive requires continued investment in research and development and partnerships with other technology providers.

MEDIUMMacroeconomic

Factors such as competition from other products or technologies, any decline in demand for digital transactions, the imposition of tariffs and other trade disputes, or negative publicity or software environment obsolescence could result in lower revenues or gross margins.

MEDIUMDilution

The 2026 Notes are convertible at an initial conversion price of approximately $20.85 per share, and the related warrant transactions require incremental dilution of earnings per share to the extent the average share price is over $26.53 for any fiscal quarter. The convertible feature will be dilutive when the average stock price exceeds the conversion price.

MEDIUMDebt Covenant

The Amended Credit Agreement requires a net leverage ratio of no more than 2.50 to 1.00, or 2.75 to 1.00 after a permitted acquisition. As of June 30, 2025 the net leverage ratio was 1.20 to 1.00, but a breach could accelerate obligations and terminate the facility.
