Management said SaaS products grew year over year. The Identity product portfolio and fraud offerings showed momentum, while Deposit solutions remained resilient. Software license sales had year-over-year variances. The revenue mix shifted. Software and hardware revenue fell, while services and other revenue rose, driven by higher transactional SaaS revenue from identity verification products and higher revenue from Check Fraud Defender. The company serves more than 7,900 financial services organizations and fintech brands. Mitek repurchased 0.4 million shares at an average price of $8.99, totaling about $3.3 million. The share repurchase program authorizes up to $50.0 million and expires May 16, 2026.
For fiscal 2025 full year ending September 30, 2025, Mitek maintained revenue guidance of $170 million to $180 million. It raised the lower end of its adjusted EBITDA margin guidance by 100 basis points, resulting in a range of 25% to 28%. Management said cultural and technological integration efforts are underway, which it believes will strengthen the foundation for durable, profitable revenue growth in fiscal 2026 and beyond. The company's 2026 Notes bear interest at 0.75% per year and mature on February 1, 2026. The revolving credit line provides up to $35.0 million with an additional $15.0 million at the bank's discretion. Mitek had no outstanding borrowings under the Credit Agreement as of December 31, 2024.
The quarter still carried risks. The company faces integration work from the HooYu acquisition, litigation and investigation outcomes, quarterly variations in revenue, and timing of customer implementations and product launches. The sales cycle can be lengthy, often as long as six months and sometimes longer for larger customers. Competition and product concentration could pressure pricing and demand. Mitek also has convertible notes due 2026 and must manage covenants; it was in compliance as of December 31, 2024. The MD&A notes potential delisting risk from Nasdaq Capital Market in legal cost context. Management expects current cash and cash equivalents and cash from operations to satisfy working capital needs for at least the next twelve months.

Risks
Substantially all revenues come from a few types of technology, and the MD&A states product concentration may make Mitek especially vulnerable to market demand and competition from other technologies, which could reduce revenues. In FY2025 Q1, software and hardware revenue decreased 25% to $12.0 million while services and other revenue increased 21% to $25.3 million.
Sales of licenses to one or more channel partners have comprised a significant portion of revenue each year, and losing a channel partner relationship could require Mitek or another partner to establish end-user relationships, which could take time to develop.
As of January 13, 2024, Mitek was not in compliance with certain Indenture covenants because it did not timely file its FY2023 Form 10-K, causing the 2026 Notes to accrue additional special interest. As of December 31, 2024, the company was in compliance, and its net leverage ratio was 1.79 to 1.00 under the Credit Agreement covenant of no more than 2.25 to 1.00.
The sales cycle for Mitek's software and services can be lengthy, and implementation cycles by channel partners and customers can be as long as six months and sometimes longer for larger customers. Delays or incomplete implementation may adversely affect business, financial condition, and results of operations.
Mitek faces a growing number of competitors in mobile image capture and identity verification, many with greater financial, technical, marketing, and other resources. The MD&A states it intends to further invest in research and development and partner with other technology providers to remain competitive.
On-premise license revenue for mobile products is recognized up front, while SaaS revenue is recognized ratably or as transactions are used. Future license revenue depends on factors including license term, timing of implementation by channel partners and customers, and timing of re-orders or renewals.
Other income, net decreased 66% to $0.6 million in FY2025 Q1 compared to $1.6 million in the prior-year quarter, primarily due to higher foreign currency exchange transactional losses. This volatility can affect non-operating results.
Factors adversely affecting pricing or demand for Mitek's digital solutions, such as competition, decline in demand for digital transactions, negative publicity, or obsolescence of software environments, could result in lower revenues or gross margins.
