Summary
Pegasystems closed fiscal 2024 with a quarter that grew revenue but shrank profit. Revenue rose 3.5% to $490.83 million in the fourth quarter, and full-year revenue reached $1.50 billion, up 4.5%. Gross margin slipped 1.7 percentage points to 79.1% in the quarter, while the full-year gross margin edged up 0.3 percentage points to 73.9%. The full-year results look considerably better. Operating income for the twelve months climbed 53.0% to $123.88 million. Net income rose 46.3% to $99.19 million, and diluted earnings per share were $1.11, up $0.38 or 52.1%. Full-year operating margin improved 2.6 percentage points to 8.3%. A $32.4 million litigation settlement, net of recoveries, landed in 2024, and the company expects legal costs from proceedings outside the ordinary course of business to continue.
Cash generation was the highlight. Operating cash flow for the quarter came to $95.23 million, up 19.2%, and $345.93 million for the year, up 58.8%. Free cash flow, which the company defines as cash provided by operating activities less investment in property and equipment, reached $338.2 million for the year, up 68%. Capital expenditures for the year fell 54.0% to $7.71 million as the company optimized office space, although quarterly capital expenditures of $2.79 million rose 11.2%. Management credited growth in client collections and cost-efficiency initiatives for the operating cash flow gain.
Demand metrics support the growth narrative. Annual contract value ended 2024 at $1,372 million, up 9%, or 11% in constant currency. Pega Cloud ACV rose 18% to $652.4 million, and 21% after adjusting for foreign exchange. Subscription license ACV grew 13%, while maintenance ACV fell 10%, or 8% in constant currency. Remaining performance obligations reached $1.62 billion, up 10.9%, and deferred revenue stood at $426.03 million, up 12.0%. Cloud revenue grew 21% for the year, while maintenance revenue fell 3% and consulting revenue dropped 4% as clients moved to cloud-based offerings.
Guidance for the full fiscal year 2025 targets 12% ACV growth and revenue of $1.6 billion. On a non-GAAP basis, the company projects diluted earnings per share of $3.10 and net income of $289 million for the year. It guides cash provided by operating activities to $455 million and free cash flow to $440 million, a plan that assumes $15 million of investment in property and equipment.
Several risks sit alongside the outlook. Pega remains in litigation with Appian Corp., and management said legal costs will keep weighing on general and administrative expense. A $468 million convertible senior notes balance matures on March 1, 2025. Management states that current cash, marketable securities, and borrowing capacity should cover that settlement, dividends, and stock repurchases for at least the next twelve months. The repurchase program had $240.44 million of remaining authority at year end, and the company intends to keep paying a quarterly cash dividend of $0.03 per share. Other named risks include foreign currency exchange rate swings, cyber-attacks and security breaches, reliance on third-party hosting providers, client retention, and variation in public sector demand.

Risks
Pega is appealing the Appian Corp. trade secrets judgment, originally entered at $2,060,479,287 with post-judgment interest; the Court of Appeals reversed the Virginia Uniform Trade Secrets Act claim and ordered a new trial, and Appian's petition to the Supreme Court of Virginia was scheduled for argument on February 11, 2025. If Pega is ultimately unsuccessful or cannot substantially reduce any judgment, it may need additional debt or capital markets transactions.
Pega is investing significantly in AI, including Pega Customer Decision Hub, Pega Customer Service, Pega Platform, and Pega GenAI Blueprint, while competitors also invest in AI and the legal and regulatory landscape remains uncertain and evolving rapidly. Failure to develop AI products that satisfy customer preferences in a timely and cost-effective manner could reduce retention or demand.
Timing of license and Pega Cloud revenue is difficult to predict because revenue recognition differs between upfront license sales and subscription arrangements, and a small portion of expenses varies with revenue. Quarterly comparisons can be volatile: current-quarter revenue rose 3.5% year over year, while operating income fell 7.9% and net income fell 16.5%.
