Summary

Aware closed fiscal 2025 with a smaller top line and a wider annual loss. Fourth-quarter revenue was $4.66 million, down 2.8% from the prior-year quarter. Full-year revenue was $17.29 million, down 0.6%. The fourth-quarter operating loss narrowed to $1.45 million, a 1.5% improvement from the prior-year quarter. The full-year operating loss widened to $6.56 million, an 18.3% increase. Net loss widened in both periods. Fourth-quarter net loss was $1.46 million, a 22.1% larger loss than the prior-year quarter. Full-year net loss was $5.87 million, a 32.5% larger loss. Diluted EPS for the full year was negative $0.28, with the loss widening 33.3%. Operating margin was negative 31.1% in the fourth quarter, down 0.4 percentage points, and negative 37.9% for the full year, down 6.0 percentage points.

Cash generation improved in the fourth quarter but remained negative for the year. Fourth-quarter operating cash flow was $1.05 million, up 53.1% from the prior-year quarter. Full-year operating cash flow was negative $5.40 million, down 70.8%. Capital expenditures were $0.12 million in the fourth quarter, up from zero in the prior-year quarter, and $0.16 million for the full year, up 266.7%. Deferred revenue stood at $5.12 million, down 0.9% from the prior-year quarter. Remaining performance obligations were $0.30 million, flat versus the prior-year quarter. The capex figures are cash outflows shown as positive amounts.

Management framed 2025 as a year of investment. Engineering headcount increased from 33 in 2024 to 45 in 2025. That staffing added to costs, and the MD&A says higher research and development, cost of revenue, and general and administrative expenses more than offset lower selling and marketing expense. The Anonybit matter also weighed on results. Aware entered a short-term bridge financing arrangement with Anonybit in connection with a potential strategic transaction. It advanced funds under a secured promissory note, but the broader transaction did not close. After determining Anonybit was insolvent, Aware wrote off the note receivable. The write-off is included in general and administrative expense for 2025. Management also noted that software license revenue declined, while software maintenance and services and other revenue increased.

For full fiscal year 2026, management expects costs to rise. Engineering costs should increase because of the full-year impact of engineering personnel hired during 2025. Research and development expenses are expected to increase in absolute dollars and as a percentage of revenue. Selling and marketing expense is expected to increase because of the full-year impact of sales and marketing personnel hired during 2025. General and administrative expense is expected to increase in absolute terms. The company says it intends to introduce new products to offer more complete biometrics solutions, with a preference for internal development. No formal revenue guidance was provided. The outlook is for the full fiscal year 2026, not the next quarter.

Risks remain tied to project timing, expense growth, and liquidity. Aware depends on winning biometrics systems projects, and software license revenue can fluctuate with perpetual license sales. The company performs its annual goodwill impairment test in the fourth quarter and has not recorded impairments to date. Lease obligations are estimated at approximately $0.7 million in each of 2026 and 2027, $0.8 million in each of 2028, 2029 and 2030, and $1.9 million thereafter. Management believes cash, cash equivalents, and marketable securities will fund operations for at least the next twelve months from the filing date. Revenue recognition for multiple performance obligations involves estimates, and the company says inflation has not had a material impact on results to date.

Risks

HIGHGovernment Funding

A significant portion of revenue is derived directly or indirectly from federal, international, state, and local government customers. Changes in government priorities, budgetary constraints, continuing resolutions, delayed appropriations, or delays in invoice payment could reduce or delay purchases and materially hurt results.

HIGHSales Cycle

Individual orders can represent a meaningful percentage of revenue in any period and timing is difficult to predict. Current quarter revenue was down 2.8% and year-to-date revenue was down 0.6%, with MD&A citing lower perpetual license sales, and failure to close or deferral of an order can cause quarterly shortfalls while costs are difficult to reduce in the near term.

HIGHChannel Concentration

Significant revenue comes through systems integrators and OEM partners that typically sell to government customers. Partner failure to win awards, reduced sales efforts, termination, or misalignment could impair sales and materially affect results.

HIGHRegulatory

Expanding biometric privacy and AI laws create compliance and litigation risk. The EU AI Act carries fines up to 35 million euros or 7% of global turnover, while the California Transparency in Frontier Artificial Intelligence Act and Colorado AI Act impose disclosure and per-violation penalties. Biometric privacy laws include GDPR, CPRA, Illinois BIPA, Texas, Washington H.B. 1493, and Brazil LGPD.

HIGHCompetition

Faces intense competition from Idemia, Thales, NEC, FaceTec, iProov, and Innovatrics, and low-cost foreign competitors may sell at reduced prices. Failure to develop enhanced solutions at competitive prices could cause revenue and market share to decline.

MEDIUMCloud Adoption

Growth depends on cloud-based services, but security and government sectors have been slower to transition due to data control, privacy, and regulatory compliance concerns. Slower adoption could negatively affect demand and future growth.

MEDIUMInvestment Risk

In November 2025 the company advanced $0.2 million to Anonybit under a secured promissory note in connection with a potential strategic transaction. Anonybit was determined insolvent in Q4 2025 and the full $0.2 million note receivable was written off in general and administrative expense for the year ended December 31, 2025.

MEDIUMLiquidity

Operating cash flow was down 70.8% year to date, net loss widened 32.5% year to date, and operating loss widened 18.3% year to date. Although $22.3 million of cash, cash equivalents, and marketable securities is believed sufficient for at least the next twelve months, additional financing may be required.

MEDIUMTalent Retention

Engineering headcount increased from 33 in 2024 to 45 in 2025, and R&D expense is expected to increase in absolute dollars and as a percentage of revenues in 2026. If key employees leave or hiring qualified personnel becomes difficult, business could be harmed.

MEDIUMMargin Pressure

Cost of revenue increased 58% from $0.8 million in 2024 to $1.3 million in 2025, and gross margins are expected to continue fluctuating based on project nature, complexity, pricing, and product mix. This could pressure operating results.

MEDIUMConcentration Risk

Officers, directors, and holders of at least 5% of outstanding shares beneficially own approximately 42% of common stock, and 51% on a fully diluted basis assuming exercise of vested and unvested options, giving them significant influence over stockholder and corporate actions.

MEDIUMMarket Adoption

A significant commercial market for biometrics may not develop, adoption has been limited and slow, and biometrics competes with keys, cards, PINs, passwords, and security personnel. Even with demand, there is no assurance the company's biometrics products will achieve broad acceptance.
