Summary
Aware closed fiscal 2024 with a mixed quarter. Revenue in the fourth quarter rose 9.7% year over year to $4.80 million. The full year was weaker: revenue fell 4.7% to $17.39 million. The quarterly operating loss narrowed 67.1% to $1.47 million, and the full-year operating loss narrowed 35.1% to $5.54 million. Net loss narrowed 71.9% in the quarter to $1.19 million and 39.4% for the year to $4.43 million. Diluted loss per share for the full year was -$0.21. Operating margin improved 71.8 percentage points in the quarter to -30.7%, and 14.9 percentage points for the full year to -31.9%. The company is still losing money, but the losses are much smaller than in 2023.
Management tied the full-year revenue decline to lower perpetual software licenses and software subscriptions, partly offset by higher software maintenance revenue. The mix shift matters. Software maintenance is recurring and renews as long as biometrics systems remain in use, while perpetual license sales can swing from period to period. Aware is also pushing AwareID, a SaaS offering, and management expects SaaS revenue to keep growing as a component of software license revenue. Cost cuts have reduced the expense base. Engineering headcount fell from 42 in 2023 to 33 in 2024 after reductions of roughly 10% in 2023 and 20% in 2024. Management expects research and development expense to decrease in absolute dollars and as a percentage of revenues in the next year, then increase in absolute dollars in subsequent years. Selling and marketing and general and administrative expenses are expected to be managed, though general and administrative costs are expected to rise in absolute terms.
Cash generation weakened. Fourth-quarter operating cash flow was $0.68 million, down 77.7% year over year. For the full year, operating cash flow was -$3.16 million, down 273.4%. Capital expenditures for the full year were $0.04 million, up 181.2%, while quarterly capital expenditures were flat at $0.00 million. Deferred revenue ended the quarter at $5.16 million, down 6.8% from the prior-year quarter. Remaining performance obligations fell 50.0% to $0.30 million. Both measures declined year over year. Management states that cash, cash equivalents, and marketable securities are sufficient to fund operations for at least the next twelve months.
The risk profile still has several items. Aware has a note receivable from Omlis that management considers unlikely to be recovered because of liquidity issues, and Omlis and MIRACL entered the United Kingdom administration process in January 2024. The FortressID contingent acquisition payment was adjusted in 2023, and the earnout period closed without revenue targets being achieved. Goodwill and intangible assets impairment is a critical accounting estimate, and the annual goodwill test occurs in the fourth quarter. No impairments have been recorded to date, but a change in assumptions could force a charge. The company also has lease obligations for its headquarters and standard indemnification agreements with customers and executives. Management does not expect inflation to have a material impact on results, though it warns that this could change. Guidance is limited: the company expects research and development expense to fall next year and then rise in later years, and it expects SaaS revenue to grow as a share of software license revenue.

Risks
A significant portion of revenue is derived directly or indirectly from government customers. The filing specifically flags actions such as those recently announced by the U.S. Department of Government Efficiency intended to reduce federal government size and spending, plus budget constraints, appropriations delays and invoice payment delays, which could reduce purchases and materially harm results.
Individual orders can represent a meaningful percentage of revenue and timing is difficult to predict, so failure to close, deferral or cancellation can cause quarterly shortfalls. FY2024 revenue decreased 4.7% to $17.39 million from $18.24 million and RPO decreased 50.0% to $0.30 million from $0.60 million.
The company derives a significant portion of revenue through systems integrators and OEM partners, which typically sell to government customers. Loss of a major partner, reduced sales efforts, partner failure to win awards or misalignment of interests could materially reduce sales.
The biometrics market faces intense competition from diversified providers such as Idemia, Thales and NEC, and component providers such as FaceTec, iProov and Innovatrics. Many competitors have greater resources, and low-cost foreign competitors may pressure prices and cause revenue or market share to decline.
The company expects growing revenue from cloud-based services and AwareID, but security and government sectors have been slower to transition due to data control, privacy and regulatory compliance concerns. Slower adoption in these sectors could negatively affect future growth.
A significant commercial market for biometrics technology may not develop, and adoption in commercial markets has been limited and slow. If demand does not grow or the company's biometrics products do not achieve broad acceptance, growth could be limited.
The filing warns that loss of key employees could harm the business and that hiring qualified successors may be difficult. MD&A reports engineering headcount decreased from 42 in 2023 to 33 in 2024 after reductions of about 10% in 2023 and 20% in 2024, which may affect product roadmap and innovation.
Extensive and evolving privacy and biometric data rules, including GDPR, CPRA, the Illinois Biometric Privacy Act, Texas biometric statute, Washington H.B. 1493 and Brazil's LGPD, may impose compliance costs or fines and affect use of the company's products.
Adverse economic conditions, inflation, financial market turmoil, the Russia-Ukraine conflict and Middle East conflicts, tariffs, export restrictions and sanctions could reduce demand, increase cancellations or delays, pressure prices and increase costs.
The filing cites uncertainty regarding realizability of private-company investments, including Omlis Limited. MD&A says Omlis entered the United Kingdom administration process in January 2024, adding to uncertainty over recoverability.
FY2024 operating cash flow decreased to -$3.16 million from $1.82 million in FY2023. MD&A attributes cash used in operating activities primarily to net loss and working capital adjustments.
The company relies on limited patent, trade secret, copyright and trademark protection, with weaker enforcement in some foreign countries. Third-party infringement claims, including from non-practicing entities, could be costly and divert management attention.
Officers, directors and holders of at least 5% of outstanding shares beneficially own approximately 48% of common stock, and 60% on a fully diluted basis assuming exercise of options. This concentration gives significant influence over corporate actions and may delay or prevent a change in control.
