Summary

Aware posted weaker second-quarter fiscal 2026 results as revenue and profitability both deteriorated. Revenue for the quarter ended June 30, 2026 was $3.25 million, down 16.5% from $3.90 million in the prior-year quarter. Year-to-date revenue was $6.64 million, down 11.5% from $7.50 million. Management tied the revenue decline to lower perpetual software license revenue and softer standalone product offerings while the company invests in the Awareness Platform. Operational progress centered on that platform. Aware added ROC and Mitek as integrated technology partners, expanding matching, identity verification, and liveness capabilities. It advanced Intelligent Liveness features designed to protect against deepfake, injection, presentation, virtual camera, device emulator, and replay attacks while keeping a passive user experience. It also announced Intelligent Matching advancements intended to deliver roughly 10 times lower False Non-Match Rate than previous generations and to support sub-second 1:N matching across large biometric datasets. CEO Ajay Amlani said the rapid advance of AI reinforces the importance of the market Aware serves, as synthetic identities and AI-enabled threats make identity critical infrastructure for government and enterprise organizations.

The public sector may be turning a corner. Amlani said business development activity increased after Department of Homeland Security operations normalized following recent funding disruptions. The company has seen more RFIs, procurement activity, and program momentum in areas where biometric solutions are relevant. Management also views Aware's U.S. base and long history supporting mission-critical biometric programs as a differentiator as federal agencies prioritize trusted, domestically based technology partners aligned with Buy American objectives. Those are positive signals, but they have not yet shown up in reported revenue.

Cost discipline is now a central part of the story. Management said the cost-reduction actions discussed last quarter should become more visible in results, and it expects expenses to be lower in the second half of fiscal 2026. For the second half of the year, management expects the typical seasonal pattern, with revenue increasing compared to the first half. The outlook is for the second half of fiscal 2026, not a single quarter. Aware also expects interest income to decrease slightly over the remainder of 2026 because of a lower projected average cash balance, and it anticipates engineering expenses to decrease as it focuses on strategic product development initiatives. Operating cash flow was negative $2.76 million in the quarter, compared with negative $1.15 million a year earlier, and negative $5.44 million for the first half, compared with negative $4.09 million. Capital expenditures were $0.00 million in the quarter and first half. Deferred revenue was $3.64 million, down 13.8% from $4.22 million a year earlier, and remaining performance obligations were $0.20 million, down 33.3% from $0.30 million. Management states that cash and cash equivalents will be sufficient to fund operations for at least the next twelve months, but the company recorded a full valuation allowance against net deferred tax assets, and it acknowledges that additional financing may be needed and may not be available on attractive terms. The key risks remain familiar: significant revenue from government customers, changes in government contracting and fiscal policy, uncertainty over whether a large commercial biometrics market develops, intense competition, rapid technological change, reliance on third-party channel partners, cybersecurity threats, limited intellectual property protection, and the need to retain key personnel.
