Summary

Agilysys reported total net revenue of $80.39 million for its fiscal 2026 third quarter, up 15.6% from the prior-year quarter. Subscription and maintenance revenue drove the increase, rising 17.2%, while professional services revenue grew 22.0%. Products revenue was flat. Total subscription revenue, a subset of the subscription and maintenance line, increased 23.1% in the quarter. For the first nine months of fiscal 2026, total net revenue reached $236.37 million, up 17.4%. Management attributed the subscription growth to continued adoption of cloud-based services, and professional services benefited from higher implementation activity as new and existing customers upgraded their technology.

Gross profit was $50.24 million, up 14.6%, but gross margin slipped 0.5 percentage points to 62.5%. Operating income jumped 58.3% to $11.73 million, lifting operating margin by 3.9 percentage points to 14.6%. Net income rose 158.4% to $9.90 million, and diluted EPS climbed 150.0% to $0.35. For the nine-month period, operating income was $30.40 million, up 75.9%, net income was $26.50 million, up 37.3%, and diluted EPS was $0.93, up 36.8%. Gross margin for the nine months was 62.0%, down 1.1 percentage points, while operating margin improved 4.3 percentage points to 12.9%. The quarter's profit growth also benefited from employee retention credits under the CARES Act, which management recorded in other gains.

Expenses grew across several areas. Product development costs rose 26.4%, driven by hiring and higher salary, incentive, and employee benefit rates across development teams. General and administrative costs increased 13.6% on higher compensation rates. Sales and marketing was up 1.0% as hiring and compensation increases were partly offset by the timing of marketing events and trade shows. Operating expenses excluding other gains and legal settlements increased 14.3%. Within gross profit, subscription and maintenance margin improved, helped by cost control measures. Professional services margin fell on lower utilization rates from continued hiring and training of new staff. Products margin declined due to the mix of hardware delivered.

Operating cash flow was $23.30 million in the quarter, up 14.8%, and $34.16 million for the nine months, up 22.1%. Capital expenditures were $0.57 million in the quarter, up 2.1%, and $1.42 million for the nine months, down 31.6%. Deferred revenue stood at $92.50 million, up 15.1%. The company has a $75 million revolving credit facility and repaid the entire $50 million principal balance as of July 2025. Management believes cash flow from operations, cash on hand, and access to capital markets will provide adequate funds for short- and long-term liquidity requirements.

The filing highlights several risks. Macroeconomic and geopolitical conditions, including changes in tariff and trade policies, armed conflicts, foreign currency fluctuations, labor shortages, and natural disasters, are negatively influencing customer spending and provider pricing. Management says these factors have resulted in decreased demand, increased costs, and reduced margins. The company also notes ongoing tax audits and valuation allowances on deferred tax assets in certain jurisdictions. The One Big Beautiful Bill Act, signed into law on July 4, 2025, is expected to provide future cash tax savings from full expensing of U.S. research and development expenses. The company also faces the risk of customer preference shifting from perpetual licenses to subscription-based models, which has already reduced products revenue.

Agilysys continues to invest in product development and customer-facing teams. The company's strategic plan focuses on putting the customer first, product innovation, improving liquidity, increasing organizational efficiency, developing employees, and growing revenue through a broader product set and international expansion. Management believes these efforts will create shareholder value by capitalizing on growth opportunities and strengthening its competitive position. The 10-Q does not include formal revenue or earnings guidance for the next quarter or the full fiscal year.
