Summary
Intellicheck's subscription business kept growing in the first quarter while reported revenue slipped. Total revenue for the three months ended March 31, 2021 fell 8.1% to $2.86 million. Nearly all of the decline came from hardware, since the prior-year quarter carried roughly $784,000 of one-time orders for ancillary hardware that did not repeat. SaaS revenue, which the company defines as software licensed on a subscription basis, rose 24% to $2,776,000 and represented 97% of total sales. The quarter was about mix rather than demand for the core identity verification platform.
Gross profit rose 9.1% to $2.64 million, and gross margin climbed 14.5 percentage points to 92.3%. Management ties the margin gain to the absence of low-margin hardware in the current quarter. Activity below the gross line moved the other way. Operating expenses jumped 55% to $3,717,000 on higher stock-based compensation, added headcount and expanded research and development. Stock-based compensation alone reached $981,000, mostly from new hires. The operating result swung to a loss of $1.1 million, and operating margin fell 38.3 percentage points to -37.6%. Net loss was $1.06 million, or $(0.06) per diluted share. Adjusted EBITDA, a non-GAAP measure the company reports, was a loss of $52,000 against positive $144,000 a year earlier.
Cash generation remains the soft spot. Operating cash flow was a use of $471,401, down 2.3% from a year earlier, and capital expenditures rose 84.7% to $48,375. Deferred revenue, current portion, was $455,896, down 25.9% from the prior-year quarter. Remaining performance obligations were $462,659, down 26.2%. Those two balances matter because they feed future recognized revenue. On the operational side, Intellicheck completed four customer implementations during the quarter and holds nineteen issued patents with four pending.
Management expects available cash, expected cash from operations and the Citibank revolving facility, which allows borrowings up to $2,000,000 and had no amounts outstanding with full availability at March 31, 2021, to cover working capital and capital expenditure needs for at least the next 12 months. A shelf registration statement allows up to $25,000,000 in future securities sales, so raising capital stays an option if conditions justify it. Management also concluded that no events or changes in the quarter made goodwill impairment more likely than not, with the annual test scheduled for the fourth quarter.
The risks are fairly clear. Revenue leans heavily on SaaS, which supplies 97% of sales, so any slowdown in subscription additions would show up quickly. Management said customer revenue tied to COVID-19 continued to decline through March 31, 2021 and that it cannot predict how the pandemic evolves, citing variants of the original strain and the pace of vaccination. A full valuation allowance covers net deferred tax assets as of March 31, 2021, so the tax benefit is not assured. The release also warns that results are preliminary and may be adjusted once the review process finishes and the Form 10-Q is filed. Operating expenses grew 55% while total revenue fell 8.1%, and closing that gap is the central task for the rest of the year. The company issued no revenue or earnings guidance for the second quarter or for fiscal 2021.

Risks
The ongoing COVID-19 pandemic may cause a decline in business and consumer spending and has already contributed to a revenue decrease of 8% to $2,863,000 for the three months ended March 31, 2021 compared to $3,115,000 in the prior-year period. Management states it continues to have a decline in revenues from customers through March 31, 2021 from COVID-19 and cannot predict the future impact, including from variants and vaccination rollout.
COVID-19 measures such as cancellation of industry events and remote sales, implementation, and support activities reduce the company's ability to meet existing and potential customers and may delay or reduce sales. Customers' businesses could be disrupted or they could limit technology spending, which could negatively impact willingness to enter into or renew contracts.
Operating expenses increased 55% for the three months ended March 31, 2021 compared to the prior-year period, primarily due to higher stock-based compensation, increased headcount, and expanded research and development. The company swung to a net loss of $1.06 million for FY2021 Q1 from net income of $0.03 million in FY2020 Q1.
The pandemic has disrupted global financial markets and could reduce the company's ability to access capital and negatively affect liquidity and the stability of its common stock. MD&A notes the company may raise additional funds for contingencies and there can be no assurance it can secure funds on satisfactory terms.
The company's goodwill impairment analysis relies on fair value measures sensitive to stock price volatility. A future impairment charge could materially adversely affect long-term assets and operating expenses in the period in which impairment is determined to exist.
The company's available net operating loss carryforwards begin to expire in 2021, creating risk that these tax assets may not be fully utilized to offset future taxable income.
